Maha Energy AB (publ) ("Maha Energy" eller "Bolaget") har under perioden 26 till 30 augusti 2024 återköpt sammanlagt 340 000 egna aktier inom ramen för det återköpsprogram som offentliggjordes den 12 augusti 2024.

Återköpen är en del av det återköpsprogram om högst 17 844 475 egna stamaktier som styrelsen i Maha Energy beslutade om den 12 augusti 2024 med stöd av det bemyndigande som lämnades av årsstämman den 29 maj 2024.

Maha Energy-aktier har återköpts enligt följande under perioden 26 till 30 augusti 2024:

During the period 26-30 August 2024 , Maha Energy AB (publ) ("Maha Energy" or the "Company") has repurchased a total of 340,000 own shares as part of the share buy-back program that was announced on 12 August 2024.

The share buy-backs form part of the share buy-back program of a maximum of 17,844,475 own ordinary shares that the Board of Directors of Maha Energy resolved on 12 August 2024 based on the authorization granted by the annual general meeting on 29 May 2024.

Maha Energy shares have been repurchased during the period 26 – 30 August 2024 as follows:

Maha Energy publishes prospectus

On 24 May 2023, Maha Energy AB (publ) (“Maha” or the “Company”) announced the closing of the business combination with DBO 2.0 S.A. (thereafter re-named to Maha Energy Offshore (Brasil) Ltda.). Through the transaction, Maha acquired 188,426 shares in DBO against payment of 34,829,057 new shares in the Company (issued pursuant to the resolution of the extraordinary general meeting held on 29 March 2023), and one (1) share in DBO was acquired by Maha Energy (Holding) Brasil Ltda., a wholly owned subsidiary of the Company, against payment of BRL 1.00. Ahead of the admission of the new shares to trading on Nasdaq Stockholm the Company has prepared a prospectus that has been approved and registered by the Swedish Financial Supervisory Authority. The prospectus is available on Maha’s website, www.mahaenergy.ca, and will be available on SFSA's website, www.fi.se.

The first day of trading of the new shares on Nasdaq Stockholm is expected to be on or around 13 September 2023.

Maha Energy offentliggör prospekt

Maha Energy AB (publ) ("Maha" eller "Bolaget") meddelade den 24 maj 2023 slutförandet av sammanslagning av verksamheterna med DBO 2.0 S.A. (därefter namngivet Maha Energy Offshore (Brasil) Ltda.). Genom transaktionen förvärvade Maha 188 426 aktier i DBO mot betalning om 34 829 057 nya aktier i Bolaget (emitterade enligt extra bolagsstämmans beslut den 29 mars 2023), samt en (1) aktie i DBO förvärvades av Maha Energy (Holding) Brasil Ltda., ett av Bolaget helägt dotterbolag, mot betalning om 1,00 BRL. Inför upptagandet till handel av de nya aktierna på Nasdaq Stockholm har Bolaget upprättat ett prospekt som har godkänts och registrerats av Finansinspektionen. Prospektet finns tillgängligt på Mahas webbplats, www.mahaenergy.ca, samt kommer att finnas tillgängligt på Finansinspektionens webbplats, www.fi.se.

Första dag för handel på Nasdaq Stockholm förväntas bli omkring den 13 september 2023.

Antalet aktier och röster i Maha Energy AB (publ) (”Maha” eller ”Bolaget”) har ökat till följd av slutförandet av förvärvet av DBO 2.0 S.A. (”DBO”). Per den 31 maj 2023 uppgår antalet aktier i Bolaget till totalt 178 444 753 aktier, varav 34 829 057 aktier per dagen för detta pressmeddelande inte har registrerats hos Bolagsverket. Varje aktie motsvarar en röst och det totala antalet röster per den 31 maj 2023 uppgår således till 178 444 753 röster.

Vid extra bolagsstämma i Maha den 29 mars 2023 beslutades att öka Bolagets aktiekapital med högst 404 529,51 kronor genom nyemission av högst 36 775 410 aktier i Bolaget mot betalning med apportegendom bestående av 188 426 aktier i DBO.

Antalet aktier och röster i Bolaget har ökat till följd av slutförandet av transaktionen, genom vilken Maha förvärvade 188 426 aktier i DBO mot betalning om 34 829 057 nya aktier i Bolaget (emitterade enligt extra bolagsstämmans beslut den 29 mars 2023), samt en (1) aktie i DBO förvärvades av Maha Energy (Holding) Brasil Ltda., ett av Bolaget helägt dotterbolag, mot betalning om 1,00 BRL, såsom offentliggjort av Bolaget den 23 maj 2023. Per den 31 maj 2023 uppgår antalet aktier i Bolaget till 178 444 753 aktier. Varje aktie motsvarar en röst och det totala antalet röster per den 31 maj 2023 uppgår således till 178 444 753 röster.

Samtliga 34 829 057 nya aktier har blivit tecknade, fullt betalda och tilldelade till tecknarna och totalt 34 829 057 betalda tecknade aktier (BTA) har emitterats för att levereras till tecknarna. Inga nya aktier emitterade inom ramen för transaktionen kommer dock att registreras hos Bolagsverket eller upptas till handel på Nasdaq Stockholm innan ett prospekt har offentliggjorts av Bolaget. BTA kommer att bokas om till aktier efter registrering av aktierna hos Bolagsverket. BTA kommer inte upptas till handel på Nasdaq Stockholm.

The number of shares and votes in Maha Energy AB (publ) (“Maha” or the “Company”) has increased following closing of the acquisition of DBO 2.0 S.A (“DBO”). As of 31 May 2023 the number of shares in the Company amounts to in total 178,444,753 shares, of which 34,829,057 shares have as at the date of this press release not been registered with the Swedish Companies Registrations Office. Each share carries one vote, and the total amount of votes as of 31 May 2023 is 178,444,753.

At the extraordinary general meeting in Maha held on 29 March 2023, it was resolved to increase the Company’s share capital by not more than SEK 404,529.51 through a new issue of not more than 36,775,410 shares in the Company against payment in kind consisting of 188,426 shares in DBO.

The number of shares and votes in the Company has increased following closing of the transaction, whereby Maha acquired 188,426 shares in DBO against payment of 34,829,057 new shares in the Company (issued pursuant to the resolution of the extraordinary general meeting held on 29 March 2023), and one (1) share in DBO was acquired by Maha Energy (Holding) Brasil Ltda., a wholly owned subsidiary of the Company, against payment of BRL 1.00, as announced on 23 May 2023. As of 31 May 2023 the total number of shares in the Company amounts to 178,444,753 shares. Each share carries one vote, and the total amount of votes as of 31 May 2023 is 178,444,753.

All 34,829,057 new shares have been subscribed for, fully paid and allocated to the subscribers and in total 34,829,057 paid-up subscribed shares (BTA) have been issued to be delivered to the subscribers. No new shares issued within the framework of the transaction will however be registered with the Swedish Companies Registrations Office or admitted to trading on Nasdaq Stockholm before a prospectus has been published by the Company. BTA will be converted into shares after registration of the shares with the Swedish Companies Registrations Office. BTA will not be admitted to trading on Nasdaq Stockholm.
