Maha Energy appoints new COO

Maha Energy AB (publ) (“Maha” or the “Company”), is pleased to announce the appointment of Mr. Javier Gremes Cordero as Chief Operating Officer ("COO") of Maha Energy effective immediately. Mr. Gremes has a sound track record both in executive positions and as a regional leader in the energy industry. He has worked the last six months as an exclusive consultant for Maha and is already deeply engaged with the Company’s projects in Venezuela.

Mr. Gremes will replace Mr. Alan Johnson, who leaves Maha in connection with the closing of Maha’s technical office in Calgary, Canada. All functions previously handled by the Canadian office are being transferred to Maha’s office in Rio de Janeiro, Brazil or Maha´s office that is being incorporated in Venezuela.

Mr. Gremes experience covers over 35 years within the oil and gas industry. Before joining Maha as an independent consultant, Mr. Gremes was CEO of Pecom Servicios Energía and CEO of TGS (Argentina). Prior to that, he held the position as Ecuador General Manager for Petrobras and was also part of the internationalization process of Perez Companc with responsibilities over Venezuela. He holds a MSc degree from Université de Management, Switzerland and an MBA degree from Universidad Francisco de Vitoria, Spain.

Maha Energy Exits Block 70 in Oman

Maha Energy AB (publ) (“Maha” or the “Company”) announces the divestment of its 65% working interest in Block 70, Oman, to Mafraq Energy LLC (“Mafraq Energy”). Mafraq Energy is partner in the Block with a 35% working interest. The consideration amounts up to USD 14 million. Mafraq Energy will be responsible for the project and cover all costs as from December 1st, 2023.

Up to the Closing Date, Maha will receive a parcel of the purchase price equivalent to USD 2 million. The earnout will be up to USD 12 million, linked to actual produced volumes from Block 70. It will start to be payable from a cumulative net production volume of 1 million barrels with a maximum to be reached if the production volume reaches 12 million barrels. As from closing date, Maha will be released from all obligations and liabilities regarding Maha Oman, including under and in connection with the EPSA and the JOA.

The exit is subject to signing a definitive sale and purchase agreement, and satisfaction of the relevant closing condition, including approval of the Government of the Sultanate of Oman.

It will require new tests, significant investments and a very dedicated operator, which I believe we will have with Mafraq Energy who has worked on this asset since the very beginning. Maha was awarded Block 70 in Oman in 2020. In 2022 and 2023, the Company conducted a comprehensive work program and fully concluded the Minimum Work Obligations of the initial phase of the Exploration and Production Sharing Agreement (“EPSA”). A short-term production test commenced in 2023, when five out of eight new drilled production wells produced oil to surface at an initial estimated average rate of 300 barrels of oil per day. The produced oil was heavy with an API of 11-13 degrees and with higher viscosity than pre-testing estimates. Due to the high viscosity, the oil did not meet processing specifications for third party’s facilities. The initial phase of the EPSA will end on 31st of December 2023.

Third Quarter 2023

  • Daily oil production for Q3 2023 from continuing operations averaged 179 BOEPD (Q3 2022: 314 BOEPD). In addition, non-consolidated production from investment in associate – 3R Offshore averaged 1,774 BOEPD.
  • Revenue of 1.3 million (Q3 2022: 2.6 million) following lower sales volumes and lower realized oil price.

Letter to shareholders

Dear Friends and Fellow Shareholders,

Let me start with Venezuela – the country with the largest proven oil reserves in the world. In the fourth quarter 2023, we announced that we had signed an exclusivity instrument with Novonor Latinvest Energy, allowing Maha to indirectly acquire 24 percent of the oil and gas company PetroUrdaneta, operating in Venezuela. Novonor’s asset in Venezuela holds over 8 billion barrels of oil in place, according to the independent energy research company Rystad Energy. PetroUrdaneta’s vast reserves and large stock of inactive wells, means opportunities for rapid ramp-ups through small interventions of shut-in wells at low investment costs. Upon the obtaining of proper authorizations, we look forward to enhancing the operations with potential investments in the area, targeting to restore production and cashflow as fast as possible. This acquisition is in line with Maha's ambition to be pioneers and create value for shareholders, while proving our strategy of non-organic growth at attractive low entry multiples. Maha is fully aware of the challenges of operating in Venezuela and had put enormous efforts for several months before deciding to move forward with this transaction. I look forward to updating you as we progress with this transaction.

Looking at the events during the third quarter, we can report a healthy production of 1,953 boepd, with the vast majority being unconsolidated and coming from our assets Papa Terra and Peroá clusters offshore Brazil. This production was reached despite backlog in maintenance inherited from the previous operator. Significant preventive and corrective maintenance have been conducted on Papa Terra during the year, which have resulted in greater production stability. As we ended the quarter, we reached a September production of 2,127 boepd. Both our offshore clusters, however, hold substantial upside to be realized over the coming years. The future work programs on the assets are currently being discussed with the 3R Offshore, the company that Maha holds 15% equity interest in and which operate the assets.

We report revenue from our consolidated production of TUSD 1,250 and share of income from investment in associate, Maha’s net non-cash income portion from the Papa Terra and Peroá assets, of TUSD 1,698 for the third quarter. Our EBITDA was in line with third quarter last year and amounted to TUSD -323 in the third quarter 2023. Following the payment in the third quarter of the second instalment of the purchase price related to the sale of our assets onshore Brazil, our total cash balance (including restricted cash) increased from USD 102 million to USD 143 million.

Our work on our exploration Block in Oman continues. We were granted an extension of the Initial Phase of the Exploration and Production Sharing Agreement for Block 70 until 31st of December 2023. We launched a production test on the Block in March, and we will use this extended time to gather information necessary to support any decision regarding the future of the Block.

In US, we have divested our LAK asset and focused our efforts on the Illinois Basin. In the beginning of the fourth quarter, we kicked off a program consisting of three production wells and production battery installation. After completion, the wells are expected to increase Maha’s current production from the Illinois Basin with production ramp up starting at the end of the year.

With the release of Maha’s third quarter 2023 report, we could also look back on a year of significant changes for our company. During the year, we have gained new reference shareholders and strengthened board, management, and staff with highly motivated colleagues, incentivized for growth! We have sharpened our asset portfolio and strengthened our balance sheet by selling our previous assets onshore Brazil for a substantial amount of cash and gained new assets offshore Brazil. And now in the fourth quarter, we announced the Venezuela transaction.

In addition, I am honored to have been appointed as new CEO of Maha Energy during the quarter, in a very smooth and efficient process. Paulo T. Mendonça, our previous CEO, was elected as new chairman of Maha. Paulo and I have been working together for a long time, and releasing Paulo from the daily management of the company will allow him to focus even harder on our M&A strategy going forward.

Maha is now in a strong financial position, fully equipped to continue our growth trajectory. We have had a promising start, but the journey continues and there is much more to come! While challenges remain, we are excited about what lies ahead and look forward to delivering strong results. As we move forward, we will keep you updated on our progress and milestones.

Production and operation update October 2023

Papa Terra cluster
The production at the Papa Terra cluster increased 7% from September to October 2023 due to improvements in the operation and production systems, resulting in greater production stability during October. The maintenance and integrity recovery campaign for units 3R-2 (TLWP) and 3R-3 (FPSO) is still ongoing, aiming for progressive reduction of the risks of unscheduled interruption of the units and greater operational efficiency of the assets.

Peroá cluster
The production at the Peroá cluster decreased 2% from September to October 2023 as a result from lower demand in the Brazilian gas market during October.

Illinois Basin
The production at Illinois Basin in October was in line with the September production. Maha commenced a program consisting of three production wells and production battery installation. To date, two wells have been drilled and the third is currently drilling. After completion, the wells are expected to increase Maha’s current production from the Illinois Basin with production ramp up starting at the end of the year.

Maha’s Assets
Maha has an indirect working interest of 15% in the Peroá cluster and 9.375% in the Papa Terra cluster, with 3R Petroleum Offshore S.A. being the operator.

Maha is the operator holding 97% working interest in the Illinois Basin. Maha is also the operator of Block 70 in Oman with 65% working interest, where production testing commenced in March 2023.

Maha Energy signs an exclusive agreement to invest and acquire 24 percent of the indirect equity interest in the Venezuelan oil company PetroUrdaneta

Maha Energy has signed an exclusivity private instrument with Novonor Latinvest Energy S.à.r.l (”Novonor”) granting Maha exclusive rights to acquire 60 percent of Novonor’s 100% owned Spanish subsidiary Odebrecht E&P España SL r.l (”OE&P” or “Partner B”), which holds 40 percent equity interest of PetroUrdaneta, an O&G joint venture company operating in Venezuela. The consummation of the transaction will be subject to certain conditions, including the Venezuelan Oil Minister’s prior approval. The potential acquisition is evidence of Maha’s ambitious growth strategy and value creation plan.

PetroUrdaneta operates three fields in the Maracaibo Basin region in northwestern Venezuela. Shareholders include PDVSA (60%) and OE&P (40%). The field’s last reported production is over 1,000 bopd. Upon the obtaining of proper authorizations, we look forward to working closely with the joint venture partner to enhance the operations with potential investments in the area. Maha’s plan includes well recompletion and workover, with the upside of a potential production and consequent commercialization of the existing associated natural gas reserves in the area. According to independent energy research company Rystad Energy, the fields in Novonor’s portfolio in Venezuela has more than 8 billion barrels of oil in place. Rystad Energy underlined that the estimates in Venezuela are connected to significant uncertainty.

Maha has previously communicated its intention to continue with ambitious and value-creating global M&A – by targeting mature oil and gas fields. PetroUrdaneta has vast reserves and a large stock of inactive wells, meaning opportunities for rapid ramp-ups through small interventions of shut-in wells at low investment costs,” said Kjetil Solbraekke, CEO of Maha Energy.

About the transaction:

  • Maha to pay EUR 4.6m for an exclusivity period of up to 9 months. During this period, Maha and its advisors intend to perform the necessary due diligence to confirm the financial, legal, regulatory, and operational feasibility of the proposed transaction and obtain necessary approvals for the signing of the definitive documents and relevant agreements, including but not limited to the prior approval of the Venezuelan Oil Minister.
  • Maha would pay an additional EUR 4.6m in case it decides to extend the exclusivity for an additional 12 months, or upon the execution of the relevant definitive documents.
  • Thereafter, Maha has a call option to acquire shares or quotas representing 60 percent of OE&P’s holdings (price: EUR 1.00).
  • In the absence material adverse effect (“MAE”) and in the event of exercise of Maha’s 60 percent-call option, Maha to pay a premium of EUR 18m in instalments, from the 2-, 3-, 4-year after the Maha’s exercise its 60 percent call option.
  • At any time during the two years following the closing, Maha has a call option on the remaining 40 percent of Partner B – taking Maha Energy’s total stake up to 40 percent of PetroUrdaneta.

Venezuela has the largest proven oil reserves in the world. It comprises more than 300 billion barrels, equaling 17,5 percent of the world’s entire reserves. On October 18, 2023, the U.S. Department of the Treasury (OFAC) temporarily authorized transactions with certain sanctioned parties in Venezuela, including PdVSA, through midnight of April 17, 2024. The Venezuela General License 44 can be extended if conditions remain favorable. Hence, although there was no US person involved in the transaction, this may change in the future, considering General License 44.

The acquisition is in line with Maha’s ambition to pioneer and generate value to shareholders, as we reinforce our strategy of inorganic growth at attractive low entry multiples. Maha acknowledges the sensitive nature of the acquisition and operations in Venezuela and will never compromise on its commitment to global standards and best practices. Production and operation update September 2023

Papa Terra cluster
The production at the Papa Terra cluster increased 69% from August to September 2023. The performance is due to greater stability in the asset's production during September, following preventive and corrective maintenance carried out in previous periods. An intense maintenance and integrity recovery campaign for units 3R-2 (TLWP) and 3R-3 (FPSO) remains prioritized, which will progressively reduce the risks of unscheduled interruption of the units and is expected to result in greater operational efficiency, as we can see in the latest quarter over quarter trend.

Peroá cluster
The production at the Peroá cluster decreased 3% from August to September 2023 as a result from lower demand in the Brazilian gas market during September.

Illinois Basin
The production at Illinois Basin increased 1% from August to September 2023. In the beginning of October 2023, Maha commenced a program consisting of three production wells and production battery installation. After completion, the wells are expected to increase Maha’s current production from the Illinois Basin with production ramp up starting at the end of the year.

LAK Ranch
Maha has completed the divestment of the heavy oil field LAK Ranch in USA. Maha acquired the asset in 2013 and it was shut in at the beginning of 2020. The reason for the divestment decision was to avoid new future expenses and operating costs for an asset without cash flow generation and growth perspective, and potential future liabilities and relinquishment costs.

The consideration amounts to USD 10 plus positive effective date adjustments (working capital) offset by transaction expenses. Through the divestment, all amounts for performance bonds filed will also be returned to Maha, which will be more than sufficient to cover transaction’s costs. In addition, all liabilities for Asset Retirement Obligations at the well, facility and surface lease level for LAK Ranch will be released from Maha’s balance sheet.

Maha’s Assets

Extraordinary General Meeting in Maha Energy AB (publ)

The shareholders of Maha Energy AB (publ) (“Maha” or the “Company”) gathered in Stockholm, Sweden, Monday 18 September 2023 for an extraordinary general meeting.

The general meeting resolved in accordance with the nomination committee’s proposal that the board of directors, for the time until the close of the next annual general meeting, shall consist of seven (7) ordinary members. It was resolved to elect Svein Harald Øygard as new ordinary board member until the close of the annual general meeting to be held in 2024, and to, upon his own request, dismiss Kjetil Solbraekke from his assignment as ordinary board member. It was further resolved to elect Paulo Thiago Mendonça as chairman of the board of directors until the end of the next annual general meeting and to, upon his own request, dismiss Fabio Vassel as chairman of the board of directors while remaining as ordinary board member. Effective as of the general meeting’s resolution, Kjetil Solbraekke shall take the position as CEO of Maha. It was further resolved that Paulo Thiago Mendonça, Fabio Vassel and Svein Harald Øygard shall be entitled to remuneration (board fees) as resolved by the annual general meeting 2023, which is to be reduced proportionally taking into account that they will not serve as chairman and board members, respectively, during the entire period between the annual general meeting 2023 and the next annual general meeting.

The general meeting resolved in accordance with the board of directors’ proposal on changes to the Company’s articles of association with respect to share capital and number of shares in §§ 4 and 5. According to the new articles of association the Company’s share capital shall be not less than SEK 1,925,000 and not more than SEK 7,700,000 and the number of shares in the Company shall be no less than 175,000,000 and no more than 700,000,000.

The general meeting resolved in accordance with the proposal of the board of directors on an incentive programme for employees and consultants through issuance of warrants entitling to subscription of new shares in the Company. Under the resolution, the Company may issue a maximum of 5,712,210 warrants. The warrants may, with deviation from the shareholders’ preferential rights, only be subscribed for by any of the Company’s subsidiaries, after which the subsidiary is to transfer the warrants to the participants under the programme. Each warrant entitles to subscription for one new share in the Company during the period as from registration of the warrants with the Swedish Companies Registration Office until and including 1 January 2030. The subscription price for subscription of new shares shall correspond to 100% of the volume weighted average last closing price for the Company’s share on Nasdaq Stockholm during the period from and including 11 May 2023 until and including 18 September 2023. The increase of the Company’s share capital will, upon full exercise of the warrants, amount to not more than SEK 62,834.31.

The general meeting resolved in accordance with the proposal of the Nomination Committee on an incentive programme for the members of the Board of Directors through issuance of warrants entitling to subscription of new shares in the Company. According to the Nomination Committee’s revised proposal presented at the general meeting all board members except Halvard Idland and Svein Harald Øygard shall be comprised by the program. Under the resolution, the Company may issue a maximum of 3,808,140 warrants. The warrants may, with deviation from the shareholders’ preferential rights, only be subscribed for by any of the Company’s subsidiaries, after which the subsidiary is to transfer the warrants to the participants under the programme. Each warrant entitles to subscription for one new share in the Company during the period as from registration of the warrants with the Swedish Companies Registration Office until and including 1 January 2030. The subscription price for subscription of new shares shall correspond to 100% of the volume weighted average last closing price for the Company’s share on Nasdaq Stockholm during the period from and including 11 May 2023 until and including 18 September 2023. The increase of the Company’s share capital will, upon full exercise of the warrants, amount to not more than SEK 41,889.54.

Maha Energy granted an extension of the Initial Phase of the EPSA for Block 70 onshore Oman

Maha Energy AB (publ) (“Maha” or the ”Company”) announces that it has been granted by the Ministry of Energy and Minerals of the Sultanate of Oman (“MEM”) an extension of the Initial Phase of the Exploration and Production Sharing Agreement (“EPSA”) for Block 70 — located onshore Oman. After the extension, the Initial Phase of the EPSA runs until 31st of December 2023.

Maha commenced in March 2023 a production test on Block 70. Driven by Maha’s commitment to effectively conclude the production testing, the Company requested to MEM in July 2023 for an extension of the Initial Phase of the EPSA. During the extended Initial Phase, Maha intends to implement activities and tests necessary to support any decision regarding a second phase of the EPSA, a possible declaration of commerciality of Block 70 or relinquishment.
