Maha Energy AB (publ) (“Maha” or the “Company”), announces the preliminary unaudited net production data for June 2023.

* Note: The information included hereunder relates only to Maha’s entitlement on Peroá and Papa Terra clusters’ production, considering its indirect participation interest on said assets. It was calculated based on the information made public by 3R Petroleum. The production from Peroá and Papa Terra clusters will not be consolidated in Maha’s financial reporting.

Maha has an indirect working interest of 15% in the Peroá cluster and 9.375% in the Papa Terra cluster, with 3R Petroleum Offshore S.A. being the operator.

Maha is the operator holding 97% working interest in the Illinois Basin. In addition, Maha is also the operator of LAK Ranch in USA. The LAK Ranch heavy oil asset was shut in 2020, but incidental oil is occasionally produced as a result of testing and/ or maintenance activities. Maha is also the operator of Block 70 in Oman with 65% working interest, where production testing is currently being performed. Maha intends to publish a separate press release with an update on the progress of the production testing in Oman later in July.

Papa Terra cluster
The production at the Papa Terra cluster increased 71.2% from May to June. This result is due to the resumption of production of Papa Terra Cluster after a temporary interruption in May, as per previously indicated in material facts disclosed by 3R Petroleum on May 16 and May 29, 2023.

Peroá cluster
The production at the Peroá Cluster decreased 13.7% from May to June. This result reflects the impact of a scheduled shutdown at the Cacimbas Natural Gas Treatment Unit (UTGC), which interrupted the receipt of gas produced at the asset for a few days of the month.

Illinois Basin
The production at Illinois Basin decreased 6% in June compared to May 2023.

Papa Terra-klustret
Produktionen från Papa Terra-klustret ökade med 71,2% under juni jämfört med maj efter att produktionen vid Papa Terra har återupptagits efter ett tillfälligt produktionsavbrott i maj, vilket offentliggjordes den 16 och 29 maj 2023 av 3R Petroleum.

Peroá-klustret
Produktionen från Peroá-klustret minskade med 13,7% under juni jämfört med maj. Minskningen är en följd av en schemalagd avstängning av Cacimbas Natural Gas Treatment Unit (UTGC), vilket resulterade i att gasleveranserna avbröts under några dagar i månaden.

Illinoisbassängen
Produktionen vid Illinoisbassängen minskade under juni med 6% jämfört med maj.

Maha is the operator holding 97% working interest in the Illinois Basin. Papa Terra cluster
The production at the Papa Terra cluster decreased 51.5% from April to May. This result is explained by the temporary interruption in the asset’s production, due to storage capacity limitation of the 3R-3 platform and a damage in the flexible hose used in the offloading operations (transfer of stored oil to shuttle tankers), as per previously indicated in material facts disclosed by 3R Petroleum on May 16 and May 29, 2023. The operations of Papa Terra Cluster was resumed, and the cluster is currently operating through three wells (i.e. PPT-16, PPT-50 and PPT-51).

Peroá cluster
The production at the Peroá Cluster grew 29.9% from April to May. This result reflects the increase in gas production at the fields, in line with greater buyer demand under the gas sale agreement.

Illinois Basin
The production at Illinois Basin in May was in line with the production in April.

Produktionen från Papa Terra-klustret minskade med 51,5% jämfört med april 2023 på grund av ett tillfälligt produktionsavbrott till följd av begränsningar i lagringskapaciteten på plattformen 3R-3 samt skador i den flexibla slang som används vid lossning (överföring av olja till skytteltankfartyg), vilket offentliggjordes den 16 och 29 maj av 3R Petroleum. Verksamheten vid Papa Terra har återupptagits, för närvarande med tre brunnar i drift (PPT-16, PPT-50 och PPT-51).

Peroá-klustret
Produktionen från Peroá-klustret ökade under maj 2023 med 29,9% jämfört med april 2023. Detta avspeglar den ökade gasproduktionen från fälten, och ligger i linje med högre efterfrågan enligt gasförsäljningsavtalet.

Illinoisbassängen
Produktionen vid Illinoisbassängen låg under maj i linje med produktionen under april 2023.

Change in number of shares and votes in Maha Energy AB (publ)

The number of shares and votes in Maha Energy AB (publ) (“Maha” or the “Company”) has increased following closing of the acquisition of DBO 2.0 S.A (“DBO”). As of 31 May 2023 the number of shares in the Company amounts to in total 178,444,753 shares, of which 34,829,057 shares have as at the date of this press release not been registered with the Swedish Companies Registrations Office. Each share carries one vote, and the total amount of votes as of 31 May 2023 is 178,444,753.

At the extraordinary general meeting in Maha held on 29 March 2023, it was resolved to increase the Company’s share capital by not more than SEK 404,529.51 through a new issue of not more than 36,775,410 shares in the Company against payment in kind consisting of 188,426 shares in DBO.

The number of shares and votes in the Company has increased following closing of the transaction, whereby Maha acquired 188,426 shares in DBO against payment of 34,829,057 new shares in the Company (issued pursuant to the resolution of the extraordinary general meeting held on 29 March 2023), and one (1) share in DBO was acquired by Maha Energy (Holding) Brasil Ltda., a wholly owned subsidiary of the Company, against payment of BRL 1.00, as announced on 23 May 2023. As of 31 May 2023 the total number of shares in the Company amounts to 178,444,753 shares. Each share carries one vote, and the total amount of votes as of 31 May 2023 is 178,444,753.

All 34,829,057 new shares have been subscribed for, fully paid and allocated to the subscribers and in total 34,829,057 paid-up subscribed shares (BTA) have been issued to be delivered to the subscribers. No new shares issued within the framework of the transaction will however be registered with the Swedish Companies Registrations Office or admitted to trading on Nasdaq Stockholm before a prospectus has been published by the Company. BTA will be converted into shares after registration of the shares with the Swedish Companies Registrations Office. BTA will not be admitted to trading on Nasdaq Stockholm.

Antalet aktier och röster i Maha Energy AB (publ) (”Maha” eller ”Bolaget”) har ökat till följd av slutförandet av förvärvet av DBO 2.0 S.A. (”DBO”). Per den 31 maj 2023 uppgår antalet aktier i Bolaget till totalt 178 444 753 aktier, varav 34 829 057 aktier per dagen för detta pressmeddelande inte har registrerats hos Bolagsverket. Varje aktie motsvarar en röst och det totala antalet röster per den 31 maj 2023 uppgår således till 178 444 753 röster.

Vid extra bolagsstämma i Maha den 29 mars 2023 beslutades att öka Bolagets aktiekapital med högst 404 529,51 kronor genom nyemission av högst 36 775 410 aktier i Bolaget mot betalning med apportegendom bestående av 188 426 aktier i DBO.

Antalet aktier och röster i Bolaget har ökat till följd av slutförandet av transaktionen, genom vilken Maha förvärvade 188 426 aktier i DBO mot betalning om 34 829 057 nya aktier i Bolaget (emitterade enligt extra bolagsstämmans beslut den 29 mars 2023), samt en (1) aktie i DBO förvärvades av Maha Energy (Holding) Brasil Ltda., ett av Bolaget helägt dotterbolag, mot betalning om 1,00 BRL, såsom offentliggjort av Bolaget den 23 maj 2023. Per den 31 maj 2023 uppgår antalet aktier i Bolaget till 178 444 753 aktier. Varje aktie motsvarar en röst och det totala antalet röster per den 31 maj 2023 uppgår således till 178 444 753 röster.

Samtliga 34 829 057 nya aktier har blivit tecknade, fullt betalda och tilldelade till tecknarna och totalt 34 829 057 betalda tecknade aktier (BTA) har emitterats för att levereras till tecknarna. Inga nya aktier emitterade inom ramen för transaktionen kommer dock att registreras hos Bolagsverket eller upptas till handel på Nasdaq Stockholm innan ett prospekt har offentliggjorts av Bolaget. BTA kommer att bokas om till aktier efter registrering av aktierna hos Bolagsverket. BTA kommer inte upptas till handel på Nasdaq Stockholm.

Annual General Meeting in Maha Energy AB (publ)

The shareholders of Maha Energy AB (publ) gathered in Stockholm, Sweden, Wednesday 24 May 2023 for the Annual General Meeting.

The income statements and the balance sheets for the Company and the Group were approved and the Board of Directors and the CEO were discharged from liability for the financial year 2022.

The Meeting resolved that no dividend shall be paid for the financial year 2022 and that the company’s available funds shall be carried forward in new account.

Fabio Vassel, Paulo Thiago Mendonça, Enrique Peña, Viktor Modigh, Richard Norris, Halvard Idland and Kjetil Solbraekke were re-elected as members of the Board of Directors. Fabio Vassel was re-elected as Chairman of the Board.

The Meeting approved fees payable to the members of the Board of Directors and the Chairman of the Board of Directors, including remuneration for committee work, to be as follows: (i) annual fees of the members of the Board of Directors of SEK 300,000 (excluding the CEO); (ii) annual fee of the Chairman of the Board of Directors of SEK 415,000; (iii) annual fees of SEK 40,000 to members of the respective committees (excluding the CEO); (iv) annual fees of SEK 60,000 to the Chairman of the respective committees; (v) members of the Board of Directors shall be entitled to invoice the Company in so far as they perform services outside the Board assignment.

The accounting firm Deloitte AB was re-elected as the auditor of the Company, with authorised public accountant Andreas Frountzos as the auditor in charge, for a period until the end of the 2024 Annual General Meeting. The auditor’s fee shall be paid upon approval of their invoice.

The Meeting resolved to approve the Company’s remuneration report for the financial year 2022.

The Meeting resolved in accordance with the proposal of the Board of Directors on changes to the policy for remuneration and other employment conditions for senior executives of the group, which shall apply for the time being. The policy is applicable on agreements entered into after the Annual General Meeting, and as far as changes are made to existing agreements, thereafter, and shall be reviewed at least every four years.

Following shareholders ahead of the annual general meeting submitting questions to the Board of Directors regarding the Board’s proposal on an incentive programme for employees and consultants through issuance of warrants, the Board of Directors decided to withdraw the proposal with the intention of providing more detailed information if the Board should decide to propose a corresponding incentive programme at a future general meeting.

The Nomination Committee has made a corresponding assessment as the Board of Directors with regards to the incentive programme for the members of the Board of Directors through issuance of warrants, and decided to withdraw the proposal.

The Meeting resolved to authorise the Board of Directors to – for the period up to the next Annual General Meeting and at one or more occasions – resolve upon issuance of new shares, warrants and/or convertible debentures. Payment may be made in cash, in kind, through set-off of claims or otherwise be conditional. The Company’s share capital may be by support of the authorisation be increased by an amount corresponding to 20 percent of the share capital and number of shares in the Company as of on the date the Board of Directors make use of the authorisation. Deviation from the shareholders’ preferential rights shall be allowed in situations where a directed issue is deemed more appropriate for the Company due to timing, commercial or similar reasons, and in order to enable acquisitions.

Årsstämma i Maha Energy AB (publ)

Aktieägarna i Maha Energy AB (publ) samlades under onsdagen den 24 maj 2023 i Stockholm för årsstämman.

Moderbolagets och koncernens resultat- och balansräkningar fastställdes och styrelsen och verkställande direktören beviljades ansvarsfrihet för räkenskapsåret 2022.

Stämman beslutade att ingen utdelning ska lämnas för räkenskapsåret 2022 och att bolagets till förfogande stående medel överförs i ny räkning.

Till styrelsen omvaldes Fabio Vassel, Paulo Thiago Mendonça, Enrique Peña, Viktor Modigh, Richard Norris, Halvard Idland och Kjetil Solbraekke som ordinarie styrelseledamöter. Fabio Vassel omvaldes till styrelseordförande.

Stämman beslutade arvoden till styrelseledamöterna och styrelseordförande, inklusive ersättning för utskottsarbete, enligt följande: (i) årligt arvode om 300 000 SEK till styrelseledamöter (utom verkställande direktören); (ii) årligt arvode om 415 000 SEK till styrelseordföranden; (iii) årlig ersättning om 40 000 SEK till ledamöter av respektive utskott (utom verkställande direktören); (iv) årlig ersättning om 60 000 SEK till ordföranden för respektive utskott; (v) styrelseledamöter ska ha rätt att fakturera bolaget i den mån de utför tjänster utanför styrelseuppdraget.

Revisionsbolaget Deloitte AB omvaldes som bolagets revisor, med den auktoriserade revisorn Andreas Frountzos som huvudansvarig revisor, för en period som sträcker sig till slutet av årsstämman 2024. Arvode till revisorn ska utgå enligt godkänd räkning.

Stämman beslutade att godkänna bolagets ersättningsrapport för räkenskapsåret 2022.

Stämman beslutade i enlighet med styrelsens förslag om ändring av policy för ersättning och andra anställningsvillkor för ledande befattningshavare i koncernen att gälla tills vidare. Policyn gäller för avtal som ingås efter årsstämman samt för det fall ändringar görs i befintliga avtal efter denna tidpunkt och ska utvärderas minst var fjärde år.

Med anledning av att aktieägare inför årsstämman inkommit med frågor till styrelsen avseende styrelsens förslag att införa ett incitamentsprogram för anställda och konsulter genom emission av teckningsoptioner beslutade styrelsen att återkalla förslaget med avsikten att lämna mer utförlig information ifall styrelsen beslutar att föreslå ett motsvarande incitamentsprogram vid en framtida bolagsstämma.

Valberedningen har gjort motsvarande bedömning som styrelsen såvitt avser valberedningens förslag att införa ett incitamentsprogram för styrelseledamöter genom emission av teckningsoptioner och beslutade att återkalla förslaget.

Stämman beslutade att bemyndiga styrelsen att – under tiden fram till nästkommande årsstämma samt vid ett eller flera tillfällen – fatta beslut om emission av nya aktier, teckningsoptioner och/eller konvertibler. Betalning ska kunna ske kontant eller genom apport, kvittning eller eljest med villkor. Bolagets aktiekapital ska kunna ökas med ett belopp motsvarande 20 procent av aktiekapitalet och antalet aktier i bolaget från och med det datum styrelsen utnyttjar bemyndigandet. Avvikelse från aktieägarnas företrädesrätt ska godtas i situationer då en riktad emission anses mer lämpad för bolaget med hänsyn till tidpunkt, kommersiella eller dylika anledningar för att möjliggöra förvärv.
