Notice to attend the Annual General Meeting in Maha Energy AB (publ)

The shareholders in Maha Energy AB (publ), reg. no. 559018-9543, are hereby given notice to attend the annual general meeting at 3:00 p.m. CET on Tuesday 31 May 2022 at Grev Turegatan 30 in Stockholm, Sweden. Registration for the meeting commences at 2:30 p.m CET.

Notice

Shareholders wishing to participate at the meeting must:

  1. be entered in the shareholders’ register, kept by Euroclear Sweden AB (the Swedish Central Securities Depository & Clearing Organisation), on the record day which is Friday 20 May 2022; and
  2. notify the company of their attendance and any assistant no later than Tuesday 24 May 2022. Notification can be made via letter to Setterwalls Advokatbyrå AB, Attn: Magnus Melin, P.O. Box 1050, SE-101 39 Stockholm, Sweden or by e-mail to magnus.melin@setterwalls.se.

Notification shall include full name, personal identification number or corporate registration number, address and daytime telephone number and, where appropriate, information about representative, proxy and assistants. The number of assistants may not be more than two. In order to facilitate entry to the meeting, notification should, where appropriate, be accompanied by powers of attorney, registration certificates and other documents of authority.

Personal data obtained from the share register kept by Euroclear Sweden AB, notices and attendance at the meeting and information on representatives, proxies and assistants will be used for registration, preparation of the voting list for the meeting and, where appropriate, the minutes of the meeting.

Nominee registered shares

Shareholders who have their shares registered in the name of a nominee must request temporary entry in the transcription of the share register kept by Euroclear Sweden AB in order to be entitled to participate and vote for their shares at the meeting. The shareholder must inform the nominee well in advance of Friday 20 May 2022 at which time the register entry must have been made. Voting rights registration that has been requested by the shareholder at such time that the registration has been completed by the nominee no later than Tuesday 24 May 2022, will, however, be taken into account in the preparation of the share register.

Proxy

A shareholder represented by proxy shall issue a power of attorney which shall be dated and signed by the shareholder. If issued by a legal entity the power of attorney shall be accompanied by registration certificate or, if not applicable, equivalent documents of authority. Power of attorney forms for those shareholders wishing to participate by proxy are available on the company’s website www.mahaenergy.ca. The original version of the power of attorney shall also be presented at the meeting.

Proposed agenda

  1. Opening of the meeting and election of chairman of the meeting;
  2. Preparation and approval of the voting list;
  3. Approval of the agenda;
  4. Election of one (1) or two (2) persons who shall approve the minutes of the meeting;
  5. Determination of whether the meeting has been duly convened;
  6. Submission of the annual report and the auditor’s report and the consolidated financial statements and the auditor’s report on the group;
  7. Resolution in respect of adoption of the profit and loss statement and the balance sheet and the consolidated profit and loss statement and the consolidated balance sheet;
  8. Resolution in respect of allocation of the company’s profit or loss according to the adopted balance sheet;         
  9. Resolution in respect of the members of the board of directors’ and the managing director’s discharge from liability;
  10. Determination of the number of members of the board of directors and the number of auditors and, where applicable, deputy auditors;
  11. Determination of the fees payable to the members of the board of directors and the auditors;
  12. Election of members of the board of directors, auditors and, where applicable, deputy auditors;
  13. Resolution regarding principles for the appointment of and instructions regarding a nomination committee;
  14. Approval of the remuneration report;
  15. Resolution on changes to the articles of association (removal of share class B);
  16. Resolution on an incentive programme and issuance of warrants to the executive management (LTIP 7);
  17. Resolution regarding authorization for the board of directors to increase the share capital;
  18. Closing of the meeting.

Proposed resolutions            

Item 1. Election of chairman of the meeting

The nomination committee, consisting of Christer Lindholm representing Kvalitena AB, Edwyn Neves, representing Banco BTG Pactual, Henrik Morén, representing Jonas Lindvall, and Harald Pousette, the chairman of the board of directors, proposes that attorney Marcus Nivinger is appointed chairman of the annual general meeting.

Item 8. Allocation of the company’s profit or loss according to the adopted balance sheet

The board of directors proposes that the company’s available funds shall be carried forward in new account and that no dividend shall be paid for the last financial year.

Item 10. Determination of the number of members of the board of directors and the number of auditors and deputy auditors

The nomination committee proposes that six board members are elected.

Further, the nomination committee proposes that a registered public auditor is appointed as auditor.

Item 11. Determination of the fees payable to the members of the board of directors and auditors

The nomination committee proposes that the fees payable to the board of directors for the period until the end of the next annual general meeting shall remain the same and amount to a total of SEK 1,615,000 (remuneration for committee work not included) out of which SEK 415,000 shall be paid to the chairman and SEK 300,000 to each of the other ordinary members. The managing director shall not receive a fee as an ordinary member of the board of directors.

Board members shall also be entitled to invoice the company in so far as they perform services outside the board assignment.

Furthermore, it is proposed, as remuneration for the committee work, the chairman of the audit committee is to receive SEK 60,000, the chairman of the remuneration committee SEK 60,000, the chairman of the reserves and health, safety and environmental committee SEK 60,000, members of the audit committee (the chairman excluded) SEK 40,000 each, members of the remuneration committee (the chairman excluded) SEK 40,000 each and members of the reserves and health, safety and environmental committee (the chairman excluded) SEK 40,000 each. The managing director shall not receive remuneration as a member of a committee.

It is proposed that the company’s auditor shall be paid in accordance with approved invoices.

Item 12. Election of members of the board of directors and auditors

The nomination committee proposes re-election of Jonas Lindvall, Harald Pousette, and Nicholas Walker, as ordinary board members. The nomination committee further proposes the new-election of Christer Lindholm, Viktor Modigh and Richard Norris as new ordinary board members. The nomination committee proposes re-election of Harald Pousette as chairman of the board of directors.

Christer Lindholm (born 1977) holds an MSc in Electrical Engineering from the Royal Institute of Technology in Stockholm as well as a BSc in Business Administration and Economics from Stockholm University. Christer is currently the CFO of Kvalitena AB (publ) and has previously worked in the banking and finance and management consultancy industry. Christer is partner and on the board of Addeno AB and on the board at Jitech AB and Apikal Fastighetspartner AB. Christer hold 2,500 shares in Maha.

Viktor Modigh (born 1980) holds a Master of Law from the University of Gothenburg, Sweden with a specialization in Petroleum Law and Petroleum Contracts from the University of Oslo, Norway. He has more than 20 years´ experience of investments across different sectors and has held management positions with Tethys Oil in Oman and the United Arab Emirates. Viktor has worked as a lawyer advising primarily oil and gas companies on regulatory and contractual matters, transactions and general corporate law, and is a member of the Association of International Energy Negotiators. He is currently the Managing Director of Tiveden AS and Chairman of Jumpgate AB, Minotaurus Energi AS and Urtiven AS. Viktor is a resident of Norway and he holds 0 shares in Maha.

Richard Norris (born 1966) holds a PhD in Petroleum Engineering and an MSc in Petroleum Geology from Imperial College in London as well as a BSc in Geology. Richard has over 30 years energy related experience in both industry and finance, including roles with large and small oil companies, as well as roles in debt and equity financing.  He is currently Managing Director of Pandreco Energy Advisors Inc, whose clients include major and junior energy companies, banks and public policy centres. Richard is a Fellow of the Canadian Global Affairs Institute and has worked in engineering, management and board roles covering Africa, Europe, Former Soviet Union and South America with BP, Elf Aquitaine/Total, Geopetrol, Candax Energy and Eland Oil and Gas.  In finance Richard was instrumental in building the European oil and gas structured finance group at BNP Paribas. As a Partner at Helios Investment Partners, Richard co-managed Helios’s Private Equity energy investments throughout Africa. Richard is a resident of Canada and he holds 0 shares in Maha.

Information on the board members proposed for re-election can be found in the annual report and on the company’s website at www.mahaenergy.ca.

The nomination committee further proposes re-election of the accounting firm Deloitte AB as auditor. Deloitte AB has informed that Fredrik Jonsson will continue to be appointed as the auditor-in-charge.

Item 13. Resolution regarding principles for the appointment of and instructions regarding a nomination committee

The nomination committee does not propose any changes to the principles adopted at the annual general meeting in 2021 (applicable until the general meeting decides otherwise). The principles are kept available on the company’s website at www.mahaenergy.ca. 

Item 14. Approval of the remuneration report

The board of directors proposes that the general meeting resolves to approve the board’s remuneration report in accordance with Chapter 8, Section 53a of the Swedish Companies Act.

Item 15. Resolution on changes to the articles of association (removal of share class B)

The board of directors proposes that the general meeting resolves to change the articles of association, with the effect that the company will, after the registration of the new articles of association, only have one type of share. The articles of association in their proposed new version are set out in the board’s complete proposal.

The chairman of the board of directors, the managing director or a person appointed by the board of directors shall be authorised to make any minor adjustments required to register the resolution with the Swedish Companies Registration Office.

Majority requirements

For a valid decision on the proposal on changes to the articles of association, as outlined above, requires that the proposal is supported by shareholders representing at least two-thirds (2/3) of the votes cast and the shares represented at the meeting.

Item 16. Resolution on an incentive programme and issuance of warrants to the executive management (LTIP 7)

The board of directors in Maha Energy AB (publ) (the “Company”) (excluding Jonas Lindvall) proposes that the general meeting resolves on an incentive programme for the executive management through issuance of warrants entitling to subscription of new shares of class A in the Company (“Shares”) as set forth below.

Background

The proposal to launch an incentive programme by the issuance of warrants is presented by the board of directors of the Company (excluding Jonas Lindvall) in order to strengthen the retention of senior executives with the company group and to motivate the senior executives to create shareholder value. The board of directors assess that these objectives are in line with all shareholders’ interests.

The programme encompasses senior executives employed by the Company and subsidiaries of the Company (together, the “Group”). Board members not employed by the Group are not allowed to participate. Those entitled to participate in the incentive programme are hereinafter referred to as “Participants”.

Terms and conditions for the issue of warrants

  1. The Company shall issue not more than 1,197,157 warrants. Each warrant entitles to subscription of one (1) new Share, each with a quotient value of SEK 0.011.
  2. The warrants may, with deviation from the shareholders’ preferential rights, only be subscribed for by Maha Energy Inc (the “Subsidiary”), a subsidiary of the Company, after which the Subsidiary is to transfer the warrants to the Participants in accordance with the resolution adopted by the general meeting and instructions from the board of directors of the Company.  
  3. Subscription of warrants shall be made by the Subsidiary on a subscription list following the general meeting’s issue resolution, but no later than 1 June 2022. The board of directors of the Company shall be entitled to prolong the subscription period.
  4. The warrants shall be issued without consideration (i.e. free of charge) to the Subsidiary.
  5. If all issued warrants are subscribed for by the Subsidiary, transferred to and exercised by the Participants for subscription of new Shares, the Company’s share capital will increase with SEK 13,168.727 (subject to potential recalculations in accordance with standard terms and conditions applicable to the warrants).
  6. The warrants may be exercised for subscription of new Shares during the period from and including 1 June 2025 until and including 1 June 2030. Warrants that have not been exercised for subscription of new Shares by 1 June 2030 shall lapse.
  7. Each warrant shall entitle the warrant holder to subscribe for one (1) new Share in the Company at a subscription price per Share (the “Exercise Price”) corresponding to 100% of the volume weighted average last closing price for the Company’s share on Nasdaq Stockholm during the period from and including 24 May 2022 until and including 31 May 2022. Any amount that exceeds the quotient value shall be transferred to the nonrestricted share premium account. The Exercise Price thus calculated shall be rounded off to the nearest whole SEK 0.10, whereupon SEK 0.5 shall be rounded upwards. The Exercise Price may never be below the quotient value of the shares.
  8. The warrants are subject to customary recalculation conditions.

Allocation principles to be applied in relation to Participants

Warrants subscribed for by the Subsidiary shall be transferred to the Participants in accordance with instructions from the board of directors of the Company and the principles set forth below. Any resolution to transfer warrants to the Participants shall be made by the board of directors unanimously. Jonas Lindvall will not participate in any resolution to transfer warrants to himself.

The transfers of warrants from the Subsidiary to the Participants are to be made without consideration (i.e. free of charge).

Warrants are granted under the incentive programme to senior executives of the Group, and are intended to align such individual’s and shareholder interests by attempting to create a direct relation between compensation and shareholder return. Participation in the incentive programme rewards overall corporate performance, as measured through the price of the shares in the Company. In addition, the incentive programme enables senior executives to develop and maintain a significant ownership position in the Company. No Participant may be offered more than 419,005 warrants.

Allocated warrants may be exercised for subscription of new Shares in the Company during the period from and including 1 June 2025 until and including 1 June 2030. Subscription of new Shares may however not take place during so-called closed periods according to the EU Market Abuse Regulation, or otherwise in breach of relevant insider rules and regulations (including the Company’s internal guidelines in this respect).

Warrant agreement

All warrants will be governed by warrant agreements to be entered into between each Participant and the Subsidiary in connection with the transfer of warrants from the Subsidiary. The warrant agreement will include a so-called vesting structure, certain transfer restrictions and other terms and conditions customary for such agreements. The vesting period until a share may be acquired may not be less than three years.

Reasons for the deviation from the shareholders’ preferential rights

The reasons for the deviation from the shareholders’ preferential rights is that the Company wishes to offer warrants to the executive management of the Group in order to strengthen the retention of senior executives and to motivate them to contribute to the creation of shareholder value.

Dilution, costs, etc.

Upon full subscription, transfer and exercise of all 1,197,157 issued warrants; a total of 1,197,157 new Shares will be issued in the Company (subject to potential recalculations in accordance with standard terms and conditions applicable to the warrants). This would lead to a dilution corresponding to approx. 1 per cent of the total share capital and number of votes in the Company (based on the share capital and number of shares in the Company registered as of the date of this proposal and calculated as the maximum amount of share capital and number of shares that may be issued, divided by the total share capital and the total number of shares in the Company after the proposed warrants to be issued have been exercised).

The incentive programme is expected to have a marginal effect on the Company's earnings per share. A preliminary estimate of the market value of the warrants is SEK 11.35 per warrant for the call period (as at 28 April 2022), assuming subscription at the end of the exercise period and an underlying market value and exercise price of SEK 18.39 per share (as at 28 April 2022). The Black Scholes valuation model has been used for valuing the warrants and assumes a risk-free interest of 1.55 percent and a volatility of 58.54 percent.

Costs related to the issuance of warrants under the incentive programme will be accounted for in accordance with IFRS 2 and recognized as an expense in the income statement during the vesting period. The preliminary estimate of total cost to be recorded during the term of the programme is SEK 13,588,809. Ongoing administration costs and other costs of the programme are minimal.

Outstanding incentive programmes

In addition, 2,532,429 warrants are outstanding under four (4) Long Term Incentive Programs for employees and senior management of the Group, of which the first program comprises of 500,000 warrants (“Program Three”), the second program comprises of 460,000 warrants (“Program Four”), the third program comprises of 1,048,286 warrants (“Program Five”), and the fourth program comprises of 524,143 warrants (“Program Six”). Each warrant under the respective program entitles to subscribe for one new share in the Company. The exercise price of the warrants corresponds to 100 per cent of the volume weighted average last closing price for the Company’s share on Nasdaq First North Growth Market during the period from and including (i) 17 May 2019 until and including 23 May 2019 for Program Three, (ii) 20 May 2020 until and including 27 May 2020 for Program Four, (iii) 21 May 2021 until and including 27 May 2021 for Program Five, and (iv) 21 May 2021 until and including 27 May 2021 for Program Six. The warrants may be exercised from and including (i) 1 June 2022 until and including 28 February 2023 for Program Three, (ii) 1 June 2023 until and including 29 February 2024 for Program Four, (iii) 1 June 2024 until and including 28 February 2025 for Program Five, and (iv) 1 June 2023 until and including 29 February 2024 for Program Six.

Approval of transfer of warrants from the Subsidiary to Participants

A resolution to issue warrants in accordance with this proposal also includes an approval of the transfers of warrants from the Subsidiary to the Participants.    

Preparation of the proposal

This proposal has been prepared by the board of directors (excluding Jonas Lindvall) together with external consultants. The final proposal has been presented by the board of directors (excluding Jonas Lindvall).

Majority requirements

This proposal to adopt the incentive programme and to issue warrants, as well as the approval of the transfers of warrants from the Subsidiary to the Participants, is governed by the provisions in Chapter 16 of the Swedish Companies Act (Sw. Aktiebolagslagen (2005:551)), and a valid resolution therefore requires that the proposal is supported by shareholders representing at least nine-tenths (9/10) of the votes cast as well as of all shares represented at the meeting.

Miscellaneous

The chairman of the board of directors, the managing director or a person appointed by the board of directors shall be authorised to make any minor adjustments required to register the resolution with the Swedish Companies Registration Office.

Item 17. Resolution regarding authorization for the board of directors to increase the share capital

The board of directors proposes that the general meeting resolves on an authorization for the board of directors to – for the period up to the next annual general meeting and at one or more occasions – resolve upon issuance of new shares, warrants and/or convertible debentures. Payment may be made in cash, in kind, through set-off of claims or otherwise be conditional. The company’s share capital may by support of the authorization be increased by an amount corresponding to 20 per cent of the share capital and number of shares in the company as of on the date the board of directors make use of the authorisation. Deviation from the shareholders’ preferential rights shall be allowed in situations where a directed issue is deemed more appropriate for the company due to timing, commercial or similar reasons, and in order to enable acquisitions. The chairman of the board of directors, the managing director, or anyone authorized by the board of directors, shall have the right to make any minor adjustments required in order to register this resolution.

Majority requirements

For a valid decision on the proposal on an authorization for the board of directors, as outlined above, requires that the proposal is supported by shareholders representing at least two-thirds (2/3) of the votes cast and the shares represented at the meeting.

Number of shares and votes in the company

The total number of shares in the company at the time of issuance of this notice is 119,715,696 (119,715,696 A-shares and 0 B-shares) The total number of votes for all issued shares in the company is 119,715,696 votes. The company does not hold any of its own shares.             

Shareholders’ right to request information

Pursuant to Chapter 7 section 32 of the Swedish Companies Act (Sw. aktiebolagslagen (2005:551)) the board of directors and the managing director are under a duty to, if any shareholder so requests and the board of directors deems that it can be made without material damage to the company, provide information, regarding circumstances which may affect the assessment of a matter on the agenda or of the company’s economic situation. Such duty to provide information also comprises the company’s relation to the other group companies, the consolidated financial statements and such circumstances regarding subsidiaries which are set out in the foregoing sentence.

Documentation

The financial accounts, auditor’s report, complete proposals for resolution and other documents to be dealt with at the general meeting will be kept available at the company’s office not later than three weeks before the meeting. The documents will be sent free of charge to shareholders who so request and state their postal address. The documents will also be made available not later than the aforementioned date on the company’s website www.mahaenergy.ca. All the above mentioned documents will also be presented at the general meeting.

Kallelse till årsstämma i Maha Energy AB (publ)

Aktieägarna i Maha Energy AB (publ), org.nr 559018-9543, kallas härmed till årsstämma tisdagen den 31 maj 2022 klockan 15.00 på Grev Turegatan 30 i Stockholm. Inregistrering till stämman börjar klockan 14.30.

Anmälan

Aktieägare som önskar delta i stämman måste:

  1. vara införd i den av Euroclear Sweden AB förda aktieboken på avstämningsdagen som är fredagen den 20 maj 2022; och
  2. senast tisdagen den 24 maj 2022 ha anmält sitt deltagande och eventuellt biträde till bolaget. Anmälan kan ske skriftligen till Setterwalls Advokatbyrå AB,

Antalet biträden får högst vara två. För att underlätta inpasseringen vid stämman bör anmälan, i förekommande fall, åtföljas av fullmakter, registreringsbevis och andra behörighetshandlingar.

Personuppgifter som hämtas från den av Euroclear Sweden AB förda aktieboken, anmälan och deltagande vid stämman samt uppgifter om ställföreträdare, ombud och biträden kommer att användas för registrering, upprättande av röstlängd för stämman samt, i förekommande fall, stämmoprotokoll.

Förvaltarregistrerade aktier

Aktieägare som låtit förvaltarregistrera sina aktier måste, för att äga rätt att delta i och rösta för sina aktier vid stämman, begära att tillfälligt införas i den av Euroclear Sweden AB förda aktieboken (s.k. rösträttsregistrering). Aktieägaren måste underrätta förvaltaren härom i god tid före fredagen den 20 maj 2022, då sådan införing ska vara verkställd. Rösträttsregistrering som av aktieägare begärts i sådan tid att registreringen gjorts av förvaltaren senast tisdagen den 24 maj 2022 kommer dock att beaktas vid framställningen av aktieboken.

Ombud

Aktieägare som företräds genom ombud ska utfärda skriftlig av aktieägaren undertecknad och daterad fullmakt för ombudet. Om fullmakten utfärdats av juridisk person ska kopia av registreringsbevis bifogas eller om sådan handling inte finns, motsvarande behörighetshandling. Fullmaktsformulär för aktieägare som önskar delta i stämman genom ombud finns på bolagets hemsida www.mahaenergy.ca. Fullmakten i original ska även uppvisas på stämman.

Punkt 1. Öppnande av stämman och val av ordförande vid stämman

Valberedningen, som bestått av Christer Lindholm, representerande Kvalitena AB, Edwyn Neves, vald av Banco BTG Pactual, Henrik Morén, representerande Jonas Lindvall och Harald Pousette, styrelsens ordförande, föreslår att advokat Marcus Nivinger utses till ordförande vid stämman.

Punkt 8. Resultatdisposition

Styrelsen föreslår att bolagets till förfogande stående medel överförs i ny räkning och att det inte sker någon utdelning för det senaste räkenskapsåret.

Punkt 10. Fastställande av antalet styrelseledamöter samt antalet revisorer och revisorssuppleanter

Valberedningen föreslår att sex styrelseledamöter utses.

Valberedningen föreslår vidare att ett registrerat revisionsbolag utses till revisor.

Punkt 11. Fastställande av arvode åt styrelse och revisorer

Valberedningen föreslår att arvoden till styrelsen för tiden intill slutet av nästa årsstämma ska kvarstå oförändrat och uppgå till totalt 1 615 000 SEK (ersättning för utskottsarbete inte inkluderat) varav 415 000 SEK ska utgå till styrelsens ordförande och 300 000 SEK till var och en av övriga ordinarie styrelseledamöter. Verkställande direktören ska inte erhålla ett arvode som ordinarie styrelseledamot. 

Styrelseledamöter ska även ha rätt att fakturera bolaget i den mån de utför tjänster utanför styrelseuppdraget.

Som ersättning för utskottsarbete föreslås vidare att ordföranden för revisionsutskottet ska erhålla 60 000 SEK, ordföranden för ersättningsutskottet 60 000 SEK, ordföranden för oljereservsutskottet samt hälsa-, säkerhets- och miljöutskottet 60 000 SEK, ledamöter av revisionsutskottet (förutom ordföranden) 40 000 SEK vardera, ledamöter av ersättningsutskottet (förutom ordföranden) 40 000 SEK vardera, samt ledamöter av oljereservsutskottet samt hälsa-, säkerhets- och miljöutskottet (förutom ordföranden) 40 000 SEK vardera (oförändrat). Verkställande direktören ska inte erhålla ersättning som ledamot av ett utskott.

Det föreslås att arvode till bolagets revisor ska utgå enligt godkänd räkning.

Punkt 12. Val av styrelseledamöter och revisorer

Valberedningen föreslår omval av styrelseledamöterna Jonas Lindvall, Harald Pousette och Nicholas Walker som ordinarie styrelseledamöter. Valberedningen föreslår vidare nyval av Christer Lindholm, Viktor Modigh och Richard Norris som nya ordinarie styrelseledamöter. Till styrelsens ordförande föreslår valberedningen omval av Harald Pousette.

Christer Lindholm (född 1977) har en masterexamen i elektroteknik från Kungliga Tekniska Högskolan och en kandidatexamen i företagsekonomi från Stockholms universitet. Christer är för närvarande CFO på Kvalitena AB (publ) och har tidigare arbetat inom bank- och finanssektorn samt som managementkonsult. Christer är partner och styrelseledamot i Addeno AB och styrelseledamot i Jitech AB och Apikal Fastighetspartner AB. Christer innehar 2 500 aktier i Maha.

Viktor Modigh (född 1980) har en juristexamen från Göteborgs universitet, med en specialisering inom oljejuridik och oljekontrakt från Oslo universitet. Han har över 20 års erfarenhet av branschöverskridande investeringar, och har innehaft ledningspositioner inom Tethys Oil i Oman och i Förenade Arabemiraten. Viktor har arbetat som jurist för olje- och gasbolag inom regulatoriska och kontraktuella frågor, transaktioner och allmän bolagsrätt, och är medlem i Association of International Petroleum Negotiators. Han är för närvarande verkställande direktör på Tiveden AS och ordförande i styrelsen för Jumpgate AB, Minotaurus Energi AS och Urtiven AS. Viktor är bosatt i Norge och innehar 0 aktier i Maha.

Richard Norris (född 1966) har en doktorsexamen i petroleumteknologi och en masterexamen i petroleumgeologi från Imperial College i London såväl som en kandidatexamen i geologi. Richard har över 30 års energirelaterad erfarenhet inom såväl industri som finans på både små och stora oljebolag samt roller inom skuld- och aktiefinansiering. Han är för närvarande verkställande direktör på Pandreco Energy Advisors Inc, vars klienter inkluderar stora och små energibolag, banker och offentliga institutioner. Richard är medlem av Canadian Global Affairs Institute och har arbetat som ingenjör och i lednings- och styrelseroller i Afrika, Europa, före detta sovjetunionen och Sydamerika med BP, Elf Aquitaine/Total, Geopetrol, Candax Energy och Eland Oil and Gas. Inom finansbranschen hade Richard en betydande roll i att skapa den europeiska gruppen för strukturerad finansiering för olja och gas hos BNP Paribas. Som partner på Helios Investment Partners var Richard medansvarig för Helios private equity-investeringar inom energi i Afrika. Richard är bosatt i Kanada och innehar 0 aktier i Maha.

Valberedningen föreslår vidare omval av revisionsbolaget Deloitte AB som revisor. Deloitte AB har meddelat att Fredrik Jonsson fortsatt kommer att vara huvudansvarig revisor.

Punkt 13. Beslut om principer för tillsättande av och instruktioner avseende valberedning

Valberedningen föreslår inga ändringar i gällande principer fastlagda vid årsstämman 2021 (tillgängliga till dess att bolagsstämman beslutar annat). Principerna hålls tillgängliga på bolagets hemsida www.mahaenergy.ca.

Punkt 14. Godkännande av ersättningsrapport

Styrelsen föreslår att årsstämman beslutar om godkännande av styrelsens rapport över ersättningar enligt 8 kap 53 a § aktiebolagslagen.

Punkt 15. Beslut om ändring av bolagsordningen (avveckling av aktieslag B)

Styrelsen föreslår att bolagsstämman beslutar om ändring av bolagsordningen med innebörden att bolaget efter registrering av den nya bolagsordningen endast kommer att ha ett aktieslag. Bolagsordningen i dess föreslagna nya lydelse framgår av styrelsens fullständiga förslag.

Styrelsens ordförande, verkställande direktören eller den styrelsen utser, ska äga rätt att vidta de smärre justeringar i beslutet som kan visa sig erforderliga vid registrering av beslutet vid Bolagsverket.

Majoritetskrav

För ett giltigt beslut om förslaget om ändring av bolagsordningen, som beskrivits ovan, fordras att förslaget biträds av aktieägare representerande minst två tredjedelar (2/3) av såväl de angivna rösterna som de vid stämman företrädda aktierna.

Punkt 16. Beslut om incitamentsprogram samt emission av teckningsoptioner till ledande befattningshavare (LTIP 7)

Styrelsen i Maha Energy AB (publ) (”Bolaget”) (exklusive Jonas Lindvall) föreslår att bolagsstämman beslutar om att införa ett incitamentsprogram för ledande befattningshavare genom emission av teckningsoptioner berättigandes till teckning av nya aktier av serie A i Bolaget (”Aktier”) enligt nedan.


Bakgrund och motiv

Förevarande förslag till beslut om incitamentsprogram genom emission av teckningsoptioner har lagts fram av styrelsen i Bolaget (exklusive Jonas Lindvall) i syfte att främja bibehållandet av ledande befattningshavare inom koncernen och för att motivera de ledande befattningshavarna till att skapa värde för aktieägarna. Styrelsen bedömer att dessa syften ligger i linje med samtliga aktieägares intressen. 

Programmet omfattar ledande befattningshavare i Bolaget och Bolagets dotterbolag (tillsammans ”Koncernen”). Styrelseledamöter som inte är anställda i Koncernen tillåts inte att delta. De som har rätt att delta i incitamentsprogrammet benämns i det följande ”Deltagarna”. 

Villkor för emission av teckningsoptioner

  1. Bolaget ska emittera högst 1 197 157 teckningsoptioner. Varje teckningsoption berättigar till teckning av en (1) ny Aktie, envar med ett kvotvärde om 0,011 SEK.
  2. Teckningsoptionerna ska, med avvikelse från aktieägarnas företrädesrätt, endast äga tecknas av Maha Energy Inc. (”Dotterbolaget”), ett dotterbolag till Bolaget, varefter Dotterbolaget ska överlåta teckningsoptionerna till Deltagarna i enlighet med det av bolagsstämman antagna beslutet samt instruktioner från Bolagets styrelse.  
  3. Teckning av teckningsoptioner ska ske av Dotterbolaget på särskild teckningslista i anslutning till bolagsstämmans emissionsbeslut, dock senast den 1 juni 2022. Styrelsen ska ha rätt att förlänga teckningstiden.
  4. Teckningsoptionerna ska emitteras vederlagsfritt till Dotterbolaget.
  5. Om alla emitterade teckningsoptioner tecknas av Dotterbolaget, samt överlåts till och utnyttjas av Deltagarna för teckning av nya Aktier, kommer Bolagets aktiekapital att öka med 13 168,727 SEK (med reservation för eventuella omräkningar i enlighet med teckningsoptionsvillkor som ska gälla för teckningsoptionerna).
  6. Teckning av nya Aktier med stöd av teckningsoptionerna ska kunna ske under perioden från och med 1 juni 2025 till och med den 1 juni 2030. Teckningsoptioner som inte har utnyttjats för teckning av nya Aktier senast den 1 juni 2030 upphör att gälla.
  7. Varje teckningsoption berättigar innehavaren till teckning av en ny Aktie i Bolaget till en teckningskurs per Aktie (”Lösenpriset”) motsvarande 100 procent av den volymvägda genomsnittliga slutliga betalkursen för Bolagets aktie på Nasdaq Stockholm under perioden från och med den 24 maj 2022 till och med den 31 maj 2022. Eventuell överkurs ska tillföras den fria överkursfonden. Det således framräknade Lösenpriset ska avrundas till närmaste hela tiotal öre, varmed 50 öre ska avrundas uppåt. Lösenpriset får aldrig understiga aktiernas kvotvärde.
  8. Teckningsoptionerna omfattas av sedvanliga omräkningsvillkor.

Tilldelningsprinciper att tillämpas i förhållande till Deltagare

Teckningsoptioner tecknade av Dotterbolaget ska överlåtas till Deltagarna i enlighet med instruktioner från Bolagets styrelse samt nedan principer. Beslut om att överlåta teckningsoptioner till Deltagarna ska fattas enhälligt av styrelsen. Jonas Lindvall kommer inte att delta i sådant beslut såvitt avser överlåtelse av teckningsoptioner till sig själv.

Överlåtelsen av teckningsoptioner från Dotterbolaget till Deltagarna ska ske vederlagsfritt.

Teckningsoptioner som tilldelas Koncernens ledande befattningshavare i incitamentsprogrammet avser att sammanföra sådan individs och aktieägarnas intressen genom att skapa en direkt korrelation mellan den ledande befattningshavarens ersättning och aktieägarnas avkastning. Deltagande i incitamentsprogrammet belönar ledande befattningshavare utefter på Bolagets resultat, mätt genom aktiepriset på aktierna i Bolaget. Därutöver möjliggör incitamentsprogrammet för ledande befattningshavare att erhålla och bibehålla ett betydande ägande i Bolaget. Ingen Deltagare ska tilldelas mer än 419 005 teckningsoptioner.

Tilldelade teckningsoptioner får utnyttjas för teckning av nya Aktier i Bolaget under perioden från och med den 1 juni 2025 till och med den 1 juni 2030. Teckning av nya Aktier får däremot inte äga rum under så kallade ”stängda perioder” enligt EU:s marknadsmissbruksförordning, eller annars i strid med tillämpliga regler avseende insiderhandel (inkluderande Bolagets interna riktlinjer i det avseendet).

Teckningsoptionsavtal

Samtliga teckningsoptioner kommer regleras av teckningsoptionsavtal vilka kommer ingås mellan respektive Deltagare och Dotterbolaget i samband med överlåtelsen av teckningsoptionerna från Dotterbolaget. Teckningsoptionsavtalet kommer innehålla bestämmelse om intjänande, särskilda överlåtelsebegränsningar och andra för sådana avtal sedvanliga villkor. Intjänandeperioden innan teckningsoptionerna kan utnyttjas för teckning av aktier ska vara minst tre år.

Skäl till avvikelse från aktieägarnas företrädesrätt

Skälen till avvikelsen från aktieägarnas företrädesrätt är att Bolaget vill erbjuda teckningsoptioner till ledande befattningshavare i Koncernen i syfte att främja bibehållandet av ledande befattningshavare samt för att motivera dem till att bidra till skapandet av värde för aktieägarna.

Utspädning, kostnader, m.m.

Vid full teckning, överlåtelse samt utnyttjande av samtliga 1 197 157 emitterade teckningsoptioner, kommer totalt 1 197 157 nya Aktier emitteras i Bolaget (med reservation för eventuella omräkningar i enlighet med teckningsoptionsvillkor som ska gälla för teckningsoptionerna). Detta skulle medföra en utspädning motsvarande cirka 1 procent av Bolagets totala aktiekapital och antal röster (baserat på aktiekapitalet och antalet aktier i Bolaget registrerat per dagen för detta förslag samt beräknat som det maximala aktiekapitalet och antal aktier som kan emitteras, dividerat med det totala aktiekapitalet och antalet aktier i Bolaget efter det att de föreslagna teckningsoptionerna som ska emitteras har utnyttjats).

Incitamentsprogrammet förväntas få marginell effekt på Bolagets resultat per aktie. En preliminär värdering av teckningsoptionernas marknadsvärde är 11,35 SEK per teckningsoption för teckningsperioden (per den 28 april 2022), med antagandet om teckning vid slutet av utnyttjandeperioden och ett underliggande marknadsvärde och lösenpris om 18,39 SEK per aktie (per den 28 april 2022). Black & Scholes värderingsformel har använts vid värderingen av teckningsoptionerna, med antagande om en riskfri ränta om 1,55 procent och en volatilitet om 58,54 procent.

Kostnader förenade med emission av teckningsoptioner under incitamentsprogrammet kommer att redovisas i enlighet med IFRS 2 och redovisas som en kostnad i resultaträkningen under intjänandeperioden. Den preliminära uppskattningen av totala kostnader under programmets löptid är 13 588 809 SEK. Löpande administrationskostnader och andra kostnader är minimala.

Utestående incitamentsprogram

Vidare så finns det 2 532 429 teckningsoptioner utestående genom fyra (4) långsiktiga incitamentsprogram för anställda och ledande befattningshavare i Koncernen, av vilket det första programmet omfattar 500 000 teckningsoptioner (”Program Tre”), det andra 460 000 teckningsoptioner (”Program Fyra”), det tredje 1 048 286 teckningsoptioner (”Program Fem”) och det fjärde 524 143 teckningsoptioner (”Program Sex”). Vardera teckningsoption under respektive program ger rätt att teckna en ny Aktie i Bolaget. Lösenpriset för teckningsoptionerna motsvarar 100 procent av den volymvägda genomsnittliga slutliga betalkursen för Bolagets aktie på Nasdaq First North Growth Market under perioden från och med (i) den 17 maj 2019 till och med den 23 maj 2019 för Program Tre, (ii) den 20 maj 2020 till och med den 27 maj 2020 för Program Fyra, (iii) den 21 maj 2021 till och med den 27 maj 2021 för Program Fem och (iv) den 21 maj 2021 till och med den 27 maj 2021 för Program Sex. Teckningsoptionerna ska kunna utnyttjas från och med den (i) 1 juni 2022 till och med den 28 februari 2023 för Program Tre, (ii) 1 juni 2023 till och med den 29 februari 2024 för Program Fyra, (iii) 1 juni 2024 till och med den 28 februari 2025 för Program Fem och (iv) 1 juni 2023 till och med den 29 februari 2024 för Program Sex.

Godkännande av överlåtelse av teckningsoptioner från Dotterbolaget till Deltagare

Ett beslut att emittera teckningsoptioner i enlighet med förevarande förslag innefattar även ett godkännande av överlåtelser av teckningsoptioner från Dotterbolaget till Deltagarna. 

Förslagets beredning

Förevarande förslag har beretts av styrelsen (exklusive Jonas Lindvall) i samråd med externa rådgivare. Det slutliga förslaget har lagts fram av styrelsen (exklusive Jonas Lindvall).


Majoritetskrav

Förevarande förslag om inrättandet av ett incitamentsprogram genom emission av teckningsoptioner, liksom godkännandet av överlåtelse av teckningsoptioner från Dotterbolaget till Deltagarna, omfattas av bestämmelserna i 16 kap. aktiebolagslagen (2005:551), varför giltigt beslut fordrar att förslaget biträds av aktieägare representerande minst nio tiondelar (9/10) av såväl de avgivna rösterna som de vid stämman företrädda aktierna.

Övrigt

Styrelsens ordförande, verkställande direktören eller den styrelsen utser, ska äga rätt att vidta de smärre justeringar i beslutet som kan visa sig erforderliga vid registrering av beslutet vid Bolagsverket.

Punkt 17. Beslut om bemyndigande för styrelsen att öka aktiekapitalet

Styrelsen föreslår att bolagsstämman beslutar om ett bemyndigande för styrelsen att – under tiden fram till nästkommande årsstämma samt vid ett eller flera tillfällen – fatta beslut om emission av nya aktier, teckningsoptioner och/eller konvertibler. Betalning ska kunna ske kontant eller genom apport, kvittning eller eljest med villkor. Bolagets aktiekapital ska kunna ökas med ett belopp motsvarande 20 procent av aktiekapitalet och antalet aktier i bolaget från och med det datum styrelsen utnyttjar bemyndigandet. Avvikelse från aktieägarnas företrädesrätt ska godtas i situationer då en riktad emission anses mer lämpad för bolaget med hänsyn till tidpunkt, kommersiella eller dylika anledningar samt för att möjliggöra förvärv. Styrelsens ordförande, VD eller annan person som utses av styrelsen ska ha rätt att vidta sådana smärre justeringar som är erforderliga för att registrera detta beslut.

Majoritetskrav

För ett giltigt beslut om förslaget om bemyndigande för styrelsen, som beskrivits ovan, fordras att förslaget biträds av aktieägare representerande minst två tredjedelar (2/3) av såväl de angivna rösterna som de vid stämman företrädda aktierna.

Antalet aktier och röster i bolaget

Vid tidpunkten för utfärdandet av denna kallelse finns totalt 119 715 696 aktier i bolaget (119 715 696 A-aktier och 0 B-aktier). Det totala antalet röster för samtliga utestående aktier i bolaget är 119 715 696 röster. Bolaget innehar inga egna aktier.       

Aktieägares rätt att begära upplysningar

Enligt 7 kap. 32 § aktiebolagslagen ska styrelsen och den verkställande direktören, om någon aktieägare begär det och styrelsen anser att det kan ske utan väsentlig skada för bolaget, lämna upplysningar om förhållanden som kan inverka på bedömningen av ett ärende på dagordningen och förhållanden som kan inverka på bedömningen av bolagets ekonomiska situation. Upplysningsplikten omfattar även bolagets förhållande till annat koncernföretag, koncernredovisningen samt sådana förhållanden beträffande dotterföretag som avses i föregående mening.

Handlingar

Redovisningshandlingar, revisionsberättelse, fullständiga förslag till beslut och övriga handlingar att behandlas på stämman kommer att hållas tillgängliga på bolagets kontor senast tre veckor före stämman och tillsändes utan kostnad den aktieägare som begär det och uppger sin postadress. Handlingarna kommer senast från denna tidpunkt även att finnas tillgängliga på bolagets hemsida www.mahaenergy.ca. Samtliga ovanstående handlingar kommer även att framläggas på stämman.

Årsstämma i Maha Energy AB (publ)

Idag har årsstämman 2021 hållits i Maha Energy AB (publ). Nedan följer en sammanfattning av de beslut som fattades av årsstämman (samtliga i enlighet med de förslag som presenterats i kallelsen till årsstämman som hållits tillgänglig på bolagets webbplats, www.mahaenergy.ca).

Moderbolagets och koncernens resultat- och balansräkningar fastställdes och styrelsen och verkställande direktören beviljades ansvarsfrihet för räkenskapsåret 2020.

Stämman beslutade att ingen utdelning ska lämnas för räkenskapsåret 2020 och att bolagets till förfogande stående medel överförs i ny räkning.

Till styrelsen omvaldes Jonas Lindvall, Nicholas Walker, Anders Ehrenblad, Harald Pousette, Seth Lieberman och Fredrik Cappelen som ordinarie styrelseledamöter. Harald Pousette omvaldes till styrelseordförande.

Stämman beslutade arvoden till styrelseledamöterna och styrelseordförande, inklusive ersättning för utskottsarbete, enligt följande: (i) årligt arvode om 300 000 SEK till styrelseledamöter (utom verkställande direktören); (ii) årligt arvode om 415 000 SEK till styrelseordföranden; (iii) årlig ersättning om 40 000 SEK till ledamöter av respektive utskott (utom verkställande direktören); (iv) årlig ersättning om 60 000 SEK till ordföranden för respektive utskott; (v) styrelseledamöter ska ha rätt att fakturera bolaget i den mån de utför tjänster utanför styrelseuppdraget.

Revisionsbolaget Deloitte AB omvaldes som bolagets revisor, med den auktoriserade revisorn Fredrik Jonsson som huvudansvarig revisor, för en period som sträcker sig till slutet av årsstämman 2022. Arvode till revisorn ska utgå enligt godkänd räkning.  

Stämman beslutade i enlighet med valberedningens förslag att inga ändringar ska ske i gällande principer för tillsättande av och instruktion avseende valberedning fastlagda vid årsstämman 2020.

Stämman beslutade i enlighet med styrelsens förslag om antagandet av en policy för ersättning och andra anställningsvillkor för ledande befattningshavare i koncernen att gälla tills vidare. Policyn gäller för avtal som ingås efter årsstämman samt för det fall ändringar görs i befintliga avtal efter denna tidpunkt och ska utvärderas minst vart fjärde år.

Stämman beslutade att godkänna bolagets ersättningsrapport för räkenskapsåret 2020.

Stämman beslutade i enlighet med styrelsens förslag att införa två incitamentsprogram för ledande befattningshavare (LTIP 5 & LTIP 6) genom emission av teckningsoptioner till teckning av nya aktier av serie A i bolaget. Besluten innebär att bolaget ska emittera högst 1 048 286 teckningsoptioner inom ramen för incitamentsprogrammet LTIP 5 och högst 524 143 teckningsoptioner inom ramen incitamentsprogrammet LTIP 6. Rätt att teckna teckningsoptionerna ska inom bägge incitamentsprogram, med avvikelse från aktieägarnas företrädesrätt, endast tillkomma dotterbolaget Maha Energy Inc., varefter Maha Energy Inc. ska överlåta teckningsoptionerna till deltagarna under respektive program. Varje teckningsoption inom incitamentsprogrammet LTIP 5 ger rätt att teckna en ny A-aktie i bolaget under tiden från och med den 1 juni 2024 till och med den 28 februari 2025 till en teckningskurs uppgående till ett belopp motsvarande 100 procent av den volymvägda genomsnittliga slutliga betalkursen för bolagets aktie på Nasdaq Stockholm under perioden från och med den 21 maj 2021 till och med 27 maj 2021. Ökningen av bolagets aktiekapital kommer vid fullt utnyttjande av teckningsoptionerna inom incitamentsprogrammet LTIP 5 att uppgå till högst 11 531,146 SEK. Varje teckningsoption inom incitamentsprogrammet LTIP 6 ger rätt att teckna en ny A-aktie i bolaget under tiden från och med den 1 juni 2023 till och med den 29 februari 2024 till en teckningskurs uppgående till ett belopp motsvarande 100 procent av den volymvägda genomsnittliga slutliga betalkursen för bolagets aktie på Nasdaq Stockholm under perioden från och med den 21 maj 2021 till och med 27 maj 2021. Ökningen av bolagets aktiekapital kommer vid fullt utnyttjande av teckningsoptionerna inom incitamentsprogrammet LTIP 6 att uppgå till högst 5 765,573 SEK.

Stämman beslutade att bemyndiga styrelsen att – under tiden fram till nästkommande årsstämma samt vid ett eller flera tillfällen – fatta beslut om emission av nya aktier, teckningsoptioner och/eller konvertibler. Betalning ska kunna ske kontant eller genom apport, kvittning eller eljest med villkor. Bolagets aktiekapital ska kunna ökas med ett belopp motsvarande 20 procent av aktiekapitalet och antalet aktier i bolaget från och med det datum styrelsen utnyttjar bemyndigandet. Avvikelse från aktieägarnas företrädesrätt ska godtas i situationer då en riktad emission anses mer lämpad för bolaget med hänsyn till tidpunkt, kommersiella eller dylika anledningar för att möjliggöra förvärv.

Annual General Meeting in Maha Energy AB (publ)

Today, the annual general meeting of 2021 has been held in Maha Energy AB (publ). Below follows a summary of the decisions taken by the annual general meeting (all in accordance with the proposals presented in the notice to attend the meeting kept available at the Company’s website www.mahaenergy.ca).

The income statements and the balance sheets for the Company and the Group were approved and the Board of Directors and the CEO were discharged from liability for the financial year 2020.

The Meeting resolved that no dividend shall be paid for the financial year 2020 and that the Company’s available funds shall be carried forward in new account.

Jonas Lindvall, Nicholas Walker, Anders Ehrenblad, Harald Pousette, Seth Lieberman, and Fredrik Cappelen were re-elected as members of the Board of Directors. Harald Pousette was re-elected as Chairman of the Board.

The Meeting approved fees payable to the members of the Board of Directors and the Chairman of the Board of Directors, including remuneration for committee work, to be as follows: (i) annual fees of the members of the Board of Directors of SEK 300,000 (excluding the CEO); (ii) annual fee of the Chairman of the Board of Directors of SEK 415,000; (iii) annual fees of SEK 40,000 to members of the respective committees (excluding the CEO); (iv) annual fees of SEK 60,000 to the Chairman of the respective committees; (v) members of the Board of Directors shall be entitled to invoice the Company in so far as they perform services outside the Board assignment.

The accounting firm Deloitte AB was re-elected as the auditor of the Company, with authorized public accountant Fredrik Jonsson as the auditor in charge, for a period until the end of the 2022 Annual General Meeting. The auditor’s fee shall be paid upon approval of their invoice.

The Meeting approved the Nomination Committee’s proposal not to change the principles for the appointment of and instructions regarding a nomination committee adopted at the Annual General Meeting in 2020.

The Meeting resolved in accordance with the proposal of the Board of Directors to adopt a policy for remuneration and other employment conditions for senior executives of the Group, which shall apply for the time being. The policy is applicable on agreements entered into after the Annual General Meeting, and as far as changes are made to existing agreements, thereafter, and shall be reviewed at least every four years.

The Meeting resolved to approve the Company’s remuneration report for the financial year 2020.

The Meeting resolved in accordance with the proposals of the Board of Directors on two incentive programmes for senior management (LTIP 5 & LTIP 6) through issuance of warrants entitling to subscription of new shares of class A in the Company. Under the resolutions, the Company may issue a maximum of 1,048,286 under the incentive programme LTIP 5 and a maximum of 524,143 warrants under the incentive programme LTIP 6. The warrants within both incentive programmes may, with deviation from the shareholders’ preferential rights, only be subscribed for by the subsidiary Maha Energy Inc., after which Maha Energy Inc. is to transfer the warrants to the participants under each programme. Each warrant within the incentive programme LTIP 5 entitles to subscription for one new A-share in the Company during the period from and including June 1, 2024 up to and including February 28, 2025, at a subscription price shall be equal to 100 percent of the volume weighted average last closing price for the Company’s share on Nasdaq Stockholm during the period from and including May 21, 2021 until and including May 27, 2021. The increase of the Company’s share capital will, upon exercise of the warrants in incentive programme LTIP 5, amount to not more than SEK 11,531.146. Each warrant within the incentive programme LTIP 6 entitles to subscription for one new A-share in the Company during the period from and including June 1, 2023 up to and including February 29, 2024, at a subscription price shall be equal to 100 percent of the volume weighted average last closing price for the Company’s share on Nasdaq Stockholm during the period from and including May 21, 2021 until and including May 27, 2021. The increase of the Company’s share capital will, upon exercise of the warrants in incentive programme LTIP 6, amount to not more than SEK 5,765.573.

The Meeting resolved to authorize the Board of Directors to – for the period up to the next Annual General Meeting and at one or more occasions – resolve upon issuance of new shares, warrants and/or convertible debentures. Payment may be made in cash, in kind, through set-off of claims or otherwise be conditional. The Company’s share capital may be by support of the authorization be increased by an amount corresponding to 20 percent of the share capital and number of shares in the Company as of on the date the Board of Directors make use of the authorization. Deviation from the shareholders’ preferential rights shall be allowed in situations where a directed issue is deemed more appropriate for the Company due to timing, commercial or similar reasons, and in order to enable acquisitions.

Notice to attend the Annual General Meeting in Maha Energy AB (publ)

The shareholders in Maha Energy AB (publ), reg. no. 559018-9543, are hereby given notice to attend the annual general meeting at 3:00 p.m. CET on Thursday 27 May 2021. The meeting will be held through postal voting only (see below). 

Special arrangements due to the risk for spread of the virus COVID-19 (coronavirus)

The board of directors has, in light of continued spread of the coronavirus and in accordance with the Swedish Act (2020:198) on temporary exceptions to facilitate the execution of general meetings in companies and other associations, decided that the annual general meeting shall be held without physical presence of shareholders, proxies and/or external parties and that the shareholders shall have only the opportunity to vote by mail prior to the annual general meeting.

Maha welcomes all shareholders to exercise their voting rights at the annual general meeting through postal voting as described below. Information on the resolutions passed at the annual general meeting will be published on Thursday 27 May 2021, as soon as the result of the postal voting has been finally confirmed.  

Notice

Shareholders wishing to participate at the meeting must:

(i)           be entered in the shareholders’ register, kept by Euroclear Sweden AB (the Swedish Central Securities Depository & Clearing Organisation), on the record day which is Wednesday 19 May 2021; and

(ii)          notify the company of their attendance no later than Wednesday 26 May 2021 by casting their postal vote in accordance with the instructions under the heading “Postal voting” below so that the postal voting form is received by Setterwalls Advokatbyrå AB no later than that day. Please note that a notification to attend the general meeting can only be done by a postal vote.

A shareholder represented by proxy shall issue a power of attorney. Further instructions regarding this are available below under the heading “Proxy voting”.

Nominee registered shares

Shareholders who have their shares registered in the name of a nominee must request temporary entry in the transcription of the share register kept by Euroclear Sweden AB (so-called voting rights registration) in order to be entitled to participate and vote for their shares at the meeting through postal voting. The shareholder must inform the nominee well in advance of Wednesday 19 May 2021, at which time the register entry must have been made. Voting rights registration that has been requested by the shareholder at such time that the registration has been completed by the nominee no later than Friday 21 May 2021, will, however, be taken into account in the preparation of the share register.

Postal voting

The shareholders may exercise their voting rights at the annual general meeting only by voting in advance, so-called postal voting, in accordance with Section 22 of the Swedish Act (2020:198) on temporary exceptions to facilitate the execution of general meetings in companies and other associations.

A special form shall be used for postal voting. The form will be available on the company’s website, www.mahaenergy.ca. The postal voting form is considered as the notification of participation at the annual general meeting.

The completed voting form must be received by Setterwalls Advokatbyrå AB no later than Wednesday 26 May 2021. The form may be submitted by post to Setterwalls Advokatbyrå AB, attn: Magnus Melin, P.O. Box 1050, 101 39 Stockholm, Sweden or via e-mail to magnus.melin@setterwalls.se.

The shareholder may not provide special instructions or conditions in the voting form. If so, the vote (i.e. the postal vote in its entirety) is invalid. Further instructions and conditions are included in the form for postal voting.  

The shareholders may request in the postal voting form that a resolution on one or several of the matters on the proposed agenda below should be deferred to a so-called continued general meeting, which cannot be conducted solely by way of postal voting. Such general meeting shall take place if the annual general meeting so resolves or if shareholders with at least one tenth of all shares in the company so requests.

Proxy voting

A shareholder represented by proxy shall issue a power of attorney which shall be dated and signed by the shareholder. If the shareholder postal votes by proxy, the power of attorney shall be enclosed to the form. If issued by a legal entity, the power of attorney shall also be accompanied by registration certificate or, if not applicable, equivalent documents of authority. Power of attorney forms for those shareholders wishing to postal vote by proxy will be available on the company’s website www.mahaenergy.ca.

Proposed resolutions                

Item 1. Election of chairman of the meeting

The nomination committee, consisting of Jonas Vestin, representing Kvalitena AB, Henrik Morén, representing Jonas Lindvall, Ron Panchuk, representing himself and Harald Pousette, the chairman of the board of directors, proposes that attorney Marcus Nivinger is appointed chairman of the annual general meeting, or if he is unable to attend the meeting, any other person proposed by the board of directors. 

Item 2. Preparation and approval of the voting list

The voting list that is proposed for approval is the voting list to be prepared by Setterwalls Advokatbyrå AB on behalf of the company, based on the shareholders’ register for the general meeting kept by Euroclear Sweden AB, and postal votes received, and approved by the person appointed to approve the minutes.

Item 4. Election of one or two persons who shall approve the minutes of the meeting

The board of directors’ proposes that Lars Carnestedt is to be appointed as person verifying the minutes together with the chairman of the general meeting, or in the event he is prevented from doing so, the person the board of directors appoints instead. The person appointed to verify the minutes shall, apart from approving the minutes of the general meeting together with the chairman of the general meeting, check the voting list and that the result of received votes are correctly reflected in the minutes of the general meeting.

Item 8. Allocation of the company’s profit or loss according to the adopted balance sheet

The board of directors proposes that the company’s available funds shall be carried forward in new account and that no dividend shall be paid for the last financial year.

Item 10. Determination of the number of members of the board of directors and the number of auditors and deputy auditors

The nomination committee proposes that six board members are elected.

Further, the nomination committee proposes that a registered public auditor is appointed as auditor.

Item 11. Determination of the fees payable to the members of the board of directors and auditors

The nomination committee proposes that the fees payable to the board of directors for the period until the end of the next annual general meeting shall remain the same and amount to a total of SEK 1,915,000 (remuneration for committee work not included) out of which SEK 415,000 shall be paid to the chairman and SEK 300,000 to each of the other ordinary members. The managing director shall not receive a fee as an ordinary member of the board of directors.

Board members shall also be entitled to invoice the company in so far as they perform services outside the board assignment.

Furthermore, it is proposed, as remuneration for the committee work, the chairman of the audit committee is to receive SEK 60,000, the chairman of the remuneration committee SEK 60,000, the chairman of the reserves and health, safety and environmental committee SEK 60,000, members of the audit committee (the chairman excluded) SEK 40,000 each, members of the remuneration committee (the chairman excluded) SEK 40,000 each and members of the reserves and health, safety and environmental committee (the chairman excluded) SEK 40,000 each. The managing director shall not receive remuneration as a member of a committee.    

It is proposed that the company’s auditor shall be paid in accordance with approved invoices.

Item 12. Election of members of the board of directors and auditors

The nomination committee proposes re-election of Jonas Lindvall, Anders Ehrenblad, Harald Pousette, Nicholas Walker, Fredrik Cappelen and Seth Lieberman as ordinary board members. The nomination committee proposes re-election of Harald Pousette as chairman of the board of directors.

The nomination committee further proposes re-election of the accounting firm Deloitte AB as auditor. Deloitte AB has informed that Fredrik Jonsson will continue to be appointed as the auditor-in-charge.

Item 13. Resolution regarding principles for the appointment of and instructions regarding a nomination committee

The nomination committee does not propose any changes to the principles adopted at the annual general meeting in 2020 (applicable until the general meeting decides otherwise). The principles are kept available on the company’s website at www.mahaenergy.ca

Item 14. Resolution on a policy for remuneration to the senior executives

The board of directors of Maha Energy AB (publ) (the “Company”) propose that the general meeting resolves on the adoption of a policy for remuneration and other employment conditions for the Executive Management (Executive Management being; CEO, CFO, COO and VP level), as set forth below, which shall apply for the time being, but at the latest until the annual general meeting to be held in 2025. The guidelines are applicable on agreements entered into after the annual general meeting held in 2021, and as far as changes are made to existing agreements, thereafter.

Remuneration Policy for Maha Energy AB (publ)

Introduction

Purpose

This remuneration policy encompass the Company’s CEO and board members (in so far as they receive remuneration for services provided to the group outside of the scope of the board assignment), any deputy CEO appointed in the Company and other Executive Managers that the Company regards as Executives. To the extent it should follow from good practice on the Swedish stock market, the guidelines shall also be applicable in relation to additional persons. The guidelines do not include remuneration decided by the general meeting. The board of directors may temporarily resolve to deviate from the guidelines, in whole or in part, if in a specific case there is special cause for the deviation and a deviation is necessary to serve the Company’s long-term interests, including its sustainability, or to ensure the Company’s financial viability. If such deviation occurs, this shall be disclosed for the next annual general meeting. Terms of employments governed by rules other than Swedish may be duly adjusted to comply with mandatory rules or established local practice, taking into account, to the extent possible, the overall purpose of these guidelines.

Principles, promotion of the Company’s business strategy, long-term interests and sustainability

The board of directors assesses that the successful implementation of the Company’s business strategy and safeguarding of its long-term interests, including its sustainability, builds on the Company being able to recruit and retain highly qualified and capable management to achieve set goals. In order to achieve this, the Company must be able to offer competitive total remuneration which these guidelines enable.

Remuneration shall not discriminate on grounds of gender, ethnic background, national origin, age, disability or other irrelevant factors.

Types of remuneration etc.

The main principle is that remuneration and other employment conditions for members of the Executive Management shall be based on market terms and be competitive in order to ensure that the group can attract and retain competent members of the Executive Management at a reasonable cost for the Company. The total remuneration to the Executive Management may consist of fixed cash remuneration, variable cash remuneration, pension benefits and other benefits. Additionally, the general meeting may – irrespective of these guidelines – resolve on, among other things, share or share price-related remuneration.

Fixed cash remuneration

Each member of the Executive Management shall be offered a fixed remuneration to be paid in cash and on market terms commensurate with the international oil and gas sector, based on responsibilities, sector and time experience and performances. The fixed remuneration shall be adjusted annually. In order to avoid that the Executive Management is encouraged to take inappropriate risks, there shall be a fundamental balance between fixed and variable remuneration. The fixed remuneration shall thus be large enough in relation to the total remuneration paid to the Executive Management in order to render it possible to reduce the variable remuneration to zero.

Variable cash remuneration

In addition to the fixed remuneration, the members of the group’s Executive Management may be offered variable remuneration to be paid in cash and based on the result in relation to performance goals within the respective area of responsibility and in line with the shareholders’ interests. Variable remuneration shall be tied to annual performance related objectives and shall amount to a maximum of one hundred per cent of the fixed remuneration. Should variable remuneration paid have been based on information that later shows to have been evidently incorrect, the Company shall have the possibility to request repayment. Variable remuneration shall not be pension qualifying.

Variable remuneration shall be based on clear, predetermined and measurable criteria and predefined individual and operational goals, which can be financial, such as budget control, or non-financial, such as non-productive time measurements or production volume related goals. By setting criteria for variable remuneration for the Executive Management linked to the Company’s earnings as well as sustainability, the Company’s business strategy, long-term interests and competitiveness are promoted. The fulfillment of these criteria shall be measured over a period of one year, and shall be determined based on the Company’s performance and the criteria agreed with the individual member of the Executive Management.

Further variable cash remuneration may be awarded in extraordinary circumstances, provided that such extraordinary arrangements are limited in time and only made on an individual basis, either for the purpose of recruiting or retaining executive management, or as remuneration for extraordinary performance beyond the individual’s ordinary tasks. Such remuneration may not exceed an amount corresponding to fifty per cent of the fixed annual cash remuneration and may not be paid more than once each year per individual.

The Company’s remuneration committee shall propose and evaluate goals for variable remuneration for the group’s Executive Management each year. The evaluation made by the remuneration committee shall be reported to the board of directors.

Long-term share or share-price related incentive programmes

Long-term share-related incentive programmes in the form of warrants giving right to subscribe for new shares have been implemented in the Company. Such programmes have been resolved by the general meeting and are therefore excluded from these guidelines. Warrants entitling the holder to subscribe for new shares in the Company have been issued and allocated to participants under three different incentive programmes for employees and senior management in the Company and its subsidiaries. The first incentive programme was adopted at the annual general meeting held on 30 May 2018, the second was adopted at the annual general meeting held on 23 May 2019, and the third was adopted at the annual general meeting held on 27 May 2020. The warrants issued under the three incentive programmes entitle the holder to subscribe for shares in the Company from 1 May 2021 until and including 30 November 2021, from 1 June 2022 until and including 28 February 2023, and from 1 June 2023 until and including 29 February 2024, respectively. Allocation in the programmes is depending on salary level and time of employment and maximum allocation is conditional upon continued employment during a vesting period of three years.

The share related incentive program is designed to retain and attract long term qualified and committed personnel in a global oil and gas market setting. The program is available to select employees and is meant to re-occur annually.

The remuneration committee and the board of directors shall annually evaluate whether to propose share related incentive programs at the annual general meeting.

Pension

Pension benefits, including health insurance, shall be premium defined unless the individual concerned is subject to defined benefit pension under mandatory collective bargaining agreement provisions. The pension premiums for premium defined pension shall amount to not more than ten percent of the pension qualifying income.

The Company will, at the minimum, follow statutory requirements for pension contributions in each applicable jurisdiction it operates.

Other benefits

Other benefits may include, inter alia, life insurance, health insurance, medical benefits and a company car, and shall be limited in value in relation to other remuneration and shall be paid only in so far as it is considered to be in accordance with the market for other members of executive managements holding corresponding positions on the employment market where the member in question is operating. Premiums and other costs relating to such benefits may amount to not more than ten per cent of the fixed remuneration.

Termination and severance payment

The notice period upon notice given by the Company shall be no longer than six months for all members of the Executive Management, with a right to redundancy payment after the expiration of the notice period corresponding to not more than 100 per cent of the fixed cash remuneration for a maximum of twelve months, meaning that the fixed remuneration and redundancy payment shall together not exceed eighteen months’ fixed salary. Any right to redundancy payment shall, as a main rule, decrease in situations where remuneration is received from another employer. Upon notice given by a member of the Executive Management, the notice period shall generally be six months for the CEO and three months for other members of the Executive Management.

Consideration given to existing salaries and employment conditions for employees

In the preparation of the board of directors’ proposal for these remuneration guidelines, salary and employment conditions for employees of the Company have been taken into account by including information on the employees’ total income, the components of the remuneration and increase and growth rate over time, in the board of directors’ basis of decision when evaluating whether the guidelines and the limitations set out herein are reasonable.

The decision-making process to determine, review and implement the guidelines

The board of directors has established a remuneration committee. The committee’s tasks include preparing the board of directors’ decision to propose guidelines for Executive remuneration. The board of directors shall prepare a proposal for new guidelines when there is need for significant changes and at least every fourth year, and submit it to the general meeting. The guidelines shall be in force until new guidelines are adopted by the general meeting. The committee shall also monitor and evaluate programs for variable remuneration for the Executive Management, the application of the guidelines for Executive remuneration as well as the current remuneration structures and compensation levels in the Company. The members of the committee are independent of the Company and its Executive Management. The CEO and other members of the Executive Management do not participate in the board of directors’ processing of and resolutions regarding remuneration-related matters in so far as they are affected by such matters.

Information in regards to previously decided remunerat­ion

Except for recurring commitments, there are no remuneration commitments in relation to members of the Executive Management that have not become due.

Item 15. Approval of the remuneration report

The board of directors proposes that the general meeting resolves to approve the board’s remuneration report in accordance with Chapter 8, Section 53a of the Swedish Companies Act.

Item 16. Resolution on an incentive programme and issuance of warrants to the executive management (LTIP 5)

The board of directors in Maha Energy AB (publ) (the “Company”) (excluding Jonas Lindvall) proposes that the annual general meeting resolves on an incentive programme for the executive management through issuance of warrants entitling to subscription of new shares of class A in the Company (“Shares”) as set forth below.

Background

The proposal to launch an incentive programme by the issuance of warrants is presented by the board of directors of the Company (excluding Jonas Lindvall) in order to strengthen the retention of senior executives with the company group and to motivate the senior executives to create shareholder value. The board of directors assess that these objectives are in line with all shareholders’ interests.

The programme encompasses senior executives employed by the Company and subsidiaries of the Company (together, the “Group”). Board members not employed by the Group are not allowed to participate. Those entitled to participate in the incentive programme are hereinafter referred to as “Participants”.

Terms and conditions for the issue of warrants

  1. The Company shall issue not more than 1,048,286 warrants. Each warrant entitles to subscription of one (1) new Share, each with a quotient value of SEK 0.011.
  2. The warrants may, with deviation from the shareholders’ preferential rights, only be subscribed for by Maha Energy Inc (the “Subsidiary”), a subsidiary of the Company, after which the Subsidiary is to transfer the warrants to the Participants in accordance with the resolution adopted by the general meeting and instructions from the board of directors of the Company.  
  3. Subscription of warrants shall be made by the Subsidiary on a subscription list following the general meeting’s issue resolution, but no later than 1 June 2021. The board of directors of the Company shall be entitled to prolong the subscription period.
  4. The warrants shall be issued without consideration (i.e. free of charge) to the Subsidiary.
  5. If all issued warrants are subscribed for by the Subsidiary, transferred to and exercised by the Participants for subscription of new Shares, the Company’s share capital will increase with SEK 11,531.146 (subject to potential recalculations in accordance with standard terms and conditions applicable to the warrants).
  6. The warrants may be exercised for subscription of new Shares during the period from and including 1 June 2024 until and including 28 February 2025. Warrants that have not been exercised for subscription of new Shares by 28 February 2025 shall lapse.
  7. Each warrant shall entitle the warrant holder to subscribe for one (1) new Share in the Company at a subscription price per Share (the “Exercise Price”) corresponding to 100% of the volume weighted average last closing price for the Company’s share on Nasdaq Stockholm during the period from and including 21 May 2021 until and including 27 May 2021. Any amount that exceeds the quotient value shall be transferred to the nonrestricted share premium account. The Exercise Price thus calculated shall be rounded off to the nearest whole SEK 0.10, whereupon SEK 0.5 shall be rounded upwards. The Exercise Price may never be below the quotient value of the shares.
  8. The warrants are subject to customary recalculation conditions.

Allocation principles to be applied in relation to Participants

Warrants subscribed for by the Subsidiary shall be transferred to the Participants in accordance with instructions from the board of directors of the Company and the principles set forth below. Any resolution to transfer warrants to the Participants shall be made by the board of directors unanimously. Jonas Lindvall will not participate in any resolution to transfer warrants to himself.

The transfers of warrants from the Subsidiary to the Participants are to be made without consideration (i.e. free of charge).

Warrants are granted under the incentive programme to senior executives of the Group, and are intended to align such individual’s and shareholder interests by attempting to create a direct relation between compensation and shareholder return. Participation in the incentive programme rewards overall corporate performance, as measured through the price of the shares in the Company. In addition, the incentive programme enables senior executives to develop and maintain a significant ownership position in the Company. No Participant may be offered more than 366,900 warrants.

Allocated warrants may be exercised for subscription of new Shares in the Company during the period from and including 1 June 2024 until and including 28 February 2025. Subscription of new Shares may however not take place during so-called closed periods according to the EU Market Abuse Regulation, or otherwise in breach of relevant insider rules and regulations (including the Company’s internal guidelines in this respect).

Warrant agreement

All warrants will be governed by warrant agreements to be entered into between each Participant and the Subsidiary in connection with the transfer of warrants from the Subsidiary. The warrant agreement will include a so-called vesting structure, certain transfer restrictions and other terms and conditions customary for such agreements. The vesting period until a share may be acquired may not be less than three years.

Reasons for the deviation from the shareholders’ preferential rights

The reasons for the deviation from the shareholders’ preferential rights is that the Company wishes to offer warrants to the executive management of the Group in order to strengthen the retention of senior executives and to motivate them to contribute to the creation of shareholder value.

Dilution, costs, etc.

Upon full subscription, transfer and exercise of all 1,048,286 issued warrants; a total of 1,048,286 new Shares will be issued in the Company (subject to potential recalculations in accordance with standard terms and conditions applicable to the warrants). This would lead to a dilution corresponding to approx. 1 per cent of the total share capital and number of votes in the Company (based on the share capital and number of shares in the Company registered as of the date of this proposal and calculated as the maximum amount of share capital and number of shares that may be issued, divided by the total share capital and the total number of shares in the Company after the proposed warrants to be issued have been exercised).

The incentive programme is expected to have a marginal effect on the Company's earnings per share. A preliminary estimate of the market value of the warrants is SEK 5.64 per warrant for the call period (as at 26 April 2021), assuming an underlying market value and exercise price of SEK 12.64 per share (as at 26 April 2021). The Black Scholes valuation model has been used for valuing the warrants and assumes a risk free interest of -0.27 percent and a volatility of 61.6 percent.

Costs related to the issuance of warrants under the incentive programme will be accounted for in accordance with IFRS 2 and recognized as an expense in the income statement during the vesting period. The preliminary estimate of total cost to be recorded during the term of the programme is SEK 5,912,222. Ongoing administration costs and other costs of the programme are minimal.

Outstanding incentive programmes

In addition, 1,710,000 warrants are outstanding under three (3) Long Term Incentive Programs for employees and senior management of the Group, of which the first program comprises of 750,000 warrants (“Program Two”), the second program comprises of 500,000 warrants (“Program Three”), and the third program comprises of 460,000 warrants (“Program Four”). Each warrant under the respective program entitles to subscribe for one new share in the Company. The exercise price of the warrants corresponds to 100 per cent of the volume weighted average last closing price for the Company’s share on Nasdaq First North Growth Market during the period from and including (i) 24 May 2018 until and including 29 May 2018 for Program Two, (ii) 17 May 2019 until and including 23 May 2019 for Program Three, and (iii) 20 May 2020 until and including 27 May 2020 for Program Four. The warrants may be exercised from and including (i) 1 May 2021 until and including 30 November 2021 for Program Two, (ii) 1 June 2022 until and including 28 February 2023 for Program Three, and (iii) 1 June 2023 until and including 29 February 2024 for Program Four.

Approval of transfer of warrants from the Subsidiary to Participants

A resolution to issue warrants in accordance with this proposal also includes an approval of the transfers of warrants from the Subsidiary to the Participants.   

Preparation of the proposal

This proposal has been prepared by the board of directors (excluding Jonas Lindvall) together with external consultants. The final proposal has been presented by the board of directors (excluding Jonas Lindvall).

Majority requirements

This proposal to adopt the incentive programme and to issue warrants, as well as the approval of the transfers of warrants from the Subsidiary to the Participants, is governed by the provisions in Chapter 16 of the Swedish Companies Act (Sw. Aktiebolagslagen (2005:551)), and a valid resolution therefore requires that the proposal is supported by shareholders representing at least nine-tenths (9/10) of the votes cast as well as of all shares represented at the meeting.

Miscellaneous

The chairman of the board of directors, the managing director or a person appointed by the board of directors shall be authorised to make any minor adjustments required to register the resolution with the Swedish Companies Registration Office.

Item 17. Resolution on an incentive programme and issuance of warrants to the executive management (LTIP 6)

The board of directors in Maha Energy AB (publ) (the “Company”) (excluding Jonas Lindvall) proposes that the annual general meeting resolves on an incentive programme for the executive management through issuance of warrants entitling to subscription of new shares of class A in the Company (“Shares”) as set forth below.

Background

The proposal to launch an incentive programme by the issuance of warrants is presented by the board of directors of the Company (excluding Jonas Lindvall) in order to strengthen the retention of senior executives with the company group and to motivate the senior executives to create shareholder value. The board of directors assess that these objectives are in line with all shareholders’ interests.

The programme encompasses senior executives employed by the Company and subsidiaries of the Company (together, the “Group”). Board members not employed by the Group are not allowed to participate. Those entitled to participate in the incentive programme are hereinafter referred to as “Participants”.

Terms and conditions for the issue of warrants

  1. The Company shall issue not more than 524,143 warrants. Each warrant entitles to subscription of one (1) new Share, each with a quotient value of SEK 0.011.
  2. The warrants may, with deviation from the shareholders’ preferential rights, only be subscribed for by Maha Energy Inc (the “Subsidiary”), a subsidiary of the Company, after which the Subsidiary is to transfer the warrants to the Participants in accordance with the resolution adopted by the general meeting and instructions from the board of directors of the Company.  
  3. Subscription of warrants shall be made by the Subsidiary on a subscription list following the general meeting’s issue resolution, but no later than 1 June 2021. The board of directors of the Company shall be entitled to prolong the subscription period.
  4. The warrants shall be issued without consideration (i.e. free of charge) to the Subsidiary.

  6. The warrants may be exercised for subscription of new Shares during the period from and including 1 June 2023 until and including 29 February 2024. Warrants that have not been exercised for subscription of new Shares by 29 February 2024 shall lapse.
  7. Each warrant shall entitle the warrant holder to subscribe for one (1) new Share in the Company at a subscription price per Share (the “Exercise Price”) corresponding to 100% of the volume weighted average last closing price for the Company’s share on Nasdaq Stockholm during the period from and including 21 May 2021 until and including 27 May 2021. Any amount that exceeds the quotient value shall be transferred to the nonrestricted share premium account. Warrant agreement

The minimum vesting period of two years has been set in order to enable senior executives who have not materially participated in recent incentive programmes to participate in shareholder return during the next two years, and thus to motivate them to contribute to the creation of shareholder value.

The reasons for the deviation from the shareholders’ preferential rights is that the Company wishes to offer warrants to the executive management of the Group in order to strengthen the retention of senior executives and to motivate them to contribute to the creation of shareholder value.

Upon full subscription, transfer and exercise of all 524,143 issued warrants; a total of 524,143 new Shares will be issued in the Company (subject to potential recalculations in accordance with standard terms and conditions applicable to the warrants). This would lead to a dilution corresponding to approx. 0.50 per cent of the total share capital and number of votes in the Company (based on the share capital and number of shares in the Company registered as of the date of this proposal and calculated as the maximum amount of share capital and number of shares that may be issued, divided by the total share capital and the total number of shares in the Company after the proposed warrants to be issued have been exercised).

The incentive programme is expected to have a marginal effect on the Company's earnings per share. A preliminary estimate of the market value of the warrants is SEK 4.90 per warrant for the call period (as at 26 April 2021), assuming an underlying market value and exercise price of SEK 12.64 per share (as at 26 April 2021). The Black Scholes valuation model has been used for valuing the warrants and assumes a risk free interest of -0.32 percent and a volatility of 61.6 percent.

Costs related to the issuance of warrants under the incentive programme will be accounted for in accordance with IFRS 2 and recognized as an expense in the income statement during the vesting period. The preliminary estimate of total cost to be recorded during the term of the programme is SEK 2,568,301. Ongoing administration costs and other costs of the programme are minimal.

Item 18. Resolution regarding authorization for the board of directors to increase the share capital

The board of directors proposes that the general meeting resolves on an authorization for the board of directors to – for the period up to the next annual general meeting and at one or more occasions – resolve upon issuance of new shares, warrants and/or convertible debentures. Payment may be made in cash, in kind, through set-off of claims or otherwise be conditional. The company’s share capital may by support of the authorization be increased by an amount corresponding to 20 per cent of the share capital and number of shares in the company as of on the date the board of directors make use of the authorization. Deviation from the shareholders’ preferential rights shall be allowed in situations where a directed issue is deemed more appropriate for the company due to timing, commercial or similar reasons, and in order to enable acquisitions. The chairman of the board of directors, the managing director, or anyone authorized by the board of directors, shall have the right to make any minor adjustments required in order to register this resolution.

Majority requirements

For a valid decision on the proposal on an authorization for the board of directors, as outlined above, requires that the proposal is supported by shareholders representing at least two-thirds (2/3) of the votes cast and the shares represented at the meeting.

Number of shares and votes in the company

The total number of shares in the company at the time of issuance of this notice is 104,828,597 (104,345,231 A-shares and 483,366 convertible B-shares). The total number of votes for all issued shares in the company is 104,828,597 votes. The company does not hold any of its own shares.   

Shareholders’ right to request information

The board of directors and the CEO shall, if any shareholder so requests and the board of directors believe that it can be done without material damage to the company, provide information regarding circumstances that may affect the assessment of an item on the agenda or of the company’s economic situation. Such duty to provide information also comprises the company’s relation to the other group companies, the consolidated financial statements and such circumstances regarding subsidiaries which are set out in the foregoing sentence. A request for such information shall be made in writing no later than on Monday 17 May 2021. The information will be made available at the company’s office from Saturday 22 May 2021, at the latest. The information will, from the same date, also be available on the company’s website www.mahaenergy.ca. The information will also be sent, within the same period of time, to the shareholder who has requested it and stated its address.

Documentation

The financial accounts, auditor’s report, complete proposals for resolution and other documents to be dealt with at the general meeting will be kept available at the company’s office not later than three weeks before the meeting. The documents will be sent free of charge to shareholders who so request and state their postal address. The documents will also be made available not later than the aforementioned date on the company’s website www.mahaenergy.ca. All the above mentioned documents will also be presented at the general meeting.

Kallelse till årsstämma i Maha Energy AB (publ)

Aktieägarna i Maha Energy AB (publ), org.nr 559018-9543, kallas härmed till årsstämma torsdagen den 27 maj 2021 klockan 15.00. Årsstämman kommer att hållas enbart genom poströstning (se nedan för mer information).

Information med anledning av covid-19 (coronaviruset)

Mot bakgrund av den pågående smittspridningen av coronaviruset har styrelsen, i enlighet med lagen (2020:198) om tillfälliga undantag för att underlätta genomförandet av bolags- och föreningsstämmor, beslutat att årsstämman ska genomföras utan fysisk närvaro av aktieägare, ombud och utomstående och att aktieägare ska ha möjlighet att utöva sin rösträtt endast per post före stämman.

Maha välkomnar alla aktieägare att utnyttja sin rösträtt vid årsstämman genom poströstning, enligt den ordning som beskrivs nedan. Information om de vid årsstämman fattade besluten offentliggörs torsdagen den 27 maj 2021 så snart utfallet av röstningen är slutligt sammanställt.

Anmälan

Aktieägare som önskar delta i stämman måste:

  1. vara införd i den av Euroclear Sweden AB förda aktieboken på avstämningsdagen som är onsdagen den 19 maj 2021; och
  2. senast onsdagen den 26 maj 2021 ha anmält sitt deltagande genom att ha avgett sin poströst enligt instruktionerna under rubriken ”Poströstning” nedan så att poströsten är Setterwalls Advokatbyrå AB tillhanda senast den dagen. Observera att anmälan till bolagsstämman enbart kan göras genom poströstning.

Aktieägare som företräds av ombud ska utfärda fullmakt för ombudet. Ytterliga anvisningar kring detta finns nedan under rubriken “Röstning via ombud”.

Förvaltarregistrerade aktier

Aktieägare som har låtit förvaltarregistrera sina aktier måste, för att äga rätt att delta i stämman genom poströstning, begära att tillfälligt införas i den av Euroclear Sweden AB förda aktieboken (s.k. rösträttsregistrering). Aktieägaren måste underrätta förvaltaren härom i god tid före onsdagen den 19 maj 2021, då sådan införing ska vara verkställd. Rösträttsregistrering som av aktieägare begärts i sådan tid att registreringen gjorts av förvaltaren senast fredagen den 21 maj 2021 kommer dock att beaktas vid framställningen av aktieboken.

Poströstning

Aktieägarna får utöva sin rösträtt vid årsstämman endast genom att rösta på förhand, s.k. poströstning, enligt 22 § lagen (2020:198) om tillfälliga undantag för att underlätta genomförandet av bolags- och föreningsstämmor.

Ett särskilt formulär ska användas för poströstningen. Formuläret kommer att finnas tillgängligt på bolagets hemsida www.mahaenergy.ca. Poströstningsformuläret gäller som anmälan till stämman.

Förslag till beslut

Punkt 1. Val av ordförande vid stämman

Valberedningen, som bestått av Jonas Vestin, representerande Kvalitena AB, Henrik Morén, representerande Jonas Lindvall, Ron Panchuk, representerande sig själv och Harald Pousette, styrelsens ordförande, föreslår att advokat Marcus Nivinger utses till ordförande vid stämman eller vid hans förhinder den som styrelsen istället utser.

Punkt 2. Upprättande och godkännande av röstlängd

Röstlängden som föreslås godkännas är den röstlängd som upprättas av Setterwalls Advokatbyrå AB på uppdrag av bolaget, baserat på den av Euroclear Sweden AB förda bolagsstämmoaktieboken samt mottagna poströster, kontrollerad och tillstyrkt av justeringspersonen.

Punkt 4. Val av en (1) eller två (2) justeringspersoner

Styrelsen föreslår att Lars Carnestedt utses till person att jämte stämmoordföranden justera stämmoprotokollet, eller vid dennes förhinder, den eller de som styrelsen istället anvisar. Uppdraget som justeringsperson ska, utöver att jämte stämmoordföranden underteckna stämmoprotokollet, även innefatta att kontrollera röstlängden samt att inkomna poströster blir korrekt återgivna i stämmoprotokollet.

Punkt 8. Resultatdisposition

Styrelsen föreslår att bolagets till förfogande stående medel överförs i ny räkning och att det inte sker någon utdelning för det senaste räkenskapsåret.

Punkt 10. Fastställande av antalet styrelseledamöter samt antalet revisorer och revisorssuppleanter

Valberedningen föreslår att sex styrelseledamöter utses.

Valberedningen föreslår vidare att ett registrerat revisionsbolag utses till revisor.

Punkt 11. Fastställande av arvode åt styrelse och revisorer

Valberedningen föreslår att arvoden till styrelsen för tiden intill slutet av nästa årsstämma ska kvarstå oförändrat och uppgå till totalt 1 915 000 SEK (ersättning för utskottsarbete inte inkluderat) varav 415 000 SEK ska utgå till styrelsens ordförande och 300 000 SEK till var och en av övriga ordinarie styrelseledamöter. Verkställande direktören ska inte erhålla ett arvode som ordinarie styrelseledamot. 

Styrelseledamöter ska även ha rätt att fakturera bolaget i den mån de utför tjänster utanför styrelseuppdraget.

Som ersättning för utskottsarbete föreslås vidare att ordföranden för revisionsutskottet ska erhålla 60 000 SEK, ordföranden för ersättningsutskottet 60 000 SEK, ordföranden för oljereservsutskottet samt hälsa-, säkerhets- och miljöutskottet 60 000 SEK, ledamöter av revisionsutskottet (förutom ordföranden) 40 000 SEK vardera, ledamöter av ersättningsutskottet (förutom ordföranden) 40 000 SEK vardera, samt ledamöter av oljereservsutskottet samt hälsa-, säkerhets- och miljöutskottet (förutom ordföranden) 40 000 SEK vardera (oförändrat). Verkställande direktören ska inte erhålla ersättning som ledamot av ett utskott.   

Det föreslås att arvode till bolagets revisor ska utgå enligt godkänd räkning.

Punkt 12. Val av styrelseledamöter och revisorer

Valberedningen föreslår omval av styrelseledamöterna Jonas Lindvall, Anders Ehrenblad, Harald Pousette, Nicholas Walker, Fredrik Cappelen och Seth Lieberman som ordinarie styrelseledamöter. Till styrelsens ordförande föreslår valberedningen val av Harald Pousette. 

Valberedningen föreslår vidare omval av revisionsbolaget Deloitte AB som revisor. Deloitte AB har meddelat att Fredrik Jonsson fortsatt kommer att vara huvudansvarig revisor.

Punkt 13. Beslut om principer för tillsättande av och instruktion avseende valberedning

Valberedningen föreslår inga ändringar i gällande principer fastlagda vid årsstämman 2020 (tillämpliga till dess att bolagsstämman beslutar annat). Principerna hålls tillgängliga på bolagets hemsida www.mahaenergy.ca.

Punkt 14. Beslut om policy för ersättning till ledande befattningshavare

Styrelsen i Maha Energy AB (publ) (”Bolaget”) föreslår att bolagsstämman fattar beslut om antagande av policy för ersättning och andra anställningsvillkor för ledande befattningshavare (vilka består av verkställande direktör, CFO, COO och Vice Presidents) enligt föl­jande att gälla tills vidare, dock längst för tiden fram till årsstämman 2025. Riktlinjerna gäller för avtal som ingås efter det att riktlinjerna antagits av årsstämman 2021 samt för det fall ändringar görs i befintliga avtal efter denna tidpunkt.

Ersättningspolicy för Maha Energy AB (publ)

Inledning

Syfte

Denna ersättningspolicy omfattar Bolagets verkställande direktör och styrelseledamöterna (i den mån de erhåller ersättning för tjäns­ter utförda åt koncernen utanför styrelseuppdraget), eventuell vice verkställande direktör i Bolaget och andra befattningshavare som Bolaget betraktar som ledningspersoner. I den mån det skulle följa av god sed på aktiemarknaden ska riktlinjerna även vara tillämpliga i förhållande till en vidare personkrets. Riktlinjerna omfattar inte ersättningar som beslutas av bolagsstämman. Styrelsen ska ha rätt att tillfälligt frångå riktlinjerna helt eller delvis, om det i ett enskilt fall finns särskilda skäl för det och ett avsteg är nödvändigt för att tillgodose Bolagets långsiktiga intressen, inklusive dess hållbarhet, eller för att säkerställa Bolagets ekonomiska bärkraft. Om sådan avvikelse sker ska detta redovisas inför närmast följande årsstämma. Beträffande anställningsförhållanden som lyder under andra regler än svenska får vederbörliga anpassningar ske för att följa tvingande sådana regler eller fast lokal praxis, varvid dessa riktlinjers övergripande ändamål så långt möjligt ska tillgodoses.

Riktlinjernas främjande av Bolagets affärsstrategi, långsiktiga intressen och hållbarhet

Styrelsen bedömer att en framgångsrik implementering av Bolagets affärsstrategi och tillvaratagandet av Bolagets långsiktiga intressen, inklusive dess hållbarhet, förutsätter att Bolaget kan rekrytera och behålla en ledning med god kompetens och kapacitet att nå uppställda mål. För detta krävs att Bolaget kan erbjuda konkurrenskraftig totalersättning vilka dessa riktlinjer möjliggör.

Ersättningen ska inte vara diskriminerande på grund av kön, etnisk bakgrund, nationellt ursprung, ålder, funktionsnedsättning eller andra ovidkommande omständigheter.

Former av ersättning m.m

Grundprincipen är att ersättning och andra anställningsvillkor för ledande befattningshavare ska vara marknadsmässiga och konkurrenskraftiga för att säkerställa att koncernen kan attrahera och behålla kompetenta ledande befattningshavare till för Bolaget rimliga kostnader. Den totala ersättningen till ledande befattningshavare får bestå av fast kontantersättning, rörlig kontantersättning, pensionsförmåner och övriga förmåner. Bolagsstämman kan därutöver – och oberoende av dessa riktlinjer – besluta om aktie- och aktiekursrelaterade ersättningar.

Fast kontantersättning

Varje ledande befattningshavare ska erbjudas en fast ersättning vilken ska utgå kontant, vara marknadsmässig, i linje med ersättningar inom den internationella olje- och gasindustrin, och baserad på individens erfarenhet, ansvar, kompetens och arbetsinsats. Den fasta ersättningen ska revideras årligen. För att undvika att ledande befattningshavare uppmuntras till osunt risktagande ska det finnas en grundläggande balans mellan fast och rörlig ersättning. Den fasta ersättningen ska således stå för en tillräckligt stor del av den ledande befattningshavarens totala ersättning för att det ska vara möjligt att sätta ner den rörliga delen till noll.

Rörlig kontantersättning

Utöver fast ersättning ska ledande befattningshavare även kunna erhålla rörlig ersättning vilken ska utgå kontant och baseras på utfallet i förhållande till resultatmål inom det individuella ansvarsområdet samt sammanfalla med aktieägarnas intressen. Rörlig ersättning ska vara kopplad till årliga resultatmål och uppgå till maximalt 100 procent av den fasta ersättningen. För det fall rörlig er­sättning som utbetalats visar sig ha betalats på basis av uppgifter som senare visar sig vara uppenbart felaktiga ska Bolaget ha möjligheten att återkräva utbetald ersättning. Rörlig ersättning ska inte vara pensionsgrundande.

Rörlig ersättning ska grundas på tydliga, förutbestämda och mätbara kriterier och i förväg uppsatta individuella mål och verksamhetsmål som kan vara finansiella, såsom efterlevnad av budget, eller icke-finansiella, såsom kopplade till produktivitet eller produktionsrelaterade mål. Genom upprättandet av kriterier för rörlig ersättning som kopplar de ledande befattningshavarnas ersättning till Bolagets resultat och hållbarhet, främjas genomförandet av Bolagets affärsstrategi, långsiktiga intressen och konkurrenskraft. Uppfyllelse av dessa kriterier ska kunna mätas under en period av ett år, och ska fastställas baserat på Bolagets resultat och de individuella kriterier som överenskommits med den ledande befattningshavaren.

Ytterligare kontant rörlig ersättning kan utgå vid extraordinära omständigheter, förutsatt att sådana extraordinära arrangemang är tidsbegränsade och endast görs på individnivå antingen i syfte att rekrytera eller behålla ledande befattningshavare, eller som ersättning för extraordinära arbetsinsatser utöver personens ordinarie arbetsuppgifter. Sådan ersättning får inte överstiga ett belopp motsvarande 50 procent av den fasta årliga kontantersättningen samt ej utges mer än en gång per år och per individ.

Bolagets ersättningsutskott ska årligen föreslå och utvärdera mål för rörlig ersättning till koncernens ledande befattningshavare. Ersättningsutskottets utvärdering ska rapporteras till styrelsen. 

Långsiktiga aktie- eller aktiekursrelaterade incitamentsprogram

I Bolaget har inrättats långsiktiga aktierelaterade incitamentsprogram i form av teckningsoptioner med rätt till teckning av nya aktier. De har beslutats av bolagsstämman och omfattas därför inte av dessa riktlinjer. Teckningsoptioner med rätt till teckning av nya aktier i Bolaget har emitterats och tilldelats deltagare under tre olika incitamentsprogram för anställda och ledande befattningshavare i Bolaget samt Bolagets dotterbolag. Det första incitamentsprogrammet antogs av årsstämman den 30 maj 2018, det andra antogs av årsstämman den 23 maj 2019 och det tredje antogs av årsstämman den 27 maj 2020. Löptiden för teckning av aktier genom utnyttjandet av teckningsoptioner emitterade inom ramen för de tre incitamentsprogrammen är 1 maj 2021 till och med 30 november 2021, 1 juni 2022 till och med 28 februari 2023, respektive 1 juni 2023 till och med 29 februari 2024. Tilldelning i programmen är kopplat till lönenivå och anställningstid och full tilldelning förutsätter fortsatt anställning under en intjänandeperiod om tre år.

Det aktierelaterade incitamentsprogrammet är utformat för att behålla och rekrytera långsiktigt kvalificerad och engagerad personal inom den globala olje- och gasmarknaden. Programmet är tillgängligt för utvald personal, och ska vara årligt återkommande.

Ersättningsutskottet och styrelsen ska årligen utvärdera huruvida aktierelaterade incitamentsprogram ska föreslås årsstämman.

Pension

Pensionsförmåner, innefattande sjukförsäkring, ska vara premiebestämda om inte befattningshavaren omfattas av förmånsbestämd pension enligt tvingande kollektivavtalsbestämmelser. Pensionspremierna för premiebestämd pension ska uppgå till högst tio procent av den pensionsgrundande inkomsten.

Bolaget ska, som minimum, följa lagstadgade krav för pensionsavsättningar i varje tillämplig jurisdiktion som det är verksamt.

Övriga förmåner

Övriga förmåner kan innefatta bland annat livförsäkring, sjukvårdsförsäkring, företagshälsovård och bilförmån, och ska vara av begränsat värde i förhållande till övrig ersättning och kunna utgå i den utsträckning detta bedöms vara marknadsmässigt för ledande befattningshavare i motsvarande positioner på den arbetsmarknad där befattningshavaren är verksam. Premier och andra kostnader i anledning av sådana förmåner får sammanlagt uppgå till högst tio procent av den fasta ersättningen.

Uppsägning och avgångsvederlag

Vid uppsägning från Bolagets sida ska uppsägningstiden för samtliga ledande befattningshavare vara högst sex månader med rätt till avgångsvederlag efter uppsägningstidens slut mot­svarande högst 100 procent av den fasta kontantersättningen i maximalt tolv månader, alltså ska fast ersättning under uppsägningstiden och avgångsvederlag för de ledande befattningshavarna sammantaget inte överstiga 18 fasta månadslöner. Eventuell rätt till avgångsvederlag ska som huvudregel minska i situationer där ersättning under aktuell period erhålls från annan arbetsgivare. Vid uppsägning från befattningshavarens sida ska uppsägningstiden normalt vara sex månader för verk­ställande direktören och tre månader för övriga ledande befattningshavare.

Beaktande av befintliga löner och anställningsvillkor

Vid beredningen av styrelsens förslag till dessa ersättningsriktlinjer har lön och anställningsvillkor för Bolagets anställda beaktats genom att uppgifter om anställdas totalersättning, ersättningens komponenter samt ersättningens ökning och ökningstakt över tid utgjort en del av styrelsens beslutsunderlag vid utvärderingen av skäligheten av riktlinjerna och de begränsningar som följer av dessa.

Beslutsprocessen för att fastställa, se över och genomföra riktlinjerna

Styrelsen har inrättat ett ersättningsutskott. I utskottets uppgifter ingår att bereda styrelsens beslut om förslag till riktlinjer för ersättning till ledande befattningshavare. Styrelsen ska upprätta förslag till nya riktlinjer när det uppkommer behov av väsentliga förändringar och åtminstone vart fjärde år, och lägga fram förslaget för beslut vid bolagsstämma. Riktlinjerna ska gälla till dess att nya riktlinjer antagits av bolagsstämman. Utskottet ska även följa och utvärdera program för rörliga ersättningar för bolagsledningen, tillämpningen av riktlinjer för ersättning till ledande befattningshavare samt gällande ersättningsstrukturer och ersättningsnivåer i Bolaget. Utskottets ledamöter är oberoende i förhållande till Bolaget och bolagsledningen. Vid styrelsens behandling av och beslut i ersättningsrelaterade frågor närvarar inte verkställande direktören eller andra personer i bolagsledningen, i den mån de berörs av frågorna.

Information om tidigare beslutade ersättningar

Utöver löpande åtaganden finns inga ersättningsåtaganden gentemot ledande befattningshavare som inte har förfallit till betalning.

Punkt 15. Godkännande av ersättningsrapport

Styrelsen föreslår att årsstämman beslutar om godkännande av styrelsens rapport över ersättningar enligt 8 kap 53 a § aktiebolagslagen.

Punkt 16. Beslut om incitamentsprogram samt emission av teckningsoptioner till ledande befattningshavare (LTIP 5)

Styrelsen i Maha Energy AB (publ) (”Bolaget”) (exklusive Jonas Lindvall) föreslår att bolagsstämman beslutar om att införa ett incitamentsprogram för ledande befattningshavare genom emission av teckningsoptioner berättigandes till teckning av nya aktier av serie A i Bolaget (”Aktier”) enligt nedan.

Bakgrund och motiv

Förevarande förslag till beslut om incitamentsprogram genom emission av teckningsoptioner har lagts fram av styrelsen i Bolaget (exklusive Jonas Lindvall) i syfte att främja bibehållandet av ledande befattningshavare inom koncernen och för att motivera de ledande befattningshavarna till att skapa värde för aktieägarna. Styrelsen bedömer att dessa syften ligger i linje med samtliga aktieägares intressen. 

Programmet omfattar ledande befattningshavare i Bolaget och Bolagets dotterbolag (tillsammans ”Koncernen”). Styrelseledamöter som inte är anställda i Koncernen tillåts inte att delta. De som har rätt att delta i incitamentsprogrammet benämns i det följande ”Deltagarna”. 

Villkor för emission av teckningsoptioner

  1. Bolaget ska emittera högst 1 048 286 teckningsoptioner. Varje teckningsoption berättigar till teckning av en (1) ny Aktie, envar med ett kvotvärde om 0,011 SEK.
  2. Teckningsoptionerna ska, med avvikelse från aktieägarnas företrädesrätt, endast äga tecknas av Maha Energy Inc. (”Dotterbolaget”), ett dotterbolag till Bolaget, varefter Dotterbolaget ska överlåta teckningsoptionerna till Deltagarna i enlighet med det av bolagsstämman antagna beslutet samt instruktioner från Bolagets styrelse.  
  3. Teckning av teckningsoptioner ska ske av Dotterbolaget på särskild teckningslista i anslutning till bolagsstämmans emissionsbeslut, dock senast den 1 juni 2021. Styrelsen ska ha rätt att förlänga teckningstiden.
  4. Teckningsoptionerna ska emitteras vederlagsfritt till Dotterbolaget.
  5. Om alla emitterade teckningsoptioner tecknas av Dotterbolaget, samt överlåts till och utnyttjas av Deltagarna för teckning av nya Aktier, kommer Bolagets aktiekapital att öka med 11 531,146 SEK (med reservation för eventuella omräkningar i enlighet med teckningsoptionsvillkor som ska gälla för teckningsoptionerna).
  6. Teckning av nya Aktier med stöd av teckningsoptionerna ska kunna ske under perioden från och med 1 juni 2024 till och med den 28 februari 2025. Teckningsoptioner som inte har utnyttjats för teckning av nya Aktier senast den 28 februari 2025 upphör att gälla.
  7. Varje teckningsoption berättigar innehavaren till teckning av en ny Aktie i Bolaget till en teckningskurs per Aktie (”Lösenpriset”) motsvarande 100 procent av den volymvägda genomsnittliga slutliga betalkursen för Bolagets aktie på Nasdaq Stockholm under perioden från och med den 21 maj 2021 till och med den 27 maj 2021. Eventuell överkurs ska tillföras den fria överkursfonden. Det således framräknade Lösenpriset ska avrundas till närmaste hela tiotal öre, varmed 50 öre ska avrundas uppåt. Lösenpriset får aldrig understiga aktiernas kvotvärde.
  8. Teckningsoptionerna omfattas av sedvanliga omräkningsvillkor.

Tilldelningsprinciper att tillämpas i förhållande till Deltagare

Teckningsoptioner tecknade av Dotterbolaget ska överlåtas till Deltagarna i enlighet med instruktioner från Bolagets styrelse samt nedan principer. Beslut om att överlåta teckningsoptioner till Deltagarna ska fattas enhälligt av styrelsen. Jonas Lindvall kommer inte att delta i sådant beslut såvitt avser överlåtelse av teckningsoptioner till sig själv.

Överlåtelsen av teckningsoptioner från Dotterbolaget till Deltagarna ska ske vederlagsfritt.

Teckningsoptioner som tilldelas Koncernens ledande befattningshavare i incitamentsprogrammet avser att sammanföra sådan individs och aktieägarnas intressen genom att skapa en direkt korrelation mellan den ledande befattningshavarens ersättning och aktieägarnas avkastning. Deltagande i incitamentsprogrammet belönar ledande befattningshavare utefter på Bolagets resultat, mätt genom aktiepriset på aktierna i Bolaget. Därutöver möjliggör incitamentsprogrammet för ledande befattningshavare att erhålla och bibehålla ett betydande ägande i Bolaget. Ingen Deltagare ska tilldelas mer än 366 900 teckningsoptioner.

Tilldelade teckningsoptioner får utnyttjas för teckning av nya Aktier i Bolaget under perioden från och med den 1 juni 2024 till och med den 28 februari 2025. Teckning av nya Aktier får däremot inte äga rum under så kallade ”stängda perioder” enligt EU:s marknadsmissbruksförordning, eller annars i strid med tillämpliga regler avseende insiderhandel (inkluderande Bolagets interna riktlinjer i det avseendet).

Teckningsoptionsavtal

Samtliga teckningsoptioner kommer regleras av teckningsoptionsavtal vilka kommer ingås mellan respektive Deltagare och Dotterbolaget i samband med överlåtelsen av teckningsoptionerna från Dotterbolaget. Teckningsoptionsavtalet kommer innehålla bestämmelse om intjänande, särskilda överlåtelsebegränsningar och andra för sådana avtal sedvanliga villkor. Intjänandeperioden innan teckningsoptionerna kan utnyttjas för teckning av aktier ska vara minst tre år.

Skäl till avvikelse från aktieägarnas företrädesrätt

Skälen till avvikelsen från aktieägarnas företrädesrätt är att Bolaget vill erbjuda teckningsoptioner till ledande befattningshavare i Koncernen i syfte att främja bibehållandet av ledande befattningshavare samt för att motivera dem till att bidra till skapandet av värde för aktieägarna.

Utspädning, kostnader, m.m.

Vid full teckning, överlåtelse samt utnyttjande av samtliga 1 048 286 emitterade teckningsoptioner, kommer totalt 1 048 286 nya Aktier emitteras i Bolaget (med reservation för eventuella omräkningar i enlighet med teckningsoptionsvillkor som ska gälla för teckningsoptionerna). Detta skulle medföra en utspädning motsvarande cirka 1 procent av Bolagets totala aktiekapital och antal röster (baserat på aktiekapitalet och antalet aktier i Bolaget registrerat per dagen för detta förslag samt beräknat som det maximala aktiekapitalet och antal aktier som kan emitteras, dividerat med det totala aktiekapitalet och antalet aktier i Bolaget efter det att de föreslagna teckningsoptionerna som ska emitteras har utnyttjats).

Incitamentsprogrammet förväntas få marginell effekt på Bolagets resultat per aktie. En preliminär värdering av teckningsoptionernas marknadsvärde är 5,64 SEK per teckningsoption för teckningsperioden (per den 26 april 2021), med antagandet om ett underliggande marknadsvärde och lösenpris om 12,64 SEK per aktie (per den 26 april 2021). Black & Scholes värderingsformel har använts vid värderingen av teckningsoptionerna, med antagande om en riskfri ränta om -0,27 procent och en volatilitet om 61,6 procent.

Kostnader förenade med emission av teckningsoptioner under incitamentsprogrammet kommer att redovisas i enlighet med IFRS 2 och redovisas som en kostnad i resultaträkningen under intjänandeperioden. Den preliminära uppskattningen av totala kostnader under programmets löptid är 5 912 222 SEK. Löpande administrationskostnader och andra kostnader är minimala.

Utestående incitamentsprogram

Vidare så finns det 1 710 000 teckningsoptioner utestående genom tre (3) långsiktiga incitamentsprogram för anställda och ledande befattningshavare i Koncernen, av vilket det första programmet omfattar 750 000 teckningsoptioner (”Program Två”), det andra 500 000 teckningsoptioner (”Program Tre”) och det tredje 460 000 teckningsoptioner (”Program Fyra”). Vardera teckningsoption under respektive program ger rätt att teckna en ny Aktie i Bolaget. Lösenpriset för teckningsoptionerna motsvarar 100 procent av den volymvägda genomsnittliga slutliga betalkursen för Bolagets aktie på Nasdaq First North Growth Market under perioden från och med (i) den 24 maj 2018 till och med den 29 maj 2018 för Program Två, (ii) den 17 maj 2019 till och med den 23 maj 2019 för Program Tre och (iii) den 20 maj 2020 till och med den 27 maj 2020 för Program Fyra. Teckningsoptionerna ska kunna utnyttjas från och med den (i) 1 maj 2021 till och med den 30 november 2021 för Program Två, (ii) 1 juni 2022 till och med den 28 februari 2023 för Program Tre och (iii) 1 juni 2023 till och med den 29 februari 2024 för Program Fyra.

Godkännande av överlåtelse av teckningsoptioner från Dotterbolaget till Deltagare

Ett beslut att emittera teckningsoptioner i enlighet med förevarande förslag innefattar även ett godkännande av överlåtelser av teckningsoptioner från Dotterbolaget till Deltagarna. 

Förslagets beredning

Förevarande förslag har beretts av styrelsen (exklusive Jonas Lindvall) i samråd med externa rådgivare. Det slutliga förslaget har lagts fram av styrelsen (exklusive Jonas Lindvall).

Majoritetskrav

Förevarande förslag om inrättandet av ett incitamentsprogram genom emission av teckningsoptioner, liksom godkännandet av överlåtelse av teckningsoptioner från Dotterbolaget till Deltagarna, omfattas av bestämmelserna i 16 kap. aktiebolagslagen (2005:551), varför giltigt beslut fordrar att förslaget biträds av aktieägare representerande minst nio tiondelar (9/10) av såväl de avgivna rösterna som de vid stämman företrädda aktierna.

Övrigt

Styrelsens ordförande, verkställande direktören eller den styrelsen utser, ska äga rätt att vidta de smärre justeringar i beslutet som kan visa sig erforderliga vid registrering av beslutet vid Bolagsverket.

Punkt 17. Beslut om incitamentsprogram samt emission av teckningsoptioner till ledande befattningshavare (LTIP 6)

Styrelsen i Maha Energy AB (publ) (”Bolaget”) (exklusive Jonas Lindvall) föreslår att bolagsstämman beslutar om att införa ett incitamentsprogram för ledande befattningshavare genom emission av teckningsoptioner berättigandes till teckning av nya aktier av serie A i Bolaget (”Aktier”) enligt nedan.

Bakgrund och motiv

Förevarande förslag till beslut om incitamentsprogram genom emission av teckningsoptioner har lagts fram av styrelsen i Bolaget (exklusive Jonas Lindvall) i syfte att främja bibehållandet av ledande befattningshavare inom koncernen och för att motivera de ledande befattningshavarna till att skapa värde för aktieägarna. Styrelsen bedömer att dessa syften ligger i linje med samtliga aktieägares intressen. 

Programmet omfattar ledande befattningshavare i Bolaget och Bolagets dotterbolag (tillsammans ”Koncernen”). Styrelseledamöter som inte är anställda i Koncernen tillåts inte att delta. De som har rätt att delta i incitamentsprogrammet benämns i det följande ”Deltagarna”. 

Villkor för emission av teckningsoptioner

  1. Bolaget ska emittera högst 524 143 teckningsoptioner. Varje teckningsoption berättigar till teckning av en (1) ny Aktie, envar med ett kvotvärde om 0,011 SEK.
  2. Teckningsoptionerna ska, med avvikelse från aktieägarnas företrädesrätt, endast äga tecknas av Maha Energy Inc. (”Dotterbolaget”), ett dotterbolag till Bolaget, varefter Dotterbolaget ska överlåta teckningsoptionerna till Deltagarna i enlighet med det av bolagsstämman antagna beslutet samt instruktioner från Bolagets styrelse.  
  3. Teckning av teckningsoptioner ska ske av Dotterbolaget på särskild teckningslista i anslutning till bolagsstämmans emissionsbeslut, dock senast den 1 juni 2021. Styrelsen ska ha rätt att förlänga teckningstiden.
  4. Teckningsoptionerna ska emitteras vederlagsfritt till Dotterbolaget.
  5. Om alla emitterade teckningsoptioner tecknas av Dotterbolaget, samt överlåts till och utnyttjas av Deltagarna för teckning av nya Aktier, kommer Bolagets aktiekapital att öka med 5 764,573 SEK (med reservation för eventuella omräkningar i enlighet med teckningsoptionsvillkor som ska gälla för teckningsoptionerna).
  6. Teckning av nya Aktier med stöd av teckningsoptionerna ska kunna ske under perioden från och med 1 juni 2023 till och med den 29 februari 2024. Teckningsoptioner som inte har utnyttjats för teckning av nya Aktier senast den 29 februari 2024 upphör att gälla.
  7. Varje teckningsoption berättigar innehavaren till teckning av en ny Aktie i Bolaget till en teckningskurs per Aktie (”Lösenpriset”) motsvarande 100 procent av den volymvägda genomsnittliga slutliga betalkursen för Bolagets aktie på Nasdaq Stockholm under perioden från och med den 21 maj 2021 till och med den 27 maj 2021. Eventuell överkurs ska tillföras den fria överkursfonden. Det således framräknade Lösenpriset ska avrundas till närmaste hela tiotal öre, varmed 50 öre ska avrundas uppåt. Lösenpriset får aldrig understiga aktiernas kvotvärde.
  8. Teckningsoptionerna omfattas av sedvanliga omräkningsvillkor.

Tilldelningsprinciper att tillämpas i förhållande till Deltagare

Teckningsoptioner tecknade av Dotterbolaget ska överlåtas till Deltagarna i enlighet med instruktioner från Bolagets styrelse samt nedan principer. Beslut om att överlåta teckningsoptioner till Deltagarna ska fattas enhälligt av styrelsen. Jonas Lindvall kommer inte att delta i sådant beslut såvitt avser överlåtelse av teckningsoptioner till sig själv.

Överlåtelsen av teckningsoptioner från Dotterbolaget till Deltagarna ska ske vederlagsfritt.

Teckningsoptioner som tilldelas Koncernens ledande befattningshavare i incitamentsprogrammet avser att sammanföra sådan individs och aktieägarnas intressen genom att skapa en direkt korrelation mellan den ledande befattningshavarens ersättning och aktieägarnas avkastning. Deltagande i incitamentsprogrammet belönar ledande befattningshavare utefter på Bolagets resultat, mätt genom aktiepriset på aktierna i Bolaget. Därutöver möjliggör incitamentsprogrammet för ledande befattningshavare att erhålla och bibehålla ett betydande ägande i Bolaget. Ingen Deltagare ska tilldelas mer än 183 450 teckningsoptioner.

Tilldelade teckningsoptioner får utnyttjas för teckning av nya Aktier i Bolaget under perioden från och med den 1 juni 2023 till och med den 29 februari 2024. Teckning av nya Aktier får däremot inte äga rum under så kallade ”stängda perioder” enligt EU:s marknadsmissbruksförordning, eller annars i strid med tillämpliga regler avseende insiderhandel (inkluderande Bolagets interna riktlinjer i det avseendet).

Teckningsoptionsavtal

Samtliga teckningsoptioner kommer regleras av teckningsoptionsavtal vilka kommer ingås mellan respektive Deltagare och Dotterbolaget i samband med överlåtelsen av teckningsoptionerna från Dotterbolaget. Teckningsoptionsavtalet kommer innehålla bestämmelse om intjänande, särskilda överlåtelsebegränsningar och andra för sådana avtal sedvanliga villkor. Intjänandeperioden innan teckningsoptionerna kan utnyttjas för teckning av aktier ska vara minst två år. Den minsta intjänandeperioden om två år har fastställts för att ge ledande befattningshavare som inte i väsentlig mån har deltagit i de senaste incitamentsprogrammen möjlighet att ta del av avkastningen för aktieägare under de kommande två åren och därmed motivera dem till att bidra till skapandet av värde för aktieägarna.

Skäl till avvikelse från aktieägarnas företrädesrätt

Skälen till avvikelsen från aktieägarnas företrädesrätt är att Bolaget vill erbjuda teckningsoptioner till ledande befattningshavare i Koncernen i syfte att främja bibehållandet av ledande befattningshavare samt för att motivera dem till att bidra till skapandet av värde för aktieägarna.

Utspädning, kostnader, m.m.

Vid full teckning, överlåtelse samt utnyttjande av samtliga 524 143 emitterade teckningsoptioner, kommer totalt 524 143 nya Aktier emitteras i Bolaget (med reservation för eventuella omräkningar i enlighet med teckningsoptionsvillkor som ska gälla för teckningsoptionerna). Detta skulle medföra en utspädning motsvarande cirka 0,50 procent av Bolagets totala aktiekapital och antal röster (baserat på aktiekapitalet och antalet aktier i Bolaget registrerat per dagen för detta förslag samt beräknat som det maximala aktiekapitalet och antal aktier som kan emitteras, dividerat med det totala aktiekapitalet och antalet aktier i Bolaget efter det att de föreslagna teckningsoptionerna som ska emitteras har utnyttjats).

Incitamentsprogrammet förväntas få marginell effekt på Bolagets resultat per aktie. En preliminär värdering av teckningsoptionernas marknadsvärde är 4,90 SEK per teckningsoption för teckningsperioden (per den 26 april 2021), med antagandet om ett underliggande marknadsvärde och lösenpris om 12,64 SEK per aktie (per den 26 april 2021). Black & Scholes värderingsformel har använts vid värderingen av teckningsoptionerna, med antagande om en riskfri ränta om -0,32 procent och en volatilitet om 61,6 procent.

Kostnader förenade med emission av teckningsoptioner under incitamentsprogrammet kommer att redovisas i enlighet med IFRS 2 och redovisas som en kostnad i resultaträkningen under intjänandeperioden. Den preliminära uppskattningen av totala kostnader under programmets löptid är 2 568 301 SEK. Löpande administrationskostnader och andra kostnader är minimala.

Utestående incitamentsprogram

Vidare så finns det 1 710 000 teckningsoptioner utestående genom tre (3) långsiktiga incitamentsprogram för anställda och ledande befattningshavare i Koncernen, av vilket det första programmet omfattar 750 000 teckningsoptioner (”Program Två”), det andra 500 000 teckningsoptioner (”Program Tre”) och det tredje 460 000 teckningsoptioner (”Program Fyra”). Vardera teckningsoption under respektive program ger rätt att teckna en ny Aktie i Bolaget. Lösenpriset för teckningsoptionerna motsvarar 100 procent av den volymvägda genomsnittliga slutliga betalkursen för Bolagets aktie på Nasdaq First North Growth Market under perioden från och med (i) den 24 maj 2018 till och med den 29 maj 2018 för Program Två, (ii) den 17 maj 2019 till och med den 23 maj 2019 för Program Tre och (iii) den 20 maj 2020 till och med den 27 maj 2020 för Program Fyra. Teckningsoptionerna ska kunna utnyttjas från och med den (i) 1 maj 2021 till och med den 30 november 2021 för Program Två, (ii) 1 juni 2022 till och med den 28 februari 2023 för Program Tre och (iii) 1 juni 2023 till och med den 29 februari 2024 för Program Fyra.

Godkännande av överlåtelse av teckningsoptioner från Dotterbolaget till Deltagare

Ett beslut att emittera teckningsoptioner i enlighet med förevarande förslag innefattar även ett godkännande av överlåtelser av teckningsoptioner från Dotterbolaget till Deltagarna. 

Förslagets beredning

Förevarande förslag har beretts av styrelsen (exklusive Jonas Lindvall) i samråd med externa rådgivare. Det slutliga förslaget har lagts fram av styrelsen (exklusive Jonas Lindvall).

Majoritetskrav

Förevarande förslag om inrättandet av ett incitamentsprogram genom emission av teckningsoptioner, liksom godkännandet av överlåtelse av teckningsoptioner från Dotterbolaget till Deltagarna, omfattas av bestämmelserna i 16 kap. aktiebolagslagen (2005:551), varför giltigt beslut fordrar att förslaget biträds av aktieägare representerande minst nio tiondelar (9/10) av såväl de avgivna rösterna som de vid stämman företrädda aktierna.

Övrigt

Styrelsens ordförande, verkställande direktören eller den styrelsen utser, ska äga rätt att vidta de smärre justeringar i beslutet som kan visa sig erforderliga vid registrering av beslutet vid Bolagsverket.

Punkt 18. Beslut om bemyndigande för styrelsen att öka aktiekapitalet

Styrelsen föreslår att bolagsstämman beslutar om ett bemyndigande för styrelsen att – under tiden fram till nästkommande årsstämma samt vid ett eller flera tillfällen – fatta beslut om emission av nya aktier, teckningsoptioner och/eller konvertibler. Betalning ska kunna ske kontant eller genom apport, kvittning eller eljest med villkor. Bolagets aktiekapital ska kunna ökas med ett belopp motsvarande 20 procent av aktiekapitalet och antalet aktier i bolaget från och med det datum styrelsen utnyttjar bemyndigandet. Avvikelse från aktieägarnas företrädesrätt ska godtas i situationer då en riktad emission anses mer lämpad för bolaget med hänsyn till tidpunkt, kommersiella eller dylika anledningar samt för att möjliggöra förvärv. Styrelsens ordförande, VD eller annan person som utses av styrelsen ska ha rätt att vidta sådana smärre justeringar som är erforderliga för att registrera detta beslut.

Majoritetskrav

För ett giltigt beslut om förslaget om bemyndigande för styrelsen, som beskrivits ovan, fordras att förslaget biträds av aktieägare representerande minst två tredjedelar (2/3) av såväl de angivna rösterna som de vid stämman företrädda aktierna.

Antalet aktier och röster i bolaget

Vid tidpunkten för utfärdandet av denna kallelse finns totalt 104 828 597 aktier i bolaget (104 345 231 A-aktier och 483 366 konvertibla B-aktier). Det totala antalet röster för samtliga utestående aktier i bolaget är 104 828 597 röster. Bolaget innehar inga egna aktier.                        

Aktieägares rätt att begära upplysningar

Styrelsen och verkställande direktören ska, om någon aktieägare begär det och styrelsen anser att det kan ske utan väsentlig skada för bolaget, lämna upplysningar om förhållanden som kan inverka på bedömningen av ett ärende på dagordningen och förhållanden som kan inverka på bedömningen av bolagets ekonomiska situation. Upplysningsplikten omfattar även bolagets förhållande till annat koncernföretag, koncernredovisningen samt sådana förhållanden beträffande dotterföretag som avses i föregående mening. Begäran om sådana upplysningar ska lämnas skriftligen till bolaget senast måndagen den 17 maj 2021. Upplysningarna lämnas genom att de hålls tillgängliga hos bolaget senast lördagen den 22 maj 2021. Informationen kommer, från detta datum, även finnas tillgänglig på bolagets hemsida www.mahaenergy.ca. Upplysningarna skickas också inom samma tid till den aktieägare som har begärt dem och uppgett sin adress.

Annual General Meeting in Maha Energy AB (publ)

The shareholders of Maha Energy AB (publ) gathered in Stockholm, Sweden, Wednesday May 27, 2020 for the Annual General Meeting.

The income statements and the balance sheets for the Company and the Group were approved and the Board of Directors and the CEO were discharged from liability for the financial year 2019.

The Meeting resolved that no dividend shall be paid for the financial year 2019 and that the company’s available funds shall be carried forward in new account.

Jonas Lindvall, Nicholas Walker, Anders Ehrenblad, Harald Pousette, Seth Liebermann, and Fredrik Cappelen were elected as members of the Board of Directors. Harald Pousette was elected as Chairman of the Board.

The Meeting approved fees payable to the members of the Board of Directors and the Chairman of the Board of Directors, including remuneration for committee work, to be as follows: (i) annual fees of the members of the Board of Directors of SEK 300,000 (excluding the CEO); (ii) annual fee of the Chairman of the Board of Directors of SEK 415,000; (iii) annual fees of SEK 40,000 to members of the respective committees (excluding the CEO); (iv) annual fees of SEK 60,000 to the Chairman of the respective committees; (v) members of the Board of Directors shall be entitled to invoice the Company in so far as they perform services outside the Board assignment.

The accounting firm Deloitte AB was re-elected as the auditor of the Company, with authorized public accountant Fredrik Jonsson as the auditor in charge, for a period until the end of the 2021 Annual General Meeting. The auditor’s fee shall be paid upon approval of their invoice.

The Meeting approved the Nomination Committee’s proposal not to change the principles for the appointment of and instructions regarding a nomination committee adopted at the Annual General Meeting in 2019.

The Meeting resolved in accordance with the proposal of the Board of Directors to adopt a policy for remuneration and other employment conditions for senior executives of the group, which shall apply for the time being. The policy is applicable on agreements entered into after the Annual General Meeting, and as far as changes are made to existing agreements, thereafter, and shall be reviewed at least every four years.

The Meeting resolved in accordance with the proposal of the Board of Directors on an incentive programme for senior management and certain key employees through issuance of warrants entitling to subscription of new shares of class A in the Company. Under the resolution, the Company may issue a maximum of 460,000 warrants. The warrants may, with deviation from the shareholders’ preferential rights, only be subscribed for by the subsidiary Maha Energy Inc., after which Maha Energy Inc. is to transfer the warrants to the participants under the programme. Each warrant entitles to subscription for one new A-share in the Company during the period from and including June 1, 2023 up to and including February 29, 2024. The subscription price shall be equal to 100 percent of the volume weighted average last closing price for the Company’s share on Nasdaq First North during the period from and including May 20, 2020 until and including May 27, 2020. The increase of the Company’s share capital will, upon exercise of the warrants, amount to not more than SEK 5,060.

The Meeting resolved to authorize the Board of Directors to – for the period up to the next Annual General Meeting and at one or more occasions – resolve upon issuance of new shares, warrants and/or convertible debentures. Payment may be made in cash, in kind, through set-off of claims or otherwise be conditional. The Company’s share capital may be by support of the authorization be increased by an amount corresponding to 20 percent of the share capital and number of shares in the Company as of on the date the Board of Directors make use of the authorization. Deviation from the shareholders’ preferential rights shall be allowed in situations where a directed issue is deemed more appropriate for the Company due to timing, commercial or similar reasons, and in order to enable acquisitions.   

The Meeting resolved in accordance with the proposal of the Board of Directors on changes to the company’s articles of association (i) regarding the prerequisites for participating in general meetings and (ii) regarding the removal of share classes C1 and C2.

Notice to attend the Annual General Meeting in Maha Energy AB (publ)

The shareholders in Maha Energy AB (publ), reg. no. 559018-9543, are hereby given notice to attend the annual general meeting at 3:00 p.m. CET on Wednesday 27 May 2020 at Setterwalls Advokatbyrå’s offices at Sturegatan 10 in Stockholm, Sweden. Registration for the meeting commences at 2:30 p.m. CET.

Information in relation to the Corona virus (Covid-19)

In view of the recent developments of the spread of the Corona virus (Covid-19), the company has taken certain precautionary measures in relation to the annual general meeting on 27 May 2020. The measures are being taken to reduce the risk of spread of contagion.

  • Shareholders should carefully consider the possibility to vote in advance, please see below, as well as the possibility of participating by way of proxy. Shareholders who display symptoms of infection (dry cough, fever, respiratory distress, sore throat, headache, muscle and joint ache), have been in contact with people displaying symptoms, have visited a risk area, or belong to a risk group, are in particular encouraged to vote in advance or utilize a proxy. A form for advance voting and proxy form is available at www.mahaenergy.ca.
  • Only registered shareholders will admitted and no external guests will be invited
  • No refreshments will be served prior to or after the annual general meeting.
  • Statements will be limited to a few minutes, or be cancelled in order to limit the length of the meeting. No statement will be held by the CEO on the annual general meeting.
  • The annual general meeting will be conducted in the shortest possible time without limiting the rights of the shareholders. The questions at the meeting will be focused on the items on the agenda. Notice

Shareholders wishing to participate at the meeting must:

  1. be entered in the shareholders’ register, kept by Euroclear Sweden AB (the Swedish Central Securities Depository & Clearing Organisation), on the record day which is Wednesday 20 May 2020; and
  2. notify the company of their attendance and any assistant no later than Wednesday 20 May 2020. Notification can be made via letter to Setterwalls Advokatbyrå AB, Attn: Magnus Melin, P.O. Box 1050, SE-101 39 Stockholm, Sweden or by e-mail to magnus.melin@setterwalls.se.

Notification shall include full name, personal identification number or corporate registration number, address and daytime telephone number and, where appropriate, information about representative, proxy and assistants. The number of assistants may not be more than two. In order to facilitate entry to the meeting, notification should, where appropriate, be accompanied by powers of attorney, registration certificates and other documents of authority.

Personal data obtained from the share register kept by Euroclear Sweden AB, notices and attendance at the meeting and information on representatives, proxies and assistants will be used for registration, preparation of the voting list for the meeting and, where appropriate, the minutes of the meeting. 

Nominee registered shares

Shareholders who have their shares registered in the name of a nominee must request temporary entry in the transcription of the share register kept by Euroclear Sweden AB in order to be entitled to participate and vote for their shares at the meeting. The shareholder must inform the nominee well in advance of Wednesday 20 May 2020, at which time the register entry must have been made.

Advance voting

The shareholders may exercise their voting rights at the general meeting by voting in advance, so called postal voting in accordance with section 3 of the Act (2020:198) on temporary exceptions to facilitate the execution of general meetings in companies and other associations. The company encourages the shareholders to use this opportunity in order to minimise the number of participants attending the general meeting in person and thus reduce the spread of the infection.

A special form shall be used for advance voting. The form is available on www.mahaenergy.ca. A shareholder who is exercising its voting right through postal voting do not need to notify the company of its attendance to the general meeting. The advance voting form is considered as the notification of attendance to the general meeting.

The completed voting form must be submitted to the company no later than on Wednesday 20 May 2020. The completed and signed form shall be sent to the address stated under “Notice” above. A completed form may also be submitted electronically and is to be sent to magnus.melin@setterwalls.se. If the shareholder is a legal entity, a certificate of incorporation or a corresponding document shall be enclosed to the form. The shareholder may not provide special instructions or conditions in the voting form. If so, the vote is invalid.

Proxy

A shareholder represented by proxy shall issue a power of attorney which shall be dated and signed by the shareholder. If issued by a legal entity the power of attorney shall be accompanied by registration certificate or, if not applicable, equivalent documents of authority. Power of attorney forms for those shareholders wishing to participate by proxy are available on the company’s website www.mahaenergy.ca. The original version of the power of attorney shall also be presented at the meeting.

Proposed agenda

  1. Opening of the meeting and election of chairman of the meeting;
  2. Preparation and approval of the voting list;
  3. Approval of the agenda;
  4. Election of one (1) or two (2) persons who shall approve the minutes of the meeting;
  5. Determination of whether the meeting has been duly convened;
  6. Submission of the annual report and the auditor’s report and the consolidated financial statements and the auditor’s report on the group;
  7. Resolution in respect of adoption of the profit and loss statement and the balance sheet and the consolidated profit and loss statement and the consolidated balance sheet;
  8. Resolution in respect of allocation of the company’s profit or loss according to the adopted balance sheet;
  9. Resolution in respect of the members of the board of directors’ and the managing director’s discharge from liability;
  10. Determination of the number of members of the board of directors and the number of auditors and, where applicable, deputy auditors;
  11. Determination of the fees payable to the members of the board of directors and the auditors;
  12. Election of members of the board of directors, auditors and, where applicable, deputy auditors;

Proposed resolutions                

Item 1. Election of chairman of the meeting

The nomination committee, consisting of Harald Pousette, representing Kvalitena AB, Lars Carnestedt, representing Nerthus Investments Ltd., Patrik Lindvall, representing Jonas Lindvall and Anders Ehrenblad, the chairman of the board of directors, proposes that attorney Marcus Nivinger is appointed chairman of the annual general meeting.

Item 8. Allocation of the company’s profit or loss according to the adopted balance sheet

The board of directors proposes that the company’s available funds shall be carried forward in new account and that no dividend shall be paid for the last financial year.

Item 10. Determination of the number of members of the board of directors and the number of auditors and deputy auditors

The nomination committee proposes that six board members are elected.

Further, the nomination committee proposes that a registered public auditor is appointed as auditor.

Item 11. Determination of the fees payable to the members of the board of directors and auditors

The nomination committee proposes that the fees payable to the board of directors for the period until the end of the next annual general meeting shall remain the same and amount to a total of SEK 1,915,000 (remuneration for committee work not included) out of which SEK 415,000 shall be paid to the chairman and SEK 300,000 to each of the other ordinary members. The managing director shall not receive a fee as an ordinary member of the board of directors.

Board members shall also be entitled to invoice the company in so far as they perform services outside the board assignment.

Furthermore, it is proposed, as remuneration for the committee work, the chairman of the audit committee is to receive SEK 60,000, the chairman of the compensation and governance committee SEK 60,000, the chairman of the reserves and health, safety and environment committee SEK 60,000, members of the audit committee (the chairman excluded) SEK 40,000 each, members of the compensation and governance committee (the chairman excluded) SEK 40,000 each and members of the reserves and health, safety and environment committee (the chairman excluded) SEK 40,000 each. The managing director shall not receive remuneration as a member of a committee.    

It is proposed that the company’s auditor shall be paid in accordance with approved invoices.

Item 12. Election of members of the board of directors and auditors

The nomination committee proposes re-election of Jonas Lindvall, Anders Ehrenblad, Harald Pousette and Nicholas Walker as ordinary board members. The nomination committee further proposes the new-election of Seth Lieberman and Fredrik Cappelen as new ordinary board members. The nomination committee proposes election of Harald Pousette as chairman of the board of directors.

Seth Lieberman, born 1961 and a resident of United Kingdom, obtained a Bachelor of Arts in Economics from Tuft University, USA. Seth Lieberman is a seasoned veteran within the international real estate sector, particularly in his native USA and Europe. He also has broad experience within business solutions, financing and private equity participation. He has held senior roles at Advanced Capital’s Real Estate Fund, UBS Investment Bank, Hypo Real Estate, Lehman Brothers International, Credit Suisse and GE Capital. Seth Lieberman is a member of EQT Real Estate Funds I & II investment committee. Seth Lieberman is the Chairman of Kvalitena AB (publ) and a number of its’ subsidiaries, including Huski Chockolate and Svenskt Industrifly.

Fredrik Cappelen, born 1962, and a resident of Norway, obtained his Bachelor of Arts in Business from Regents University in the United Kingdom. Fredrik Cappelen has a long history in the Norwegian oil and gas financing scene. He is currently the managing director and majority shareholder of M25 Industrier AS and Vinfos AS.  Prior work experience includes Head of Sales of Equity Capital Markets at Arctic AS, before which he held several senior management positions at SEB, including Head of Sales and Corporate Finance. Fredrik Capellen is a Director of Sikri AS, Proxll AS and Proterm AS.

The nomination committee further proposes re-election of the accounting firm Deloitte AB as auditor. Deloitte AB has informed that Fredrik Jonsson will continue to be appointed as the auditor-in-charge.

Item 13. Resolution regarding principles for the appointment of and instructions regarding a nomination committee

The nomination committee does not propose any changes to the principles adopted at the annual general meeting in 2019 (applicable until the general meeting decides otherwise). The principles are kept available on the company’s website at www.mahaenergy.ca

Item 14. Resolution on a policy for remuneration to the senior executives

The board of directors proposes that the general meeting resolves on the adoption of a policy for remuneration and other employment conditions for senior executives, as set forth below, which shall apply for the time being. The policy is applicable on agreements entered into after the general meeting held in 2020, and as far as changes are made to existing agreements, thereafter.

Purpose

This remuneration policy includes salary and other terms and conditions for Senior Executives of Maha Energy AB (publ) and its subsidiaries (collectively “Maha” or the “Company”), including the managing director, hereinafter collectively referred to as “Management Persons”. Senior Executives for the purpose of this Policy shall include all Officers of the Company.  The purpose of this policy is to provide guidelines for salary and other benefits for the Management Persons in accordance with applicable law and the requirements of the Swedish Corporate Governance Code. 

This policy is only applicable to Maha’s Management Persons.

This policy shall be adopted at the annual general meeting (“AGM”) 2020 and reviewed at least every four years.

Main principles

Salary and other terms and conditions shall enable Maha to attract and retain competent Management Persons. The remuneration for Management Persons may consist of fixed salary, variable remuneration, pension, other benefits and share related incentive programs. Variable remuneration is to be linked to predetermined and measurable performance criteria, formulated with the objective to promote Maha’s long-term value creation.

Remuneration shall not discriminate on grounds of gender, ethnic background, national origin, age, disability or other irrelevant factors.

Fixed salary

Management Persons employed by Maha shall be offered a market level fixed salary, commensurate with the international oil and gas sector, based on responsibilities, sector and time experience and performances. Salary shall be determined per calendar year with salary revision on 1 January each year.

Management Persons, if active in Maha on a consultancy basis will be paid a market level consultancy fee, commensurate with the international oil and gas sector, based on responsibilities and performances for time spent.

Variable remuneration

The managing director and other Management Persons employed by Maha may from time to time be offered variable remuneration. Such variable remuneration eligibility shall be set forth in each Management Person’s employment agreement. Maha’s maximum cost of variable remuneration to Management Persons, including social security contributions, is to be accounted for in the Annual Report which shall be available prior to the Annual General Meeting of Shareholders.

Variable remuneration for the Management Persons shall primarily be based on Maha’s result and the individual’s performance. The Company’s remuneration committee shall propose and evaluate goals for variable remuneration for Management Persons each year. The evaluation made by the remuneration committee shall be reported to the board of directors.

Share related incentive programs

The share related incentive program is designed to retain and attract long term qualified and committed personnel in a global oil and gas market setting.  The program is available to select employees and is meant to re-occur annually.

The number of share related options shall be in the middle range of listed companies in Sweden.

Some Management Persons and Maha employees (including some of Maha’s consultants) may participate in share related option programs in Maha. The programs is described in the annual report.

The remuneration committee and the board of directors shall annually evaluate whether to propose share related incentive programs at the Annual General Meeting.

Pension

The Pension benefits comprise of a defined contribution scheme with premiums calculated on the full basic salary.  The Pension contributions shall be in relation to the basic salary and is set on an individual basis but shall not be higher than what is tax deductible.

The Company will, at the minimum, follow statutory requirements for Pension contributions in each applicable jurisdiction it operates.

Termination and severance payment

The Company are bound by individual employment agreements where severance obligations are common for Management Persons.  Additionally, the Company abides by statutory severance obligations in the countries it operates.

Redundancy payment, apart from salary, during the period of termination notice is not allowed.

Preparations and decision-making of the board of directors

The remuneration committee proposes, and the board of directors decides, on remuneration and other employment terms for the managing director according to the above. The remuneration committee and the managing director together propose, and the board of directors decides, on remuneration and other employment terms for other Management Persons according to the above. 

Maha’s auditor shall annually review the implementation of this policy under applicable rules. The auditor’s report shall be submitted to the board of directors and presented at the AGM as and when required by law or listing agreements.

Deviations from the remuneration policy

The board of directors shall be entitled to deviate from the guidelines in this policy in individual cases if there are special reasons for doing so.

Item 15. Resolution on an incentive programme and issuance of warrants to senior management and key employees (LTIP)

The board of directors in Maha Energy AB (publ) (the “Company”) proposes that the annual general meeting resolves on an incentive programme for senior management and certain key employees through issuance of warrants entitling to subscription of new shares of class A in the Company (“Shares”) as set forth below.

Background

The proposal to launch an incentive programme by the issuance of warrants is presented by the board of directors of the Company in order to strengthen the retention of employees with the company group and to motivate the employees to create shareholder value. The board of directors assess that these objectives are in line with all shareholders’ interests.

The programme encompasses employees employed by the Company and subsidiaries of the Company (together, the “Group”). Board members are not allowed to participate. Those entitled to participate in the incentive programme are hereinafter referred to as “Participants”.

Terms and conditions for the issue of warrants

  1. The Company shall issue not more than 460,000 warrants. Each warrant entitles to subscription of one (1) new Share, each with a quotient value of SEK 0.011.
  2. The warrants may, with deviation from the shareholders’ preferential rights, only be subscribed for by Maha Energy Inc (the “Subsidiary”), a subsidiary of the Company, after which the Subsidiary is to transfer the warrants to the Participants in accordance with the resolution adopted by the general meeting and instructions from the board of directors of the Company.  
  3. Subscription of warrants shall be made by the Subsidiary on a subscription list following the general meeting’s issue resolution, but no later than 1 June 2020. The board of directors of the Company shall be entitled to prolong the subscription period.
  4. The warrants shall be issued without consideration (i.e. free of charge) to the Subsidiary.
  5. If all issued warrants are subscribed for by the Subsidiary, transferred to and exercised by the Participants for subscription of new Shares, the Company’s share capital will increase with SEK 5,060 (subject to potential recalculations in accordance with standard terms and conditions applicable to the warrants).
  6. The warrants may be exercised for subscription of new Shares during the period from and including 1 June 2023 until and including 29 February 2024. Warrants that have not been exercised for subscription of new Shares by 29 February 2024 shall lapse.
  7. Each warrant shall entitle the warrant holder to subscribe for one new Share in the Company at a subscription price per Share (the “Exercise Price”) corresponding to 100% of the volume weighted average last closing price for the Company’s share on Nasdaq First North Growth Market during the period from and including 20 May 2020 until and including 27 May 2020. The Exercise Price thus calculated shall be rounded off to the nearest whole SEK 0.10, whereupon SEK 0.5 shall be rounded upwards. The Exercise Price may never be below the quotient value of the shares.
  8. The warrants are subject to customary recalculation conditions.

Allocation principles to be applied in relation to Participants

Warrants subscribed for by the Subsidiary shall be transferred to the Participants in accordance with instructions from the board of directors of the Company and the principles set forth below.

The transfers of warrants from the Subsidiary to the Participants are to be made without consideration (i.e. free of charge).

The Participants’ right to receive warrants shall be differentiated based on position, responsibility and work performance in the Group and the maximum allocation of warrants for each Participant is set forth in the following schedule:

Allocated warrants may be exercised for subscription of new Shares in the Company during the period from and including 1 June 2023 until and including 29 February 2024. Subscription of new Shares may however not take place during so-called closed periods according to the EU Market Abuse Regulation, or otherwise in breach of relevant insider rules and regulations (including the Company’s internal guidelines in this respect).

Warrant agreement

All warrants will be governed by warrant agreements to be entered into between each Participant and the Subsidiary in connection with the transfer of warrants from the Subsidiary. The warrant agreement will include certain transfer restrictions and other terms and conditions customary for such agreements.

Reasons for the deviation from the shareholders’ preferential rights

The reasons for the deviation from the shareholders’ preferential rights is that the Company wishes to offer warrants to employees of the Group in order to strengthen the retention of employees and to motivate them to contribute to the creation of shareholder value.

Dilution, costs, etc.

Upon full subscription, transfer and exercise of all 460,000 issued warrants; a total of 460,000 new Shares will be issued in the Company (subject to potential recalculations in accordance with standard terms and conditions applicable to the warrants). This would lead to a dilution corresponding to approx. 0.5 per cent of the total share capital and number of votes in the Company (based on the share capital and number of shares in the Company registered as of the date of this proposal and calculated as the maximum amount of share capital and number of shares that may be issued, divided by the total share capital and the total number of shares in the Company after the proposed warrants to be issued have been exercised).

The incentive programme is expected to have a marginal effect on the Company's earnings per share. A preliminary estimate of the market value of the warrants is SEK 3.63 per warrant for the call period (as at 22 April 2020), assuming an underlying market value and exercise price of SEK 8.15 per share (as at 22 April 2020). The Black Scholes valuation model has been used for valuing the warrants and assumes a risk free interest of -0.27 percent and a volatility of 61.5 percent.

Costs related to the issuance of warrants under the incentive programme will be accounted for in accordance with IFRS 2 and recognized as an expense in the income statement during the vesting period. The preliminary estimate of total cost to be recorded during the term of the programme is SEK 1,670,628. Ongoing administration costs and other costs of the programme are minimal.

Outstanding incentive programmes

In addition, 2,000,000 warrants are outstanding under three (3) long term incentive program for employees and senior management of the Group, of which the first program comprises of 750,000 warrants (“Program One”), the second program comprises of 750,000 warrants (“Program Two”), and the third program comprises of 500,000 warrants (“Program Three”). Each warrant under the respective program entitles to subscribe for one new Share in the Company. The exercise price of the warrants corresponds to 100 per cent of the volume weighted average last closing price for the Company’s share on Nasdaq First North Growth Market during the period from and including (i) 12 June 2017 until and including 15 June 2017 for Program One, (ii) 24 May 2018 until and including 29 May 2018 for Program Two, and (iii) 17 May 2019 until and including 23 May 2019 for Program Three. The warrants may be exercised from and including (i) 1 June 2020 until and including 31 December 2020 for Program One, (ii) 1 May 2021 until and including 30 November 2021 for Program Two, and 1 June 2022 until and including 28 February 2023 for Program Three.

Approval of transfer of warrants from the Subsidiary to Participants

A resolution to issue warrants in accordance with this proposal also includes an approval of the transfers of warrants from the Subsidiary to the Participants.   

Majority requirements

This proposal to adopt the incentive programme and to issue warrants, as well as the approval of the transfers of warrants from the Subsidiary to the Participants, is governed by the provisions in Chapter 16 of the Swedish Companies Act (Sw. Aktiebolagslagen (2005:551)), and a valid resolution therefore requires that the proposal is supported by shareholders representing at least nine-tenths (9/10) of the votes cast as well as of all shares represented at the meeting.

Miscellaneous

The chairman of the board of directors, the managing director or a person appointed by the board of directors shall be authorised to make any minor adjustments required to register the resolution with the Swedish Companies Registration Office.

Item 16. Resolution regarding authorization for the board of directors to increase the share capital

The board of directors proposes that the general meeting resolves on an authorization for the board of directors to – for the period up to the next annual general meeting and at one or more occasions – resolve upon issuance of new shares, warrants and/or convertible debentures. Payment may be made in cash, in kind, through set-off of claims or otherwise be conditional. The company’s share capital may by support of the authorization be increased by an amount corresponding to 20 per cent of the share capital and number of shares in the company as of on the date the board of directors make use of the authorization. Deviation from the shareholders’ preferential rights shall be allowed in situations where a directed issue is deemed more appropriate for the company due to timing, commercial or similar reasons, and in order to enable acquisitions. The chairman of the board of directors, the managing director, or anyone authorized by the board of directors, shall have the right to make any minor adjustments required in order to register this resolution.

Majority requirements

For a valid decision on the proposal on an authorization for the board of directors, as outlined above, requires that the proposal is supported by shareholders representing at least two-thirds (2/3) of the votes cast and the shares represented at the meeting.

Item 17. Resolution on changes to the prerequisites for participating in shareholders’ meetings in the articles of association

The following change to the articles of association is proposed by reason of the right to participate at the general meeting being regulated by the Swedish Companies Act (2005: 551) and therefore does not need to be part of the articles of association, and that an expected legislative change in 2020 will lead to the current wording being contrary to law. The board of directors proposes to change the prerequisites for participating in shareholders’ meetings in the articles of association (§ 12), whereby the following wording in § 12, second paragraph is changed: “Shareholders wishing to participate in shareholders’ meetings must be listed as shareholder in a printout or other presentation of the entire share register reflecting the circumstances five weekdays before the shareholders’ meeting and notify the company no later than the date specified in the notice of the shareholders’ meeting. The last mentioned date may not be a Sunday, other public holiday, Saturday, Midsummer’s Eve, Christmas Eve or New Year’s Eve and may not occur earlier than the fifth weekday before the shareholders’ meeting. A shareholder may be accompanied by advisors at a shareholders’ meeting only if he or she notifies the company of the number of advisors in accordance with the procedure prescribed for in respect of notice of attendance to be made by a shareholder.” It is proposed that said provision is changed to the following new wording: “Shareholders wishing to participate in shareholders’ meetings must notify the company no later than the date specified in the notice of the shareholders’ meeting. A shareholder may be accompanied by advisors at a shareholders’ meeting only if he or she notifies the company of the number of advisors in accordance with the procedure prescribed for in respect of notice of attendance to be made by a shareholder.”

The chairman of the board of directors, the managing director or a person appointed by the board of directors shall be authorized to make any minor adjustments required to register the resolution with the Swedish Companies Registration Office.

Item 18. Resolution on changes to the articles of association (removal of share classes C1 and C2)

The board of directors proposes that the general meeting resolves to change the articles of association, with the effect that the company will, after the registration of the new articles of association, only have two types of shares, series A and B. The articles of association in their proposed new version are set out in the board’s complete proposal.

The chairman of the board of directors, the managing director or a person appointed by the board of directors shall be authorised to make any minor adjustments required to register the resolution with the Swedish Companies Registration Office.

Majority requirements

For a valid decision on the proposal on to change the articles of association, as outlined above, requires that the proposal is supported by shareholders representing at least two-thirds (2/3) of the votes cast and the shares represented at the meeting.

Number of shares and votes in the company

The total number of shares in the company at the time of issuance of this notice is 102,060,127 (100,767,448 A-shares, 483,366 convertible B-shares and 809,313 convertible C2-shares). The total number of votes for all issued shares in the company is 101,412,676.6 votes. The company does not hold any of its own shares.

Shareholders’ right to request information

Pursuant to Chapter 7 section 32 of the Swedish Companies Act (Sw. aktiebolagslagen (2005:551)) the board of directors and the managing director are under a duty to, if any shareholder so requests and the board of directors deems that it can be made without material damage to the company, provide information, regarding circumstances which may affect the assessment of a matter on the agenda or of the company’s economic situation. Such duty to provide information also comprises the company’s relation to the other group companies, the consolidated financial statements and such circumstances regarding subsidiaries which are set out in the foregoing sentence.

Documentation

The financial accounts, auditor’s report, complete proposals for resolution and other documents to be dealt with at the general meeting will be kept available at the company’s office not later than three weeks before the meeting. The documents will be sent free of charge to shareholders who so request and state their postal address. The documents will also be made available not later than the aforementioned date on the company’s website www.mahaenergy.ca. All the above mentioned documents will also be presented at the general meeting.

Maha Energy AB (publ) (“Maha” or the “Company”) Nomination Committee for the AGM 2020

In accordance with the resolution at the Annual General Meeting (“AGM”) of Maha Energy AB on May 23, 2019, it was resolved that a Nomination Committee shall be appointed. The Nomination Committee shall comprise of the Chairman of the Board of Directors and three members appointed by the three largest shareholders by votes at the end of September each year.

On September 30, 2019, the three largest shareholders, which desired to appoint a representative to the Nomination Committee, were Kvalitena AB, Nerthus Investments Ltd. and Jonas Lindvall. Each such shareholder has appointed a representative, as shown below, who together with the Chairman of the Board of Directors will form the Company’s Nomination Committee.

The Nomination Committee’s members are:

Maha Energy AB: Notice to attend the annual general meeting in Maha Energy AB (publ) to be held on May 23, 2019

The shareholders in Maha Energy AB (publ), reg. no. 559018-9543, are hereby given notice to attend the annual general meeting at 3:00 p.m. CET on Thursday 23 May 2019 at Setterwalls Advokatbyrå’s offices at Sturegatan 10 in Stockholm, Sweden. Registration for the meeting commences at 2:30 p.m CET.

Notice

Shareholders wishing to participate at the meeting must:

(i)            be entered in the shareholders’ register, kept by Euroclear Sweden AB (the Swedish Central Securities Depository & Clearing Organisation), on the record day which is Friday 17 May 2019; and

(ii)           notify the company of their attendance and any assistant no later than Friday 17 May 2019. Notification can be made via letter to Setterwalls Advokatbyrå AB, Attn: Lars Sundell, P.O. Box 1050, SE-101 39 Stockholm, Sweden or by e-mail to lars.sundell@setterwalls.se.

Notification shall include full name, personal identification number or corporate registration number, address and daytime telephone number and, where appropriate, information about representative, proxy and assistants. The number of assistants may not be more than two. In order to facilitate entry to the meeting, notification should, where appropriate, be accompanied by powers of attorney, registration certificates and other documents of authority.

Personal data obtained from the share register kept by Euroclear Sweden AB, notices and attendance at the meeting and information on representatives, proxies and assistants will be used for registration, preparation of the voting list for the meeting and, where appropriate, the minutes of the meeting. 

Nominee registered shares

Shareholders who have their shares registered in the name of a nominee must request temporary entry in the transcription of the share register kept by Euroclear Sweden AB in order to be entitled to participate and vote for their shares at the meeting. The shareholder must inform the nominee well in advance of the record day, at which time the register entry must have been made.

Proxy

A shareholder represented by proxy shall issue a power of attorney which shall be dated and signed by the shareholder. If issued by a legal entity the power of attorney shall be accompanied by registration certificate or, if not applicable, equivalent documents of authority. Power of attorney forms for those shareholders wishing to participate by proxy are available on the company’s website www.mahaenergy.ca. The original version of the power of attorney shall also be presented at the meeting.

Proposed agenda

1.           Opening of the meeting and election of chairman of the meeting;

  1. Preparation and approval of the voting list;
  2. Approval of the agenda;
  3. Election of one (1) or two (2) persons who shall approve the minutes of the meeting;
  4. Determination of whether the meeting has been duly convened;
  5. Presentation by the managing director;
  6. Submission of the annual report and the auditor’s report and the consolidated financial statements and the auditor’s report on the group;
  7. Resolution in respect of adoption of the profit and loss statement and the balance sheet and the consolidated profit and loss statement and the consolidated balance sheet;
  8. Resolution in respect of allocation of the company’s profit or loss according to the adopted balance sheet;  
  9. Resolution in respect of the members of the board of directors’ and the managing director’s discharge from liability;
  10. Determination of the number of members of the board of directors and the number of auditors and, where applicable, deputy auditors;
  11. Determination of the fees payable to the members of the board of directors and the auditors;
  12. Election of members of the board of directors, auditors and, where applicable, deputy auditors;
  13. Resolution regarding principles for the appointment of and instructions regarding a nomination committee;

Proposed resolutions             

Item 1. Election of chairman of the meeting

The nomination committee, consisting of Harald Pousette, representing Kvalitena AB, Lars Carnestedt, representing Nerthus Investments Ltd., Patrik Lindvall, representing Jonas Lindvall and Wayne Thomson, the chairman of the board of directors, proposes that attorney Marcus Nivinger is appointed chairman of the annual general meeting.

Item 9. Allocation of the company’s profit or loss according to the adopted balance sheet

The board of directors proposes that the company’s available funds shall be carried forward in new account and that no dividend shall be paid for the last financial year.

Item 11. Determination of the number of members of the board of directors and the number of auditors and deputy auditors

The nomination committee proposes that four board members are elected.

Further, the nomination committee proposes that a registered public auditor is appointed as auditor.

Item 12. Determination of the fees payable to the members of the board of directors and auditors

The nomination committee proposes that the fees payable to the board of directors for the period until the end of the next annual general meeting shall remain the same and amount to a total of SEK 640,000 (remuneration for committee work not included) out of which SEK 300,000 (unchanged) shall be paid to the chairman and SEK 170,000 (unchanged) to each of the other ordinary members. The managing director shall not receive a fee as an ordinary member of the board of directors.

Board members shall also be entitled to invoice the company in so far as they perform services outside the board assignment.

Furthermore, it is proposed, as remuneration for the committee work, the chairman of the audit committee is to receive SEK 125,000 (unchanged), the chairman of the compensation and governance committee SEK 125,000 (unchanged), the chairman of the reserves and health, safety and environment committee SEK 125,000 (unchanged), members of the audit committee (the chairman excluded) SEK 85,000 (unchanged) each, members of the compensation and governance committee (the chairman excluded) SEK 85,000 (unchanged) each and members of the reserves and health, safety and environment committee (the chairman excluded) SEK 85,000 (unchanged) each. The managing director shall not receive remuneration as a member of a committee.    

It is proposed that the company’s auditor shall be paid in accordance with approved invoices.

Item 13. Election of members of the board of directors and auditors

The nomination committee has noted that Wayne Thomson has advised he will not seek reelection to the board of directors at the 2019 annual general meeting.  The nomination committee thanks Wayne Thomson for his service to the Company.  The nomination committee proposes re-election of Jonas Lindvall, Anders Ehrenblad and Harald Pousette and the election of Nicholas Walker as ordinary board members. The nomination committee proposes election of Anders Ehrenblad as chairman of the board of directors.

Information on the board members proposed for re-election can be found in the annual report and on the company’s website at www.mahaenergy.ca. Information on Nicholas Walker is as follows:

Nicholas Walker (born 1962), holds a degree in Mining Engineering from Imperial College London, Computer Science from University College London as well as an MBA from City University Business School in London.  Nicholas (Nick) started his career as a petroleum engineer with BP plc and also worked in senior management positions at Bow Valley Energy Inc. Between 1994 and 2011 he worked with Talisman Energy Inc. in various senior operating and commercial roles. Nick held country general manager positions with Talisman Energy in the UK and Malaysia/Vietnam. From 2009 to 2011 Nick served as Executive Vice President International Operations with Talisman Energy. Between 2012 and 2015 he worked as Chief Operating Officer with Africa Oil Corp.  Nick is a seasoned senior executive with over 30 years of international experience in the upstream oil and gas industry across Europe, Africa, Asia and the Americas. Since 2015 Nick has held the position of Chief Operating Officer of Lundin Petroleum AB where he is responsible for the company’s exploration, development and operations activities.  Nick holds 534,211 shares in Maha.

The nomination committee further proposes re-election of the accounting firm Deloitte AB as auditor. Deloitte AB has informed that Fredrik Jonsson will continue to be appointed as the auditor-in-charge.

Item 14. Resolution regarding principles for the appointment of and instructions regarding a nomination committee

The nomination committee does not propose any changes to the principles adopted at the annual general meeting in 2018 (applicable until the general meeting decides otherwise). The principles are kept available on the company’s website at www.mahaenergy.ca.  

Item 15. Resolution regarding an incentive programme and issuance of warrants to senior management and key employees (LTIP)

The board of directors in Maha Energy AB (publ) (the “Company”) (excluding Jonas Lindvall) proposes that the annual general meeting resolves on an incentive programme for senior management and certain key employees through issuance of warrants entitling to subscription of new shares of class A in the Company (“Shares”) as set forth below.

Background

The proposal to launch an incentive programme by the issuance of warrants has been prepared and presented by the board of directors of the Company (excluding Jonas Lindvall) in order to strengthen the retention of employees with the company group and to motivate the employees to create shareholder value. The board of directors assess that these objectives are in line with all shareholders’ interests.

The programme encompasses employees employed by subsidiaries of the Company (together with the Company, the “Group”). Board members not employed by the Group are not allowed to participate. Those entitled to participate in the incentive program are hereinafter referred to as “Participants”.

Terms and conditions for the issue of warrants

  1. The Company shall issue not more than 500,000 warrants. Each warrant entitles to subscription of one (1) new Share, each with a quotient value of SEK 0.011.
  1. The warrants may, with deviation from the shareholders’ preferential rights, only be subscribed for by Maha Energy Inc (the “Subsidiary”), a subsidiary of the Company, after which the Subsidiary is to transfer the warrants to the Participants in accordance with the resolution adopted by the general meeting and instructions from the board of directors of the Company.  
  1. Subscription of warrants shall be made by the Subsidiary on a subscription list following the general meeting’s issue resolution, but no later than 1 June 2019. The board of directors of the Company shall be entitled to prolong the subscription period.
  1. The warrants shall be issued without consideration (i.e. free of charge) to the Subsidiary.
  1. If all issued warrants are subscribed for by the Subsidiary, transferred to and exercised by the Participants for subscription of new Shares, the Company’s share capital will increase with SEK 5,500 (subject to potential recalculations in accordance with standard terms and conditions applicable to the warrants).
  1. The warrants may be exercised for subscription of new Shares during the period from and including 1 June 2022 until and including 28 February 2023. Warrants that have not been exercised for subscription of new Shares by 28 February 2023 shall lapse.
  1. Each warrant shall entitle the warrant holder to subscribe for one new Share in the Company at a subscription price per Share (the “Exercise Price”) corresponding to 100 per cent of the volume weighted average last closing price for the Company’s share on Nasdaq First North during the period from and including 17 May 2019 until and including 23 May 2019. The Exercise Price thus calculated shall be rounded off to the nearest whole SEK 0.10, whereupon SEK 0.5 shall be rounded upwards. The Exercise Price may never be below the quotient value of the shares.
  1. The warrants will be subject to customary recalculation conditions.

Allocation principles to be applied in relation to Participants

Warrants subscribed for by the Subsidiary shall be transferred to the Participants in accordance with instructions from the board of directors of the Company and the principles set forth below.

The transfers of warrants from the Subsidiary to the Participants are to be made without consideration (i.e. free of charge).

The Participants’ right to receive warrants shall be differentiated based on position, responsibility and work performance in the Group and the maximum allocation of warrants for each Participant is set forth in the following schedule:

Allocated warrants may be exercised for subscription of new Shares in the Company during the period from and including 1 June 2022 until and including 28 February 2023. Subscription of new Shares may however not take place during so-called closed periods according to the EU Market Abuse Regulation, or otherwise in breach of relevant insider rules and regulations (including the Company’s internal guidelines in this respect).

Warrant agreement

All warrants will be governed by warrant agreements to be entered into between each Participant and the Subsidiary in connection with the transfer of warrants from the Subsidiary. The warrant agreement will include certain transfer restrictions and other terms and conditions customary for such agreements.

Reasons for the deviation from the shareholders’ preferential rights

The reasons for the deviation from the shareholders’ preferential rights is that the Company wishes to offer warrants to employees of the Group in order to strengthen the retention of employees and to motivate them to contribute to the creation of shareholder value.

Dilution, costs, etc.

Upon full subscription, transfer and exercise of all 500,000 issued warrants; a total of 500,000 new Shares will be issued in the Company (subject to potential recalculations in accordance with standard terms and conditions applicable to the warrants). This would lead to a dilution corresponding to approx. 0.5 per cent of the total share capital and number of votes in the Company (based on the share capital and number of shares in the Company registered as of the date of this proposal and calculated as the maximum amount of share capital and number of shares that may be issued, divided by the total share capital and the total number of shares in the Company after all warrants have been exercised).

The incentive programme is expected to have a marginal effect on the Company's earnings per share. A preliminary estimate of the market value of the warrants is SEK 8.06 per warrant for the call period (as at 15 April 2019), assuming an underlying market value and exercise price of SEK 21.30 per share (as at 15 April 2019). The Black Scholes valuation model has been used for valuing the warrants and assumes a risk free interest of -0.33 per cent and a volatility of 53.3 per cent.

Costs related to the issuance of warrants under the incentive programme will be accounted for in accordance with IFRS 2 and recognized as an expense in the income statement during the vesting period. The preliminary estimate of total cost to be recorded during the term of the programme is SEK 4,029,489.  Ongoing administration costs and other costs of the programme are minimal.

Outstanding incentive programmes

As of the date of this proposal, the Subsidiary has 50,000 stock options outstanding under a separate stock-based incentive plan. Upon exercise of the stock options, the option holders become shareholders in the Company instead of the Subsidiary. In order to facilitate such exchange the Company has issued the shares of class C2 to be converted to shares of class A and delivered to holders upon exercise of stock options.

In addition, a total of 1,500,000 warrants are outstanding under two (2) long term incentive program for employees and senior management of the Group, of which the first program comprises of 750,000 warrants (“Program One”) and the second program comprises of 750,000 warrants (“Program Two”). Each warrant under the respective program entitles to subscribe for one new Share in the Company. The exercise price of the warrants corresponds to 100 per cent of the volume weighted average last closing price for the Company’s share on Nasdaq First North during the period from and including (i) 12 June 2017 until and including 15 June 2017 for Program One and (ii) 24 May 2018 until and including 29 May 2018 for Program Two. The warrants may be exercised from and including (i) 1 June 2020 until and including 31 December 2020 for Program One and (ii) 1 May 2021 until and including 30 November 2021 for Program Two.

Approval of transfer of warrants from the Subsidiary to Participants

A resolution to issue warrants in accordance with this proposal also includes an approval of the transfers of warrants from the Subsidiary to the Participants.    

Majority requirements

This proposal to adopt the incentive programme and to issue warrants, as well as the approval of the transfers of warrants from the Subsidiary to the Participants, is governed by the provisions in Chapter 16 of the Swedish Companies Act (Sw. Aktiebolagslagen (2005:551)), and a valid resolution therefore requires that the proposal is supported by shareholders representing at least nine-tenths (9/10) of the votes cast as well as of all shares represented at the meeting.

Item 16. Resolution regarding authorization for the board of directors to increase the share capital

The board of directors proposes that the general meeting resolves on an authorization for the board of directors to – for the period up to the next annual general meeting and at one or more occasions – resolve upon issuance of new shares, warrants and/or convertible debentures. Payment may be made in cash, in kind, through set-off of claims or otherwise be conditional. The company’s share capital may by support of the authorization be increased by an amount corresponding to 20 per cent of the share capital and number of shares in the company as of on the date the board of directors make use of the authorisation. Deviation from the shareholders’ preferential rights shall be allowed in situations where a directed issue is deemed more appropriate for the company due to timing, commercial or similar reasons, and in order to enable acquisitions. The chairman of the board of directors, the managing director, or anyone authorized by the board of directors, shall have the right to make any minor adjustments required in order to register this resolution.

Majority requirements

For a valid decision on the proposal on an authorization for the board of directors, as outlined above, requires that the proposal is supported by shareholders representing at least two-thirds (2/3) of the votes cast and the shares represented at the meeting.

Number of shares and votes in the company

The total number of shares in the company at the time of issuance of this notice is 100,232,415 (91,412,784 A-shares, 7,960,318 convertible B-shares and 859,313 convertible C2-shares). The total number of votes for all issued shares in the company is 99,544,964 votes. The company does not hold any of its own shares.    

Shareholders’ right to request information

Pursuant to Chapter 7 section 32 of the Swedish Companies Act (Sw. aktiebolagslagen (2005:551)) the board of directors and the managing director are under a duty to, if any shareholder so requests and the board of directors deems that it can be made without material damage to the company, provide information, regarding circumstances which may affect the assessment of a matter on the agenda or of the company’s economic situation. Such duty to provide information also comprises the company’s relation to the other group companies, the consolidated financial statements and such circumstances regarding subsidiaries which are set out in the foregoing sentence.

Documentation

The financial accounts, auditor’s report, complete proposals for resolution and other documents to be dealt with at the general meeting will be kept available at the company’s office not later than three weeks before the meeting. The documents will be sent free of charge to shareholders who so request and state their postal address. The documents will also be made available not later than the aforementioned date on the company’s website www.mahaenergy.ca. All the above mentioned documents will also be presented at the general meeting.
