Maha updates the publication date of the Q2 2023 report and invites to webcast presentation

Maha Energy AB (publ) (“Maha” or the “Company”) updates the publication date of the report for the second quarter of 2023. The new publication date is Friday, August 11^th 2023 instead of Monday, August 14^th 2023. The report will be published in the afternoon (CEST).

Maha hereby invites all interested parties to a live webcasted presentation on the same day at 18.00 CEST. Paulo Thiago Mendonça, CEO, and Guilherme Guidolin de Campos, CFO, will present the report and recent developments.

The webcast will be held in English and will be broadcasted live. An on-demand version will also be available on Maha’s website and YouTube channel. Questions to the presenters can be emailed in advance to the Company at info@mahaenergy.ca or be made directly on the day of the presentation in the YouTube Comments/Questions field.

Maha Energy AB (publ) (“Maha” eller “Bolaget”) uppdaterar publiceringsdag för rapporten för andra kvartalet 2023. Nytt publiceringsdatum är fredagen den 11 augusti 2023, i stället för den 14 augusti 2023. Rapporten kommer att publiceras under eftermiddagen.

* Note: The information included hereunder relates only to Maha’s entitlement on Peroá and Papa Terra clusters’ production, considering its indirect participation interest on said assets. It was calculated based on the information made public by 3R Petroleum. The production from Peroá and Papa Terra clusters will not be consolidated in Maha’s financial reporting.

Maha has an indirect working interest of 15% in the Peroá cluster and 9.375% in the Papa Terra cluster, with 3R Petroleum Offshore S.A. being the operator.

Maha is the operator holding 97% working interest in the Illinois Basin. In addition, Maha is also the operator of LAK Ranch in USA. The LAK Ranch heavy oil asset was shut in 2020, but incidental oil is occasionally produced as a result of testing and/ or maintenance activities. Maha is also the operator of Block 70 in Oman with 65% working interest, where production testing is currently being performed. Maha intends to publish a separate press release with an update on the progress of the production testing in Oman later in July.

Papa Terra cluster
The production at the Papa Terra cluster increased 71.2% from May to June. This result is due to the resumption of production of Papa Terra Cluster after a temporary interruption in May, as per previously indicated in material facts disclosed by 3R Petroleum on May 16 and May 29, 2023.

Peroá cluster
The production at the Peroá Cluster decreased 13.7% from May to June. This result reflects the impact of a scheduled shutdown at the Cacimbas Natural Gas Treatment Unit (UTGC), which interrupted the receipt of gas produced at the asset for a few days of the month.

Illinois Basin
The production at Illinois Basin decreased 6% in June compared to May 2023.

Produktionen från Papa Terra-klustret ökade med 71,2% under juni jämfört med maj efter att produktionen vid Papa Terra har återupptagits efter ett tillfälligt produktionsavbrott i maj, vilket offentliggjordes den 16 och 29 maj 2023 av 3R Petroleum.

Peroá-klustret
Produktionen från Peroá-klustret minskade med 13,7% under juni jämfört med maj. Minskningen är en följd av en schemalagd avstängning av Cacimbas Natural Gas Treatment Unit (UTGC), vilket resulterade i att gasleveranserna avbröts under några dagar i månaden.

Illinoisbassängen
Produktionen vid Illinoisbassängen minskade under juni med 6% jämfört med maj.

Papa Terra cluster
The production at the Papa Terra cluster decreased 51.5% from April to May. This result is explained by the temporary interruption in the asset’s production, due to storage capacity limitation of the 3R-3 platform and a damage in the flexible hose used in the offloading operations (transfer of stored oil to shuttle tankers), as per previously indicated in material facts disclosed by 3R Petroleum on May 16 and May 29, 2023. The operations of Papa Terra Cluster was resumed, and the cluster is currently operating through three wells (i.e. PPT-16, PPT-50 and PPT-51).

Peroá cluster
The production at the Peroá Cluster grew 29.9% from April to May. This result reflects the increase in gas production at the fields, in line with greater buyer demand under the gas sale agreement.

Illinois Basin
The production at Illinois Basin in May was in line with the production in April.

Verksamheten vid Papa Terra har återupptagits, för närvarande med tre brunnar i drift (PPT-16, PPT-50 och PPT-51).

Peroá-klustret
Produktionen från Peroá-klustret ökade under maj 2023 med 29,9% jämfört med april 2023. Detta avspeglar den ökade gasproduktionen från fälten, och ligger i linje med högre efterfrågan enligt gasförsäljningsavtalet.

Illinoisbassängen
Produktionen vid Illinoisbassängen låg under maj i linje med produktionen under april 2023.

The number of shares and votes in Maha Energy AB (publ) (“Maha” or the “Company”) has increased following closing of the acquisition of DBO 2.0 S.A (“DBO”). As of 31 May 2023 the number of shares in the Company amounts to in total 178,444,753 shares, of which 34,829,057 shares have as at the date of this press release not been registered with the Swedish Companies Registrations Office. Each share carries one vote, and the total amount of votes as of 31 May 2023 is 178,444,753.

At the extraordinary general meeting in Maha held on 29 March 2023, it was resolved to increase the Company’s share capital by not more than SEK 404,529.51 through a new issue of not more than 36,775,410 shares in the Company against payment in kind consisting of 188,426 shares in DBO.

The number of shares and votes in the Company has increased following closing of the transaction, whereby Maha acquired 188,426 shares in DBO against payment of 34,829,057 new shares in the Company (issued pursuant to the resolution of the extraordinary general meeting held on 29 March 2023), and one (1) share in DBO was acquired by Maha Energy (Holding) Brasil Ltda., a wholly owned subsidiary of the Company, against payment of BRL 1.00, as announced on 23 May 2023. As of 31 May 2023 the total number of shares in the Company amounts to 178,444,753 shares. Each share carries one vote, and the total amount of votes as of 31 May 2023 is 178,444,753.

All 34,829,057 new shares have been subscribed for, fully paid and allocated to the subscribers and in total 34,829,057 paid-up subscribed shares (BTA) have been issued to be delivered to the subscribers. No new shares issued within the framework of the transaction will however be registered with the Swedish Companies Registrations Office or admitted to trading on Nasdaq Stockholm before a prospectus has been published by the Company. BTA will be converted into shares after registration of the shares with the Swedish Companies Registrations Office. BTA will not be admitted to trading on Nasdaq Stockholm.

Förändring av antalet aktier och röster i Maha Energy AB (publ)

Antalet aktier och röster i Maha Energy AB (publ) (”Maha” eller ”Bolaget”) har ökat till följd av slutförandet av förvärvet av DBO 2.0 S.A. (”DBO”). Per den 31 maj 2023 uppgår antalet aktier i Bolaget till totalt 178 444 753 aktier, varav 34 829 057 aktier per dagen för detta pressmeddelande inte har registrerats hos Bolagsverket. Varje aktie motsvarar en röst och det totala antalet röster per den 31 maj 2023 uppgår således till 178 444 753 röster.

Vid extra bolagsstämma i Maha den 29 mars 2023 beslutades att öka Bolagets aktiekapital med högst 404 529,51 kronor genom nyemission av högst 36 775 410 aktier i Bolaget mot betalning med apportegendom bestående av 188 426 aktier i DBO.

Antalet aktier och röster i Bolaget har ökat till följd av slutförandet av transaktionen, genom vilken Maha förvärvade 188 426 aktier i DBO mot betalning om 34 829 057 nya aktier i Bolaget (emitterade enligt extra bolagsstämmans beslut den 29 mars 2023), samt en (1) aktie i DBO förvärvades av Maha Energy (Holding) Brasil Ltda., ett av Bolaget helägt dotterbolag, mot betalning om 1,00 BRL, såsom offentliggjort av Bolaget den 23 maj 2023. Per den 31 maj 2023 uppgår antalet aktier i Bolaget till 178 444 753 aktier. Varje aktie motsvarar en röst och det totala antalet röster per den 31 maj 2023 uppgår således till 178 444 753 röster.

Samtliga 34 829 057 nya aktier har blivit tecknade, fullt betalda och tilldelade till tecknarna och totalt 34 829 057 betalda tecknade aktier (BTA) har emitterats för att levereras till tecknarna. Inga nya aktier emitterade inom ramen för transaktionen kommer dock att registreras hos Bolagsverket eller upptas till handel på Nasdaq Stockholm innan ett prospekt har offentliggjorts av Bolaget. BTA kommer att bokas om till aktier efter registrering av aktierna hos Bolagsverket. BTA kommer inte upptas till handel på Nasdaq Stockholm.
